参考资料，少熬夜！常年法律顾问聘请合同实用3篇【导读指引】三一刀客最漂亮的网友为您整理分享的“常年法律顾问聘请合同实用3篇”文档资料，供您学习参考，希望此文档对您有所帮助，喜欢就分享给朋友们吧！常年法律顾问聘请合同1常年法律顾问合同Long-termLegalCounselingContract编号：公司（以下简称“甲方”）因业务需要，根据《中华人民共和国律师法》《民法典》之规定聘请律师事务所（以下简称“乙方”）律师担任其常年法律顾问。经双方协商，订立本合同、共同遵守。（hereinafterreferredtoasPartyA）herebyretain（hereinafterreferredtoasPartyB）asitsregularlegalcounsel,accordingtoLawyersLawofPeople'sRepublicofChinaandContractLawofPeople'sRepublicofChina.Bothparties,throughfriendlynegotiation,herebyagreeuponandshallbeboundbythefollowing:一、乙方接受甲方的聘请，指定律师担任甲方的常年法律顾问。遇重大事项或者业务需要，经甲方同意，乙方可以根据甲方需要，选派其他律师参与有关法律顾问工作。Article1PartyBshalldesignateAttorneytoactasregularlegalcounselsofPartyA.Incaseofmajorissuesorbusinessneeds,PartyBmaydesignateotherlawyerstoinvolveinrelevantlegalcounselingworkwithconsentofPartyA.二、常年法律顾问的工作范围：Article2ServiceScope1、为甲方生产、管理、经营等方面重大决策的合法、合规性提出法律建议；参考资料，少熬夜！ProvidelegaladviceonlegitimacyandcomplianceofmajordecisionsmadebyPartyAconcerningproduction,administration,operation,etc;2、协助甲方审核其在生产、管理、经营活动中重大合同、协议及其他法律事务文件；AssistPartyAtoreviewmajorcontracts,agreementsandotherlegalfilesregardingproduction,administrationandoperationactivities;3、优先代理甲方参加各类项目谈判、诉讼、非诉讼交涉调解或者仲裁活动；Participateinvariousprojectnegotiation,litigation,non-litigationmediationorarbitrationactivitiesonbehalfofPartyAwithpriority;4、协助甲方对员工进行法制教育和法律培训；AssistPartyAtoconductlegaleducationandtrainingtoitsstaff;5、其他属于常年法律顾问工作范围的事务（详见附件三：《常年法律顾问工作内容》）。Otherserviceswithintheworkingscopeofregularlegalcounsel(PleaserefertoAnnexIII:ServiceScopeofRegularLegalCounsel)。未经双方协商同意，乙方服务范围不包括甲方控股、参股的子公司，异地分支机构和其他关联企业的法律事务。ServicescopeofPartyBdoesnotcoverthelegalaffairsofPartyA'ssubsidiaries,branchesorotheraffiliatedenterprises,unlessotherwiseagreedbybothparties.未经双方协商同意，乙方服务范围不包括甲方涉及的民事、经济、知识产权、劳动争议、刑事、行政诉讼和仲裁；也不包括甲方涉及长期投资、融资、企业改制、重组、购并、破产、股票发行、上市等专项法律顾问事务。参考资料，少熬夜！ServicescopeofPartyBdoesnotincludecivil,economic,intellectualproperty,labordisputes,criminal,administrativelitigationsandarbitrationsthatPartyAinvolvedin;itneithercoversthespeciallegalservicesconcerninglong-terminvestment,financing,corporaterestructuring,reorganization,mergerandacquisition,bankruptcy,stockissuanceandlisting,etc.以上法律事务甲乙双方应当另行签订委托代理合同或专项法律顾问合同。TheaforementionedlegalaffairsnotcoveredinservicescopeshouldbestipulatedbyseparateAgentContractorSpecialLegalCounselContractbyandbetweenbothparties.三、工作方式：Article3ServiceMode1、运用电话、传真、电子邮件等通讯方式或者以面谈的方式，及时解答甲方提出咨询的各种法律问题，及时处理合同的审查和修正事宜。Timelyreplyonvariouslegalqueries,review&amendcontractsfromPartyAthroughtelephone,fax,e-mailorfacetofaceinterview.2、根据甲方要求，定期或不定期到甲方所在地讨论解决重大法律问题：AccordingtoPartyA’srequest,PartyBshallregularlyoroccasionallyvisitPartyAfordiscussionandsolutionuponsignificantlegalissues.§乙方不定期到甲方所在地办公，甲方一经邀请，乙方应及时确定时间，到场办公。PartyBshalloccasionallyworkinPartyA'ssite.Onceinvited,PartyBshallconfirmtheschedulewithPartyApromptly,andvisitPartyA'ssitefortemporarywork.四、甲方的权利和义务：参考资料，少熬夜！Article4PartyA’sRightsandObligations1、甲方应向乙方真实、全面、及时地提供甲方的信息、资料，并承诺保证所提供信息、资料的合法、真实、完整、有效；PartyAshalltimelyprovideauthenticandcomprehensiveinformationandmaterialstoPartyB,andguaranteeitslegitimacy,authenticity,integrityandvalidity;2、甲方提出办理的法律事务应当明确、合理，工作要求应当具体，时限应当清晰，对乙方所需要的资料应当尽快收集补充，积极配合乙方律师的调查取证，因资料迟到，工作时限应当顺延；ThelegalaffairsputforwardbyPartyAshouldbeexplicitandrational,withdefiniteservicerequirementsandcleartimelimit.PartyAshouldcollectandsupplementthematerialsrequiredbyPartyBassoonaspossible,andactivelycollaboratewithattorneysofPartyBinevidenceinvestigationandcollection;timelimitshouldbeextendedalongwiththepostponingofmaterials;3、甲方应当对委托法律事务作出独立的判断和决策，乙方律师提出的法律意见、建议、方案仅供甲方参考；PartyAshouldmakeindependentjudgmentsanddecisionsonentrustedlegalaffairswhilethelegalsuggestions,proposalsandschemesprovidedbyPartyBareonlyforreference;4、甲方应按本合同的约定向乙方支付常年法律顾问费用；PartyAshallpaylegalcounselingfeetoPartyBasstipulatedherein;5、甲方应配合乙方律师进行工作，必要时需提供相应的办公场所和条件；PartyAshouldcooperatewithattorneysofPartyBandprovideappropriateoffices参考资料，少熬夜！andconditionsifnecessary;6、甲方有权对乙方所有工作进行监督、指导。PartyAisentitledtosuperviseanddirectPartyB'scounselingworkforPartyA五、乙方的权利和义务：Article5PartyB’sRightsandObligations1、乙方有权查阅与法律事务有关的文件和资料，了解甲方在生产、管理、经营活动中有关情况；PartyBisentitledtoconsultdocumentsandmaterialsrelatedtolegalaffairssoastograsptheproduction,administrationandoperationstateofPartyA;2、乙方有权按年度向甲方收取常年法律顾问费用；PartyBisentitledtocollectannuallegalcounselingfeefromPartyA;3、乙方应根据甲方的委托授权进行工作，不得超越委托代理权限。PartyBshallworkwithinthescopeofPartyA'sauthorizationandshallnotoverstepitsagency.4、乙方在对工作中所接触、了解到的有关甲方生产、管理、经营以及对外活动中的商务机密负有保守秘密的义务。PartyBisobligedtokeepPartyA'scommercialsecretsonproduction,administration,operationandoutreachactivitiesobtainedduringworkcontacts;5、乙方顾问律师应及时承办甲方委托办理的法律事务，如因故不能履行法律顾问职责时，乙方应及时与甲方协商另指派律师替代。CounselfromPartyBshallpromptlydealwithlegalaffairsentrustedbyPartyA;intheeventthatthelegalcounselcouldnotperformthedutiesforcertainreason,PartyBshallpromptlyconsultwithPa参考资料，少熬夜！rtyAanddelegateanotherattorneyasasubstitution.6、乙方顾问律师未经甲方同意，不得为甲方员工提供针对甲方的法律服务；不得担任涉及甲方的对抗性案件或者交易活动中另一方的法律顾问或者委托代理人。WithouttheconsentofP
