BylawsoftheWorkerRightsConsortiumARTICLEIName,Offices,andPurposesSection1.1NAME.Thenameofthiscorporationshallbe“WorkerRightsConsortium,Inc.”(“WRC”).Section1.2CORPORATEOFFICES.TheprincipalofficeofthiscorporationshallbelocatedwithinNewYork,NewYork.Thecorporationmayestablishotheroffices,astheboardofdirectorsmaydesignateorastheaffairsofthecorporationmayrequirefromtimetotime.Section1.3PURPOSEThecorporation,whichisnotamembershiporganization,shallbeestablishedandmaintainedforthefollowingpurposes:(a)topromotesociallyresponsibleinitiativesbyuniversitiesandcolleges,andbymanufacturerswhousetheindiciaofthoseuniversitiesandcolleges,fortheimprovementofworkingconditionsandlaborstandardsindomesticandglobalproductionofthatmerchandise;(b)topromoteinthecommunityofuniversities,collegesandmanufacturers,througheducationandresearch,awarenessofandappropriateresponsestoproductionofmerchandisebearingcollegeanduniversityindiciaunderethicallyunacceptableworkingconditionssuchassweated,child,sub-living-wage,discriminatory,unsafe,andotherformsofabusivelabor;(c)tocodifyandpromotecompliancewithethicalstandardsofconductbycollegeanduniversitylicensors,andbymanufacturerswhousetheindiciaofthoseuniversitiesandcolleges,includingbutnotlimitedtostandardsforlivingwages,childlabor,women’srights,therighttoorganizeandbargaincollectively,andhealthandsafety,inlightofthe“KeyWRCPrinciples”setforthinAnnexIofthesebylaws;(d)togatherandpubliclydisseminateinformationregardingthelocationsandconditionsofworkplaceswheremerchandisebearingcollegeanduniversityindiciaisproduced.(e)Paragraphs(a)through(d)mayalsoapplytosuchothergoodsasboththecorporationandtherespectiveaffiliatedinstitutionshallagreeto.ARTICLEIIBoardofDirectorsSection2.1GENERALPOWERS.Thebusinessandaffairsofthecorporationshallbeconductedunderthedirectionof,andthecontrolanddisposalofthecorporation'spropertiesandfundsshallbevestedin,itsboardofdirectors,exceptasotherwiseprovidedintheNewYorkNot-For-ProfitCorporationLaw,thecorporation'sarticlesofincorporationorthesebylaws.Theboardofdirectorsshall,amongotherthings,promotetheobjectivesoftheorganizationandfurtheritspurposes.Section2.2NUMBER,TENUREANDQUALIFICATIONS.Thereshallbethreeconstituencies:1)theUnitedStudentsAgainstSweatshops(“USAS”);2)theAdvisoryCouncil;and3)universitiesandschoolsthathaveaffiliatedwiththecorporation(“UniversityCaucus”).Thereshallbefifteen(15)directorsofthecorporation.Thedirectorsshallbedividedintothree(3)groupsandshallbeknownasClassI,ClassIIandClassIII.ClassIshallhavefive(5)directors,allofwhomshallbeelectedbytheUSASconstituency.ClassIIshallhavefive(5)directors,allofwhomshallbeelectedbytheUniversityCaucusconstituency.ClassIIIshallhavefive(5)directors,allofwhomshallbeelectedbytheAdvisoryCouncilconstituency.Initially,thedirectorsofClassIandClassIIshallserveforatermofone(1)yearandthedirectorsofClassIIIshallserveatermoftwo(2)years.Alltermsshallcommenceonthedateofelectionandeachdirectorshallholdofficeuntilhisorhersuccessoriselectedandqualified,oruntilhisorherdeath,resignationorremoval.Ateachsubsequentannualmeetingoftheboardofdirectors:1)thesuccessorsofthosedirectorsfromClassIwhosetermthenexpiresshallbeelectedtoserveforatermofone(1)yearanduntiltheirsuccessorsareelectedandqualified,oruntiltheirdeath,resignationorremoval;2)thesuccessorsofthosedirectorsfromClassIIwhosetermthenexpiresshallbeelectedtoserveforatermoftwo(2)yearsanduntiltheirsuccessorsareelectedandqualified,oruntiltheirdeath,resignationorremoval;and3)thesuccessorsofthosedirectorsfromClassIIIwhosetermthenexpiresshallbeelectedtoserveforatermoftwo(2)yearsanduntiltheirsuccessorsareelectedandqualified,oruntiltheirdeath,resignationorremoval.Eachdirectorshallbeamemberoftheconstituencyheorsherepresents.Section2.3BOARDMEMBERATTENDANCE.Ifadirectorisabsentfromtwo(2)consecutivemeetings,unlessexcused,hisorherofficeshallbecomevacantfortheremainderofthetermoruntilthevacancyisfilledpursuanttoSection2.6below.Adirectorwhoexpectstobeabsentfromameetingshallcommunicatethereasonsfortheabsencetothechairoftheboardinadvanceofthemeeting.Thedirectorspresentatanymeetingoftheboardatwhichthereisaquorumshall,bymajorityvote,decidewhetheradirector’sabsencefromthemeetingisexcusedorunexcused,basedonastandardofwhetherillness,importantworkorfamilymatters,orothergoodcausejustifiestheabsence.Theminutesshouldnoteanyexcusedorunexcusedabsence(s).Section2.4ELECTIONOFDIRECTORS.TheUSASconstituencyshallhavethesoleandabsolutepowertoelecttheClassIdirectors,pursuanttoelectionrulesestablishedbyUSAS.TheAdvisoryCouncilconstituencyshallhavethesoleandabsolutepowertoelecttheClassIIIdirectors,pursuanttoelectionrulesestablishedbytheAdvisoryCouncil.TheUniversityCaucusconstituencyshallhavethesoleandabsolutepowertoelecttheClassIIdirectors,pursuanttoelectionrulesestablishedbytheUniversityCaucus.Provided,however,thateachconstituencyshallelectdirectorsonlyfromamongtheirownmembers.Eachconstituencyshallelectitsdirectorsnolaterthanthedateoftheannualmeetingandshallreportthenamesoftheelecteddirectorstothechairoftheboardofdirectors.Section2.5RATIFICATION
