解决国家与他国国民之间投资争端公约11965年解决国家与他国国民之间投资争端公约ConventionontheSettlementofInvestmentDisputesBetweenStatesandNationalsofOtherStatesDoneatWashingtonon18March1965PREAMBLETheContractingStatesConsideringtheneedforinternationalcooperationforeconomicdevelopment,andtheroleofprivateinternationalinvestmenttherein;BearinginmindthepossibilitythatfromtimetotimedisputesmayariseinconnectionwithsuchinvestmentbetweenContractingStatesandnationalsofotherContractingStates;Recognizingthatwhilesuchdisputeswouldusuallybesubjecttonationallegalprocesses,internationalmethodsofsettlementmaybeappropriateincertaincases;AttachingparticularimportancetotheavailabilityoffacilitiesforinternationalconciliationorarbitrationtowhichContractingStatesandnationalsofotherContractingStatesmaysubmitsuchdisputesiftheysodesire;DesiringtoestablishsuchfacilitiesundertheauspicesoftheInternationalBankforReconstructionandDevelopment;Recognizingthatmutualconsentbythepartiestosubmitsuchdisputestoconciliationortoarbitrationthroughsuchfacilitiesconstitutesabindingagreementwhichrequiresinparticularthatdueconsiderationbegiventoanyrecommendationofconciliators,andthatanyarbitralawardbecompliedwith;andDeclaringthatnoContractingStateshallbythemerefactofitsratification,acceptanceorapprovalofthisConventionandwithoutitsconsentbedeemedtobeunderanyobligationtosubmitanyparticulardisputetoconciliationorarbitration,Haveagreedasfollows:CHAPTERIInternationalCentreforSettlementofInvestmentDisputesSection1EstablishmentandOrganizationArticle1(1)ThereisherebyestablishedtheInternationalCentreforSettlementofInvestmentDisputes(hereinaftercalledtheCentre).(2)ThepurposeoftheCentreshallbetoprovidefacilitiesforconciliationandarbitrationofinvestmentdisputesbetweenContractingStatesandnationalsofotherContractingStatesinaccordancewiththeprovisionsofthisConvention.Article2TheseatoftheCentreshallbeattheprincipalofficeoftheInternationalBankforReconstructionandDevelopment(hereinaftercalledtheBank).TheseatmaybemovedtoanotherplacebydecisionoftheAdministrativeCounciladoptedbyamajorityoftwo-thirdsofitsmembers.Article3TheCentreshallhaveanAdministrativeCouncilandaSecretariatandshallmaintainaPanelofConciliatorsandaPanelofArbitrators.Section2TheAdministrativeCouncilArticle4解决国家与他国国民之间投资争端公约2(1)TheAdministrativeCouncilshallbecomposedofonerepresentativeofeachContractingState.Analternatemayactasrepresentativeincaseofhisprincipal'sabsencefromameetingorinabilitytoact.(2)Intheabsenceofacontrarydesignation,eachgovernorandalternategovernoroftheBankappointedbyaContractingStateshallbeexofficioitsrepresentativeanditsalternaterespectively.Article5ThePresidentoftheBankshallbeexofficioChairmanoftheAdministrativeCouncil(hereinaftercalledtheChairman)butshallhavenovote.DuringhisabsenceorinabilitytoactandduringanyvacancyintheofficeofPresidentoftheBank,thepersonforthetimebeingactingasPresidentshallactasChairmanoftheAdministrativeCouncil.Article6(1)WithoutprejudicetothepowersandfunctionsvestedinitbyotherprovisionsofthisConvention,theAdministrativeCouncilshall:(a)adopttheadministrativeandfinancialregulationsoftheCentre;(b)adopttherulesofprocedurefortheinstitutionofconciliationandarbitrationproceedings;(c)adopttherulesofprocedureforconciliationandarbitrationproceedings(hereinaftercalledtheConciliationRulesandtheArbitrationRules);(d)approvearrangementswiththeBankfortheuseoftheBank'sadministrativefacilitiesandservices;(e)determinetheconditionsofserviceoftheSecretary-GeneralandofanyDeputySecretary-General;(f)adopttheannualbudgetofrevenuesandexpendituresoftheCentre;(g)approvetheannualreportontheoperationoftheCentre.Thedecisionsreferredtoinsub-paragraphs(a),(b),(c)and(f)aboveshallbeadoptedbyamajorityoftwo-thirdsofthemembersoftheAdministrativeCouncil.(2)TheAdministrativeCouncilmayappointsuchcommitteesasitconsidersnecessary.(3)TheAdministrativeCouncilshallalsoexercisesuchotherpowersandperformsuchotherfunctionsasitshalldeterminetobenecessaryfortheimplementationoftheprovisionsofthisConvention.Article7(1)TheAdministrativeCouncilshallholdanannualmeetingandsuchothermeetingsasmaybedeterminedbytheCouncil,orconvenedbytheChairman,orconvenedbytheSecretary-GeneralattherequestofnotlessthanfivemembersoftheCouncil.(2)EachmemberoftheAdministrativeCouncilshallhaveonevoteand,exceptasotherwisehereinprovided,allmattersbeforetheCouncilshallbedecidedbyamajorityofthevotescast.(3)AquorumforanymeetingoftheAdministrativeCouncilshallbeamajorityofitsmembers.(4)TheAdministrativeCouncilmayestablish,byamajorityoftwo-thirdsofitsmembers,aprocedurewherebytheChairmanmayseekavoteoftheCouncilwithoutconveningameetingoftheCouncil.ThevoteshallbeconsideredvalidonlyifthemajorityofthemembersoftheCouncilcasttheirvoteswithinthetimelimitfixedbythesaidprocedure.Article8MembersoftheAdministrativeCouncilandtheChairmanshallservewithoutremunerationfromtheCentre.Section3TheSecretariatArticle9解决国家与他国国民之间投资争端公约3TheSecretariatshallconsistofaSecretary-General,oneormoreDeputySecretaries-Generalandstaff.Article10(1)TheSecretary-GeneralandanyDeputySecretary-GeneralshallbeelectedbytheAdministrati
