1PurchaseContractCONTRACTNO.:_SIGNINGDATE:SIGNINGPLACE:买方：卖方：Buyer:Seller:Tel:Tel:Fax:Fax:Mobile:Mobile:买方同意购买，卖方同意出售下述商品，并按下列条款签订合同。ThecontractismadebyandbetweentheBuyerandtheSeller,wherebytheBuyeragreestobuyandtheSelleragreestoselltheunder-mentionedcommodityaccordingtothetermsandconditionsstipulatedbelow.1.商品名称、规格、数量及价格：COMMODITY,SPECIFICATION,QUANTITYANDUNITPRICE品名Commodity数量Quantity单价UnitPrice总价TotalAmountTotal2.生产国别和制造厂商：COUNTRYOFORIGINANDMANUFACTURE:3.包装：适合长途海运/空运的防潮防破的标准包装，符合中国海关卫生检疫要求。PACKING:Allgoodsaretobepackedinseaworthyexportstandardpackagesaccordingtointernationalstandards.4.唛头：买方选择SHIPPINGMARK:Optionbybuyer5.装运时间：TIMEOFSHIPMENT:6.装船港口：目的港口：PORTOFSHIPMENT:PORTOFDESTINATION:7.付款条件：TERMSOFPAYMENT:8.保险：装船时由卖方以买方为受益人按发票金额的110%投保险INSURANCE:Tobecoveredbythebuyerfor110%ofinvoicevaluecoveringriskswiththeBuyerasbeneficiary.9.合同单据：（1）注明合同号，签字正本发票5份。2(2)装箱单3份。（3）全套（3/3）已装船海运提单。（4）生产商提供质量和产地的证书，文件为1份原件，2份复印件。（5）由保险公司出具的以买方为受益方，按发票金额110%投保一切险的单据2份，如在运输时发生问题，由卖方向保险公司提出赔偿。DOCUMENTS:(1)SignedcommercialInvoicein3flodsindicatingContractNo.(2)Packinglist/weightmemoin3flodsindicatingquantity/numbleofbottle(3)Fullset(3/3)oforiginaloceanBillofLading.(4)Certificateoforigin,1originaland2copiesissuedbytheManufacturer.(5)Certificateofinsuranceat110%ofinvoicevalueissuedbytheinsurancecompany,includingallrisk.Ifthecargoisdamagedintheperiodofshipmentthebuyerswillclaimagainstinsurancecompany.10.装船通知：卖方在收到提货单4日内转交一份提货单复印件给买方。SHIPPINGADVICE:ThesellertoforwardacopyofthebillofLadingwithin4workingdaysofreceival.11.质量保证：商品的制作质量问题由买方承担责任。GUARANTEE:TheBuyershouldtaketheresponsibilityforqualityissuesduetothemanufacturingprocess.12.人力不可抗拒：凡在澳洲边境内制造或装船运输过程中，因人力不可抗拒的事故，致使卖方推迟交货或不能交货时，卖方可不负责任，但发生上述事故时，卖方应立即通知买方，并在十四日内，给买方航寄一份由主管政府当局颁发的事故证明书。在此情况下，卖方仍有责任采取一切必要措施加速交货。如事故延续四周以上，买方有权撤销合同。FORCEMAJEURE:TheSellersshallnotberesponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransitwithinAustralia.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereaftertheSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentcreatesadelayofmorethanfourweeks,theBuyershallhavetherighttocancelthecontract.13.仲裁：凡因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决，如果协商不能解决，应提交中国国际贸易促进委员会对外经济贸易仲裁委员会上海分会根据该会仲裁程序暂行规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费用由败诉方承担。ARBITRATION:AlldisputesarisingformtheexecutionoforinconnectionwiththisContractshallbesettledamicablythroughfriendlynegotiation.Incasenosettlementcanbereachedthroughnegotiation,thecaseshallthenbesubmittedtotheForeignEconomicandTradeArbitrationCommissionoftheChinaCouncilShanghaiBranchforthepromotionofInternationalTrade,Beijing.Thearbitrationfeeshallbebornebythelosingparty.14.本合同正本一式两份，买方执一份，卖方执一份。合同生效以签字日为准。本合同根据中国法律签订，以中文说明为准。Thecontractismadeoutintwooriginals.Eachsignatorypartyholdsoneoriginal.ThedateofsignatureofbothPartiesistheeffectivedateofcontract.ThiscontractissignedaccordingtotherulesandthelawsofChina.TheSeller:TheBuyer:AuthorizedSignaturewithCo.ChopAuthorizedSignaturewithCo.Chop授权签字授权签字Date日期Date日期
