©CopyrightBiztreeInc.2010.Allrightsreserved.ProtectedbythecopyrightlawsoftheUnitedStates&Canadaandbyinternationaltreaties.ITISILLEGALANDSTRICTLYPROHIBITEDTODISTRIBUTE,PUBLISH,OFFERFORSALE,LICENSEORSUBLICENSE,GIVEORDISCLOSETOANYOTHERPARTY,THISPRODUCTINHARDCOPYORDIGITALFORM.ALLOFFENDERSWILLBESUEDINACOURTOFLAW.HostingAgreementPage1of6HOSTINGAGREEMENTThisHostingAgreement(the“Agreement”)iseffective[DATE],BETWEEN:[CORPORATIONNAME](theCorporation),acompanyorganizedandexistingunderthelawsofthe[State/Province]of[STATE/PROVINCE],withitsheadofficelocatedat:[YOURCOMPLETEADDRESS]AND:[CUSTOMERNAME](theCustomer),acompanyorganizedandexistingunderthelawsofthe[State/Province]of[STATE/PROVINCE],withitsheadofficelocatedat:[COMPLETEADDRESS]1.HOSTINGAGREEMENTThisAgreement(includingitsExhibit[SPECIFY]andallotherdocumentsreferencedherein)isenteredintoby[CORPORATINNAME](TheCorporation)and[CUSTOMERNAME](Customer)forthepurposeofprovidingCustomerwithWeb-basedaccessto[CORPORATIONNAME]’ssoftwarespecifiedinExhibit[SPECIFY],includinganyupdates,upgradesorrevisionsprovidedunderthisAgreement(Software),andcertainotherservicesrelatingtotheprocessingofandresponsetoonlineinquiriesandmessages(OnlineMessages)receivedbyCustomerfromitscustomersandotherusersofCustomer'sWebsite(Users).2.PROVISIONOFSERVICESCorporationwillprovideCustomerwithaccess,maintenanceandrelatedhostingservices(HostingServices)totheSoftwareinstalledonCorporation'sserversandotherequipment(theCorporationSystem).Customeragrees,asreasonablyrequestedbyCorporation,toprovideCorporationwithaccesstoCustomer'spremisesandequipmentandtootherwisecooperatewithCorporationinperformingtheservices.DuringthetermofthisAgreement,Customermayobtaininformation(Reports)regardingCustomer'suseoftheSoftwareandthequantityandhandlingofOnlineMessagesroutedtotheCorporationSystembyaccessingtheCorporationSystemthroughapassword-protectedWebsitemadeavailablebyCorporation.CustomershallberesponsibleformaintainingtheconfidentialityofsuchpasswordsandshallpermitonlyauthorizedemployeesofCustomertoaccesstheCorporationSystem.TheHostingServices,andthehostingfeesspecifiedinExhibit[SPECIFY],donotincludeanydeployment,trainingorotherconsultingorprofessionalserviceswhich,ifapplicable,willbespecifiedinaStatementofWork,signedbybothparties,andincorporatedhereinbythisreference.2.1.CustomerSupportCorporationwillprovidelivetelephonesupporttoCustomer[NUMBER]hoursaday,[NUMBER]daysaweekbyatrainedCorporationincustomersupportrepresentative.©CopyrightBiztreeIncInc.2010.Allrightsreserved.Protectedby©CopyrightBiztreeInc.2010.Allrightsreserved.ProtectedbythecopyrightlawsoftheUnitedStates&Canadaandbyinternationaltreaties.ITISILLEGALANDSTRICTLYPROHIBITEDTODISTRIBUTE,PUBLISH,OFFERFORSALE,LICENSEORSUBLICENSE,GIVEORDISCLOSETOANYOTHERPARTY,THISPRODUCTINHARDCOPYORDIGITALFORM.ALLOFFENDERSWILLBESUEDINACOURTOFLAW.HostingAgreementPage2of63.CUSTOMER'SRESPONSIBILITIESCustomeragreesthatitshallberesponsibleforprovidingandmaintainingitsownInternetaccessandallnecessarytelecommunicationsequipment,softwareandothermaterials(CustomerEquipment)atCustomer'slocationnecessaryforaccessingtheSoftwareandtheCorporationSystemthroughtheInternet.CustomeragreestonotifyCorporationofanychangesintheCustomerEquipment,includinganysystemconfigurationchangesoranyhardwareorsoftwareupgrades,whichmayaffecttheHostingServicesprovidedhereunder.TheCorporationSystemisonlytobeusedforlawfulpurposes.Customeragreesnottotransmit,re-transmitorstorematerialsonorthroughtheCorporationSystemortheSoftwarethatareharmfultotheCorporationSystemorSoftware,orinviolationofanyapplicablelawsorregulations,includingwithoutlimitationlawsrelatingtoinfringementofintellectualpropertyandproprietaryrightsofothers.TotheextentthatcertaincomponentsoftheSoftwaremaybedownloadedtoCustomer'sorUser'scomputerasaresultofaccessingtheSoftwareaspartoftheHostingServices,CorporationgrantsCustomersanon-exclusive,non-transferable,limitedlicense,withrighttosublicensesolelytoUsers,tousesuchSoftwareonlyinconnectionwiththeHostingServices.NeitherCustomernorUsersareotherwisepermittedtousetheSoftware,norwillCustomerorUsersdisassemble,decompileorotherwiseattempttodiscernthesourcecodeofsuchSoftware.Customeragreesthat,exceptasexpresslysetforthinthisSectionandinSection11,itwillnotrent,lease,sublicense,re-sell,time-shareorotherwiseassigntoanythirdpartythisAgreementoranyofCustomer'srightsorlicensestoaccesstheSoftwareortheCorporationSystem,norshallCustomeruse,orauthorizeotherstouse,theSoftware,HostingServicesortheCorporationSystemtooperateaservicebureau.Notwithstandingtheprecedingsentence,CustomershallbepermittedtoprovideaccesstotheCorporationSystemtoitsemployeesandagentslocatedworldwide.4.PROPRIETARYRIGHTSExceptforthelimitedaccessrightgrantedtoCustomerinthisAgreement,allright,titleandinterestinandtotheSoftware(includinganyandallmodificationsasaresultofanyimplementationservicesrendered)andtheCorporationSystemareandshallremaintheexclusivepropertyofCorporationanditslicensors.CorporationacknowledgesandagreesthattheOnlineMessagesarethepropertyofCustomer
