ExchangeParticipantoftheStockExchangeofHongKongLtd.SECURITIESFUTURESINTERNETTRADING-1--2--3-STANDINGAUTHORITY(CLIENTSECURITIES)To:ChinaMerchantsSecurities(HK)Co.,Limited.(theCompany)48thFloor,OneExchangeSquare,Central,HongKong.Re:StandingAuthorityunderSecuritiesandFutures(ClientSecurities)RulesThisAuthorityisinrespectofthemanagementofanddealingintheSecurities(asdefinedintheMarginAccountAgreementinrespectofthesecuritiesmarginaccountmaintainedbytheundersignedcustomer(theCustomer)withtheCompanyassetoutbelow(theAccount))oftheCustomer.Unlessthecontextotherwiserequires,alltheexpressionsusedinthisAuthorityshallhavethesamemeaningsasintheSecuritiesandFuturesOrdinanceandtheSecuritiesandFutures(ClientSecurities)Rulesasamendedfromtimetotime.ThisCustomerherebyauthorizestheCompany,intheCompany'ssolediscretion,withouthavingtoprovidetheCustomerwithanypriornoticeortoobtainthepriorconfirmationand/ordirectionoftheCustomer:(1)TodeposittheCustomer'sSecuritieswithanauthorizedinstitution(asdefinedintheBankingOrdinance)ascollateralforfinancialaccommodationprovidedtotheCompany;(2)TolendordeposittheCustomer'sSecuritiestoapersoninaccordancewiththerulesandregulationsofTheStockExchangeofHongKongLimited,HongKongSecuritiesClearingCompanyLimited(HKSCC),ortoapersonofaclassspecifiedbytherelevantrulesoftheSecuritiesandFuturesCommissionofHongKong;(3)TodeposittheCustomers'SecuritieswiththeHKSCCascollateralforthedischargeandsatisfactionoftheCompany'sclearingandsettlementobligationsandliabilities.TheCustomerunderstandsthatHKSCCwillhaveafixedchargeovertheCustomer'sSecuritiestotheextentoftheobligationsandliabilitiesoftheCompany;and(4)ToapplytheCustomer'sSecuritiesinaccordancewithparagraphs(1),(2)and(3)aboveiftheCompanyprovidesfinancialaccommo-dationtotheCustomerinthecourseofdealinginsecuritiesandalsoprovidesfinancialaccommodationtotheCustomerinthecourseofanyotherregulatedactivitiesofwhichyouarelicensedorregistered.ThisAuthorityisgiventotheCompanyinconsiderationofyouragreeingtocontinuetomaintaintheAccountfortheCustomer.ThisAuthoritydoesnotcoveranyconsiderationtheCustomermustpayorbepaidfortheborrowing,lendingordepositinganyofthesecuritiesoftheCustomer.AnysuchconsiderationmustbesetoutinaseparateagreementbetweentheCustomerandtheCompany.TheCustomerdeclares,undertakesandwarrantsthattheCustomerhastheabsoluteownershipoftheCustomer'sSecuritiesfreefromallliens,chargesandencumbrancesduringthecontinuanceinforceofthisAuthority.TheCustomerfullyunderstandsthatathirdpartymayhaverightstotheCustomer'sSecuritieswhichtheCompanymustsatisfybeforetheCustomer'sSecuritiescanbereturnedtotheCustomer.TheCustomerherebyagreestoindemnity,andtokeepindemnified,theCompanyandthecompanies(asdefinedintheCompaniesOrdinance)towhichtheCompanybelongs(oranyofthem)fromandagainstalllosses,damages,interests,costs,expenses,actions,demands,claimsorproceedingsofwhatsoevernaturewhichthey(oranyofthem)mayincur,sufferand/orsustainasaconsequenceofanytransactionundertakeninpursuanceofthisAuthority.ThisAuthorityisvalidforaperiodoftwelve(12)monthsfromthedatehereof.ThisAuthoritymayberevokedbytheCustomeratanytimebyservingontheCompanywrittennoticetothateffect.SuchrevocationshallnottakeeffectuntilactualreceiptbytheCompanyofsuchwrittennoticeandshallnotaffectanytransactionundertakenbytheCompanypursuanttothisAuthoritypriortosuchrevocationtakingeffect.TheCustomeracknowledgesandagreesthatthisAuthorityshallbedeemedtoberenewedonacontinuingbasiswithouttheCustomer'swrittenconsentiftheCompanyissuestheCustomerawrittenreminderatleastfourteen(14)dayspriortotheexpirydateofthisAuthority,andtheCustomerdoesnotobjecttosuchdeemedrenewalbeforesuchexpirydate.IntheeventofanydifferenceininterpretationormeaningbetweentheEnglishandChineseversionofthisAuthority,theCustomeragreesthattheEnglishversionshallprevail.TheCustomerconfirmsthatthisAuthorityhasbeenexplainedtotheCustomerandtheCustomerfullyunderstandsthecontentsofthisAuthorityandhavesought,orhavehadtheopportunitytoseek,legaladviceconcerningitscontentsandeffect.CustomerSignature:____________________________CustomerName:____________________________ID/passportno.:____________________________MarginAccountNo.:____________________________:____________________________Date-4--5--5--6--7--8-FORINTERNALUSEONLYCashA/CMarginA/CFuturesA/CA/Cintroducedby/DateA/EcodeBrokerageCashTradeLimitInterestRateMarginFinanceLimitSingleTransactionLimitAccumulateTradingLimitInput/DateChecked/DateDocumentControl/Date(remarks)Approved/Date(remarks)InternetTradingAdditionalInformation-9-
