AGREEMENTTHISAGREEMENT(this“Agreement”)ismadeasofthis__dayof__________,200_,(the“EffectiveDate”)byandbetween_________________.(Purchaser)and_________________(Seller).WITNESSETH:WHEREAS,Purchaserwishestopurchase________________fromSeller;andWHEREAS,Selleriswillingtosellsuch_____________toPurchaser;NOW,THEREFORE,inconsiderationofthecovenants,conditionsandpaymentshereinaftersetforth,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:1.Price,Quantity,ShippingInstructions,andPaymentTerms.SellerwillselltoPurchaser__(the“Goods”)[RFP______,dated____],pursuanttothetermsofthisAgreementandtheprice,payment,delivery,andothertermssetforthintheAppendixattachedheretoandmadeaparthereof(the“Appendix”).TheGoodswillbeshipped___,inaccordancewiththedetailsspecifiedintheAppendix.NothingcontainedinthisAgreementshallbeconstruedasacommitmentbyPurchasertopurchaseanyGoods,orminimumquantitythereof,fromSeller.2.Term.ThetermofthisAgreementshallbeginontheEffectiveDate,andshallendon___________(the“Term”)unlessearlierterminatedinaccordancewiththisAgreement.3.TitleandRiskofLoss.TitletoandriskoflossofallGoodsfurnishedhereundershallremainwithSelleruntilreceipt,inspection,andacceptanceoftheGoodsbyPurchaser.SellerwarrantsthatithascleartitletotheGoodsandthatthereisnooutstandinghostileclaimagainstorsecurityinterestintheGoodsheldbyathirdparty.4.Non-Disclosure.Allinformation,includingbutnotlimitedto,financialstatements,productinformation,manufacturingcapabilities,passwords,documents,dataandbusinessrecords,whichisdisclosedtoPurchaserbySellerorwhichPurchaserobservesorcomesintocontactwithduringtheTermofthisAgreement,whethergeneratedbySellerorcontractorofSeller,shallbedeemedConfidentialInformationandthesoleandexclusivepropertyofSeller.PurchasershalltakeallreasonablemeasurestomaintaintheconfidentialityofsaidConfidentialInformationbyitsemployees,agents,representativesandcouriers.PurchasershallnotusetheConfidentialInformationforanypurposesotherthantoperformitsobligationshereunderandshallnotdiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofSeller.Purchaseracknowledgesthatallright,title,andinterestinandtosaidConfidentialInformation,includingtherighttoproduce,extract,orexhibitsaidConfidentialInformationtoanythirdpartyandanyintellectualpropertyrightsrelatingtosaidConfidentialInformation,existinSelleronly.PurchasershallreturnsuchConfidentialInformationpromptlyupontheexpirationorterminationofthisAgreement.5.Warranties.NotwithstandinganylimitationstothecontraryinSeller’sinvoiceand/orsalesdocumentation,Sellerexpresslywarrantsthat:2(a)allGoodswillconformto[thepurchaserrequirements]andanyotherapplicableplans,drawings,specificationsorsamplesfurnishedbyPurchaser,orfurnishedbySellerandapprovedandacceptedbyPurchaser,itbeingunderstoodthatsuchplans,drawings,specificationsorsamples,areincorporatedbyreferenceandmadeaparthereof;(b)allGoodswillbeofmerchantablequality,fitandsufficientforthepurposeorderedandcommunicatedtoSeller,andwillbefreefromlatentorpatentdefectsinmaterialandworkmanship;(c)allserviceswillbeperformedinaworkmanlike,efficientandsafemannerandwillconformtostandardsgenerallyacceptedinthetradeorindustryinvolved;(d)allGoodsareandwillbefreefromanysecurityinterest,lien,orencumbrance;6.Remedies.(a)IfanyoftheGoodsarefoundwithinthewarrantyperiodprovidedintheAppendixtobedefectiveinmaterialorworkmanshiporotherwisenotinconformitywiththerequirementsofthisAgreement,Purchaser,inadditiontoanyotherrightswhichitmayhaveunderwarrantiesorotherwise,shallhavetheright,atitsoption(i)torevokeacceptance,rejectandreturnsuchGoodsatSeller'sexpense,inwhicheventconformingGoodsshallbeprovidedbySelleratitscostwithinten()daysofsuchrevocationandsuchreplacementGoodsshallcarryawarrantyequivalenttothatsetforthintheAppendixrunningfromthedateofPurchaser’sreceiptofsuchreplacementGoods;or(ii)notifySellerofnoncompliance,defects,ordeficienciesintheGoods,whichSellershallrepairand/orcorrectatSeller’sexpensewithinten()daysofsuchnoticeandsuchrepairsshallcarryawarrantyequivalenttothatsetforthintheAppendixrunningfromthedateofPurchaser’sacceptanceofsuchrepairedGoods;or(iii)uponnoticetoSeller,totakesuchactionsasmayberequiredtocurealldefectsand/orbringtheGoodsintoconformitywithalltherequirementsofthisAgreement,inwhicheventallcostsandexpensestherebyincurredbyPurchasershallbeforSeller'saccount,.EffortsbyPurchasertocorrectdefectsordeficienciesshallnotprecludePurchaserfromrevokingacceptanceandrejectingtheGoodsunderthisSectionorapplicablelawwherePurchaser’scommerciallyreasonableattemptstocorrectthedefectiveconditionsprovetobeunsuccessful.(b)IntheeventthatPurchaserinvokestheremedysetforthinSection6(a)(ii),PurchasershallcooperateinprovidingreasonableaccesstotheGoods,dataandtechnicalassistance(ifavailable)asrequiredtodevelopandschedulerepairsandrelatedtestingofmodificationsorrepairs,ifnecessary,toassistSellerinitscorrectionofthedefectsordeficienciesintheGoods.Sellerwillschedulerepairstominimizedisruption,lossandinconveniencetoPurchaser,orifrequired,Sellershall,
