翻译文稿在原文下面NON-DISCLOSUREAGREEMENTThisNon-DisclosureAgreement(theAgreement)ismadeandenteredintoasofthelaterofthetwosignaturedatesbelowbyandbetweenxxxxxxx.,aDelwarecorporation,and_________________.INCONSIDERATIONOFTHEMUTUALPROMISESANDCOVENANTSCONTAINEDINTHISAGREEMENTANDTHEMUTUALDISCLOSUREOFCONFIDENTIALINFORMATION,THEPARTIESHERETOAGREEASFOLLOWS:1.DefinitionofConfidentialInformationandExclusions.(a)ConfidentialInformationmeansnonpublicinformationthatapartytothisAgreement(“DisclosingParty”)designatesasbeingconfidentialtothepartythatreceivessuchinformation(“ReceivingParty”)orwhich,underthecircumstancessurroundingdisclosureoughttobetreatedasconfidentialbytheReceivingParty.ConfidentialInformationincludes,withoutlimitation,informationintangibleorintangibleformrelatingtoand/orincludingallbusiness,technical,andfinancialinformation(including,withoutlimitation,specificcustomerrequirements,customerandpotentialcustomerlists,marketingandpromotionalinformation,tradesecret,copyright,andtrademarkinformation,andinformationconcerningaparty’semployees,agents,divisions,practices,policies,operations,andpricinginformation),aswellasinformationreceivedfromothersthatDisclosingPartyisobligatedtotreatasconfidential.ExceptasotherwiseindicatedinthisAgreement,theterm“DisclosingParty”alsoincludesallAffiliatesoftheDisclosingPartyand,exceptasotherwiseindicated,theterm“ReceivingParty”alsoincludesallAffiliatesoftheReceivingParty.An“Affiliate”meansanyperson,partnership,jointventure,corporationorotherformofenterprise,domesticorforeign,includingbutnotlimitedtosubsidiaries,thatdirectlyorindirectly,control,arecontrolledby,orareundercommoncontrolwithaparty.(b)ConfidentialInformationshallnotincludeanyinformation,howeverdesignated,that:(i)isorsubsequentlybecomespubliclyavailablewithoutReceivingParty'sbreachofanyobligationowedDisclosingParty;(ii)becameknowntoReceivingPartypriortoDisclosingParty’sdisclosureofsuchinformationtoReceivingPartypursuanttothetermsofthisAgreement;(iii)becameknowntoReceivingPartyfromasourceotherthanDisclosingPartyotherthanbythebreachofanobligationofconfidentialityowedtoDisclosingParty;or(iv)isindependentlydevelopedbyReceivingParty.2.ObligationsRegardingConfidentialInformation.(a)ReceivingPartyshall:(i)RefrainfromdisclosinganyConfidentialInformationoftheDisclosingPartytothirdpartiesforfive(5)yearsfollowingthedatethatDisclosingPartyfirstdisclosessuchConfidentialInformationtoReceivingParty,exceptasexpresslyprovidedinSections2(b)and2(c)ofthisAgreement;(ii)Takereasonablesecurityprecautions,atleastasgreatastheprecautionsittakestoprotectitsownconfidentialinformation,butnolessthanreasonablecare,tokeepconfidentialtheConfidentialInformationoftheDisclosingParty;(iii)Refrainfromdisclosing,reproducing,summarizingand/ordistributingConfidentialInformationoftheDisclosingPartyexceptinpursuanceofReceivingParty'sbusinessrelationshipwithDisclosingParty,andonlyasotherwiseprovidedhereunder;and(iv)Refrainfromreverseengineering,decompilingordisassemblinganysoftwarecodeand/orpre-releasehardwaredevicesdisclosedbyDisclosingPartytoReceivingPartyunderthetermsofthisAgreement.(b)ReceivingPartymaydiscloseConfidentialInformationofDisclosingPartyinaccordancewithajudicialorothergovernmentalorder,providedthatReceivingPartyeither(i)givestheundersignedDisclosingPartyreasonablewrittennoticepriortosuchdisclosuretoallowDisclosingPartyareasonableopportunitytoseekaprotectiveorderorequivalent,or(ii)obtainswrittenassurancefromtheapplicablejudicialorgovernmentalentitythatitwillaffordtheConfidentialInformationthehighestlevelofprotectionaffordedunderapplicablelaworregulation.(c)TheundersignedReceivingPartymaydiscloseConfidentialInformationonlytoReceivingParty'semployeesandconsultants(includinglegal,accounting,orotherprofessionaladvisors)onaneed-to-knowbasis.TheundersignedReceivingPartywillhaveexecutedorshallexecuteappropriatewrittenagreementswithitsemployeesandsuchconsultantssufficienttoenableittocomplywithalltheprovisionsofthisAgreement,andshallberesponsibleforanybreachoftheconfidentialityrestrictionshereinbysuchemployeesandconsultants.(d)ReceivingPartyshallnotifytheundersignedDisclosingPartyimmediatelyupondiscoveryofanyunauthorizeduseordisclosureofConfidentialInformationoranyotherbreachofthisAgreementbyReceivingPartyanditsemployeesandconsultants,andwillcooperatewithDisclosingPartyineveryreasonablewaytohelpDisclosingPartyregainpossessionoftheConfidentialInformationandpreventitsfurtherunauthorizeduseordisclosure.(e)ReceivingPartyshall,atDisclosingParty’srequest,returnalloriginals,copies,reproductionsandsummariesofConfidentialInformationandallothertangiblematerialsanddevicesprovidedtotheReceivingPartyasConfidentialInformation,oratDisclosingParty'soption,certifydestructionofthesame.3.Remedies.ThepartiesacknowledgethatmonetarydamagesmaynotbeasufficientremedyforunauthorizeddisclosureofConfidentialInformationandthatDisclosingPartyshallbeentitled,withoutwaivinganyotherrightsorremedies,tosuchinjunctiveorequitablereliefasmaybedeemedproperbyacourtofcompetentjurisdiction.4.Miscellaneous.
