NO.:PersonnelAgencyServiceContractDate:MadeandPrintedbyChinaInternationalIntellectech(Shanghai)Corporation1PartyA:ChinaInternationalIntellectech(Shanghai)CorporationSuzhouBranchPartyB:PartyAandPartyBhavereachedanagreementwithregardtoPartyB’sconsignmentofPartyAinprovidingpersonnelagencyservice,andhavesignedthisContractformutualobservation.Article1—ThisContractshallapplytoallissuesrelevanttoPartyB’sconsignmentofPartyAfortheprovisionofapersonnelagencyservice.Article2—ThisContractandallissuesrelevantheretoshallbegovernedbythelawsandregulationsofthePRC.IncaseofanydisputebetweentermshereofandthelawsandregulationsofthePRC,thelawsandregulationsofthePRCshallprevail.Article3—PartyAshall,inaccordancewiththisContractandappendix,havetherighttochargePartyBforaconsignmentmanagementfeeonamonthlybasis.Article4—PartyBshallhavetherighttorequestPartyAtoprovidethepersonnelmanagementserviceasagreeduponbetweenbothparties.Article5—PartyAshallperformthefollowingobligations:5.1PartyAshall,inaccordancewiththisContractandtheAppendix,providePartyBwithallagreeduponpersonnelmanagementservices.5.2PartyAshall,inaccordancewiththepersonnelchangeinformationprovidedbyPartyB,provideallapplicableserviceswithintheperiodasstipulatedbytheGovernment.Article6—PartyBshallperformthefollowingobligations:6.1PartyBshall,inaccordancewiththisContractandAppendix,payaconsignmentmanagementfeeofanagreedamounttoPartyAonamonthlybasis.6.2PartyBshall,priortothe15thdayofeachmonth,notifyPartyAinwrittenofanychangeofstaffmembers(seeAppendixfordetails).PartyBshallberesponsibleforanyexcessexpensespaidforsocialinsuranceandpublicaccumulationfundforhousingduetoPartyB’sdelayinmakingsuchnotice.Article7—Incaseeitherpartymovestoanewoffice,suchpartyshallnotifytheotherparty15daysbeforehandtofacilitatecommunication.Article8—ThisContractandalldocumentsrelevanthereto,includingbutnotlimitedtodrafts,appendixes,communications,letters,andfaxes,shallbecommercialsecretsbelongingtotherelevantparty,andneitherpartyshalldiscloseittoanythirdpartyinanyform,otherwise,theyshallbearthecorrespondingdefaultingliabilities.Thenon-defaultingpartyshallhavetherighttonotifythedefaultingpartyofitsdefaultingactivities,andpresentsuggestionsandrequirementsforcorrection,andthedefaultingpartyshallbeobligedtocompensatefortheotherparty’slossesduetoitsbreachoftheContract.Article9—IfPartyBsuspends,terminates,orcancelsalaborcontractwithitsemployees,PartyBshall,30dayspriortosuspension,termination,orcancellationofthelaborcontract,notifyPartyA,andthechargesthatPartyBshallpayinaccordanceherewithshallbepaidbythedateofsuspension,termination,orcancellationofthelaborcontractasspecifiedinthewrittennoticethatPartyAhasreceived.Article10—PartyAmay,onthebasisoftheconsignmentofPartyB,providethefollowingpersonnelservices(tobechosenonaneed-bebasis)toPartyBandemployeesofPartyBwhohavetransferredtheirrecordstothescopeasdesignatedbyPartyA:10.1PartyAshall,inaccordancewithrelevantregulations,handleincitiesasdesignatedbyPartyBpensioninsurance,basicmedicalinsurance,employmentinsurance,birthinsurance,occupationalinjuryinsurance,andpublicaccumulationsfundforhousingforemployeesofPartyB.210.2PartyAshallpaywagestoemployeesofPartyBandpaypersonalincometaxforemployeesofPartyB.10.3PartyAshallberesponsibleforthemanagementofthepersonalrecordsbelongingtoemployeesofPartyB.10.4PartyAshallprovideemployeesofPartyBwithapplicableidentifycertificationdocuments(includingmaritalstatus,notarization,andrelevantChineseemployee’sadministrativerelationshipcertificates).10.5PartyAshallhandlecollectiveresidenceproceduresfortheemployeesofPartyB.10.6PartyAshall,inaccordancewiththeregulations,handletheprofessionaltechnicaltitleassessmentfortheemployeesofPartyB.10.7PartyAshall,inaccordancewithbusinessrequirementsofPartyB,handleapplicationsforvisasandpassportstoHongKongandMacaoforemployeesofPartyB.10.8PartyAshallperformalltypesofpersonnelrecommendationforPartyB.10.9PartyAshallprovidePartyBwitharangeoflaborandpersonnelpolicyconsultationservicesandassistinhandlinglaborandpersonneldisputes.Article11—Determinationofmanagementfee:11.1ThemanagementfeeshallbeconsultedandagreeduponbetweenbothpartiesintheAppendixattachedheretoonthebasisofthepersonnelmanagementserviceschosenbyPartyB.ThemonthlymanagementfeeshallbeinaccordancewiththeNoticeforPaymentissuedbyPartyA.11.2Themanagementfeeincludesallapplicablesocialinsurancepremiums,amountsformedicalcareandaccidentinsurance,andaservicefeeneededforPartyB’semploymentofworkers.PartyBshall,onamonthlybasis,payapersonnelagencyservicefeeofRMB______Yuan/monthperemployee.PartyBshallremittheamountintheabovetoPartyA’sbankaccountpriortothe15thdayofeachmonth.Account:ZhongzhiShanghaiEconomic&TechnologicalCooperationCompanySuzhouBranchRMBaccount:a/c:USDaccount:a/c:Incaseofdelay,PartyBmustpayalatepaymentfineof1%oftheamountnotdulypaidperday.PartyBmustpay1%demurrageoftheamountper-dayforun-dulypayment.Article12—IncaseanypartyheretobreachesthisContract,thedefaultingpartyshallbearalleconomiclossincurredtotheotherparty.Article13—IfPartyBfailstopaytherelevantamo
