AGREEMENTQUALITYCONTROLSERVICESFORPESHAWAR-KARACHIMOTORWAY(SUKKUR-MULTANSECTION)BetweenCHINASTATECONSTRUCTIONENGINEERINGCORPORATIONLIMITEDAndASSOCIATEDCONSULTANCYCENTRE(PVT)LTD.May30,2016２０１６年五月三十号PageNo.1of31Ⅰ.AGREEMENT协议ThisCONTRACT(hereinaftercalledtheContract)ismadeonthe28thdayofMay,2016between,ontheonehandCHINASTATECONSTRUCTIONENGINEERINGCORPORATIONLIMITED(hereinaftercalledtheClientwhichexpressionshallincludethesuccessors,legalrepresentativesandpermittedassigns)and,ontheotherhand,ASSOCIATEDCONSULTANCYCENTRE(PVT)LTD.(hereinaftercalledthetheConsultantswhichexpressionshallincludethesuccessors,legalrepresentativesandpermittedassigns).本合同（以下简称“本合同”）于２０１６年５月２８号之间编制完成，一方面，中国建筑总公司（以下我们称之为“委托方”其中应包括继承人，法定代理人和许可受让人）另一方面，联合监理中心有限公司（之后称之为“监理方”其中应包括继承人，法定代理人，许可受让人）WHEREAS鉴于：(a)theClienthasrequestedtheConsultantstoprovidecertainconsultingservicesasdefinedintheGeneralConditionsofContractattachedtothisContract(hereinaftercalledtheServices);and委托方已要求监理方提供监理服务（以下简称“服务”）在合同的一般条款中附有规定;(b)theConsultants,havingrepresentedtotheClientthattheyhavetherequiredprofessionalskills,andpersonnelandtechnicalresources,haveagreedtoprovidetheServicesonthetermsandconditionssetforthinthisContract;监理公司，其派送的代表，他们具备必要的专业技能，人才和技术资源，以及阐述在本合同中同意提供的服务。;PageNo.2of31NOWTHEREFOREthePartiesherebyagreeasfollows:鉴此：双方达成如下协议：1.ThefollowingdocumentsattachedheretoshallbedeemedtoformanintegralpartofthisContract:所附下列文件应被视为本合同的组成部分(a)TheGeneralConditionsofContract;通用合同条款(b)TheSpecialConditionsofContract;特殊合同条款PageNo.3of31(c)ThefollowingAppendices:以下附录：AppendixA:DescriptionoftheServices附录A:该服务的说明AppendixB:ReportingRequirements附录B:报告要求AppendixC:KeyPersonnel附录C:主要人员AppendixD:BreakdownofContractPriceinForeignCurrency(NotApplicable)附录Ｄ：不可用AppendixE:BreakdownofContractPriceinLocalCurrency附录Ｅ：对于合同总价中本地货币贬值AppendixF:Services&FacilitiestobeprovidedbytheClient附录Ｆ：委托方提供服务及设备AppendixG:Integritypact(NotApplicable)附录Ｇ：不可用AppendixH:ScheduleofCommencementofServices附录Ｈ：开始服务的时间表AppendixI:Organizationchartofinhouseteamofconsultants附录Ｉ：内部监理团队的组织结构图2.ThemutualrightsandobligationsoftheClientandtheConsultantsshallbeassetforthintheContract,inparticular:在此合同中委托人和监理双方应履行的相互权利和义务，(a)TheConsultantsshallcarryouttheServicesinaccordancewiththeprovisionsoftheContract;and监理公司应按照合同的规定开展业务;(b)TheClientshallmakepaymentstotheConsultantsinaccordancewiththeprovisionsoftheContract.委托方应按照合同的规定，给监理方付款。。INWITNESSWHEREOF,thePartiesheretohavecausedthisContracttobesignedintheirrespectivenamesintwoidenticalcounterparts,eachofwhichshallbedeemedastheoriginal,asoftheday,monthandyearfirstabovewritten.兹证明，缔约各方在本合同中正副两份中进行双方署名的签署，每个版本视为原件，双方已于本合同首页所载日期通过其正式授权的代表签订本合同,以资证明。Forandonbehalfof为期代表Witness（见证人）CHINASTATECONSTRUCTIONENGINEERINGCORPORATIONLIMITED中国建筑总公司Signatures___________________Signatures________________签名签名Name______________________Name____________________姓名姓名Title________________________Title_____________________标题标题(Seal)盖章Forandonbehalfof为期代表PageNo.4of31Witness见证人ASSOCIATEDCONSULTANCYCENTRE(PVT)LTD.联合监理中心有限公司Signatures___________________Signatures________________签名签名Name______________________Name____________________姓名姓名Title_______________________Title_____________________标题标题(Seal)盖章Ⅱ.GENERALCONDITIONSOFCONTRACT通用合同条款1.GENERALPROVISIONS一般规定1.1Definitions定义Unlessthecontextotherwiserequires,thefollowingtermswheneverusedinthisContracthavethefollowingmeanings:除非上下文另有要求，本“合同”中使用的下列名词具有下列含义：(a)ApplicableLawmeansthelawsandanyotherinstrumentshavingtheforceoflawintheIslamicRepublicofPakistan,asthosemaybeissuedandinforcefromtimetotime;“适用法律”是指此在巴基斯坦伊斯兰共和国法律法规下具有的法律效应，在合同签署时，此法律法规将延续有效。(b)ContractmeanstheContractsignedbytheParties,towhichtheseGeneralConditionsofContract(GC)areattached,togetherwithallthedocumentslistedinClause1ofsuchsignedContract;“适用法律”是指此在巴基斯坦伊斯兰共和国法律法规下具有的法律效应，在合同签署时，此法律法规将延续有效。(c)ContractPricemeansthepricetobepaidfortheperformanceoftheServices,inaccordancewithClause6;合同价格”是指在法规第6款规定，付款是根据服务的表现及性能。(d)EffectiveDatemeansthedateonwhichthisContractcomesintoforceandeffectpursuanttoSub-Clause2.1;有效日期”是指合同中的时间，期限将根据第2.1款法规规定生效及具有法律效应(e)GCmeanstheseGeneralConditionsofContract;“通用条款”是指通用合同条款(f)GovernmentmeanstheGovernmentoftheIslamicRepublicofPakistanand/orProvincialGovernment(s).“政府”是指巴基斯坦伊斯兰共和国/或者是省政府(g)ForeignCurrencymeanscurrencyotherthanthecurrencyofIslamicRepublicofPakistan.;“国外货币”是指除巴基斯坦伊斯兰共和国之外的货币(h)LocalCurrencymeansthecurrencyoftheIslamicRepublicofPakistan;“本地货币”是指巴基斯坦伊斯兰共和国货币PageNo.5of31(i)MemberincasetheConsultantsconsistofajointventureofmorethanoneentity,meansanyoftheentities,andMembersmeansalloftheseentities;“成员”在本文中是指监理是由多个实体的合资企业组成，成员是指这些实体企业。(j)PartymeanstheClientortheConsultants,asthecasemaybe,andPartiesmeansbothofthem;“当事人”是指客户或咨询公司人员，在案例中“当事人”是指他们双方人员。(k)PersonnelmeanspersonshiredbytheConsultantsorbyanySub-consultantsasemployeesandassignedtotheperformanceoftheServicesoranypartthereof;人事部门”是指人员被监理公司或子监理公司雇佣人员以及跟公司签订劳务合同。(l)SCmeanstheSpecialConditionsofContractbywhichtheGCareamendedorsupplemented;“SC”是指合同中的特殊条款，它是对通用条款的补充或改进(m)ServicesmeanstheworktobeperformedbytheConsultantspu
