模具保管协议MouldKeepingAgreement合同号/ContractNo.甲方：（hereinafter“PartyA”）乙方：（hereinafter“PartyB”）IndividuallycalledPartyAandPartyBrespectivelyand/orthe“Party”andtogether,calledthe“Parties”.经过友好协商和在公平、平等的原则基础上，双方约定如下：Afterfriendlyconsultationsandproceedingonprinciplesoffairnessandequality,thePartieshaveagreedthefollowing:一、保管模具内容/MouldInfo.二、模具价格表/MouldPriceList模具名称MouldDescription计量数量Quantity单价（人民币）UnitPrice(RMB)总价(人民币)TotalPrice(RMB)单位Unit￥￥￥￥合计TotalAmount￥合计人民币金额（大写）：TotalAmount(Capital):以上价格已含17%的增值税.Theabovepricesinclude17%VAT.三、保管约定/Commitment1)甲方将如上的模具寄存于乙方。所有寄存模具的所有权归甲方所有。非经甲方书面同意，乙方不得为自己或他人复制或仿制该模具。PartyAputstheabovemouldsinPartyB.TheownershipofthestoragemouldsbelongstoPartyA.PartyBcannotcopyorimitatethemouldsforitselforforotherswithoutthewrittenpermissionofPartyA.2)乙方承诺不去掉寄存模具上的名称和标记，并将这些寄存模具与其它企业的物品分开存放，使这些寄存模具能够很容易地被辨别出来。PartyBpromisesnottoremovethenameandmarksonthestoragemouldsandkeepthemseparatelywithotheritemsinorderthattheycanbeidentifiedeasily.3)任何寄存于乙方的本约模具只能由受过专门培训的员工使用和操作。除正常磨损外，乙方承诺对这些寄存模具进行维护以使其保持良好的状态，且保管期间发生的一切费用由乙方承担。在保管或使用这些寄存模具时，乙方要为这些模具投保，保险金额应等同于这些寄存模具的替换成本，若有丢失或损坏，则以同等价格赔付给甲方。Onlyspeciallytrainedstaffcanuseandoperatethemoulds.Inadditiontonormalwearandtear,PartyBpromisestomaintainthestoragemouldsinordertokeepthemingoodconditionandundertakeallthecoststhatoccurredduringthekeepingtime.PartyBshouldbuyinsuranceforthestoragemouldswhenkeepingorusingthem.Theinsuranceamountshouldbeequaltothereplacementcostofthestoragemoulds.Iflostordamaged,PartyBshouldcompensatePartyAwiththemouldpricelistedontheagreement.4)乙方应当对用寄存模具生产出的样件进行检验，以确定这些模具是否符合甲方的工程图纸和规范要求。乙方必须在收到甲方的书面确认样件合格后正式批量生产产品。PartyBshouldinspectthesamplewhichisproducedbythestoragemouldtodeterminewhetherthemouldsfitwiththeengineeringdrawingsandspecificationsfromPartyA.PartyBwillstartmassproductionafterreceivingthewrittenconfirmationandacceptancefromPartyA.5)乙方每月向甲方提交一份有关各模具的维护报告。报告内容应包括：上一个月对模具进行维护的情况以及该模具的当前状况。PartyBshouldsubmitamonthlymaintenancereportaboutthemouldstoPartyA.Thereportshouldincludethemould’smaintenanceconditionsoflastmonthanditscurrentsituation.6)未经甲方书面同意，乙方如利用或提供本约之模具为甲方以外之人加工、生产或将其生产之产品销售给甲方以外之任何人时，乙方须给付甲方其生产、转售总值之十倍违约金。IfPartyBusesthestoragemouldtoprocess,produceormanufacturetheproductstoselltoanypersonotherthanPartyAwithoutthewrittenpermissionofPartyA,PartyBshallpayPartyAofitsproductionandresalevalueoftentimesthepenalty.7)甲方可随时取回该模具，乙方不得以任何理由扣留，否则自甲方要求取回该模具之日起，每逾期一日，按该模具总价之25%进行罚款，由甲方支付给乙方之货款中自行扣除。如货款不敷抵扣时，由乙方另行赔偿。PartyAcantakebackthestoragemouldsatanytime,PartyBshouldnotdetainthemforanyreasonorfromthedatethatPartyArequiredtotakebackthemoulds,eachoverdueday,PartyBshallpaythepenaltyof25%oftotalmoulds’costtoPartyAandthepenaltieswillbedeductedfromthemoulds’keepingcostpaidtoPartyB.Ifpaymentisinsufficienttooffset,PartyBshouldpayforthecompensationseparately.四、保密责任/Confidentiality未经甲方允许，乙方不得将甲方所提供的图纸及技术资料以口头、书面、出示和借用的方式转泄露给第三方。如有发生信息泄露,甲方有权追究其法律责任。WithoutthepermissionofPartyA,PartyBshouldnotdisclosethedrawingsandtechnicalinformationwhichareprovidedbyPartyAinoral,written,showingandlendingwaytothethirdParty.IfPartyBrevealedsuchinformation,PartyAhastherighttopursuePartyB’slegalresponsibility.五、其他约定/Others1)本协议受中华人民共和国的法律法规管辖，并应依照中华人民共和国的法律法规解释。Theagreementshallbegovernedby,andinterpretedinaccordancewith,thelawsandregulationsofthePeople’sRepublicofChina.2)除非双方采用书面形式，否则对本协议的任何修正均属无效。AnyamendmentstothisagreementshallnotbevalidunlessmadebythePartiesinwriting.3)本协议一式两份，每份皆具有同等法律效力。Thisagreementismadeintwooriginalcopies,bothofwhichareequallyvalid.4)本协议在双方签订本协议之日立即生效。ThisagreementshalltakeeffectimmediatelyuponthedateofexecutionbytheParties.5)凡涉及本协议或因本协议而发生的所有争执，都应通过友好协商解决。如果在书面要求协商的通知发出后的三十(30)天内不能解决，则该争执应提交乙方所在地有管辖权的法院进行裁决。AllthedisputesandcontroversiesofeverykindandnaturebetweenthePartiesarisingoutoforinconnectionwiththeagreementortheexecutionhereofshallbesettledbyfriendlynegotiationbetweentheParties.Ifnosettlementcanbereachedwithinthirty(30)daysafterdeliveryofthewrittennoticerequestingthesaidnegotiation,suchdisputeorcontroversyshallbesubmittedacompetentcourtlocatedinthebusinessplaceofPartyAforjudgment.6)当本协议中文文本与英文文本发生歧义时，应以中文文本为准。TheChineseversionofthisagreementwillprevailifthereisanyconflictbetweentheChineseversionandEnglishversionofthisagreement.甲方：PartyA:签字：盖章：Signature:Seal:日期：Date:乙方：PartyB:签字：盖章：Signature:Seal:日期：Date:
