公关活动合作协议

合作协议ProjectContract甲方：乙方：MetroPowerEntertainment上海越唐文化传媒有限公司ThisProjectContractforismadebetween:PartyA:(hereinreferredtoasPartyA);andPartyB:MetroPowerEntertainment(hereinreferredtoasPartyB)双方本着强强联合的愿望，旨在推广Meditteraneo餐厅在上海的影响力。WhereasPartyAandBwiththeintentofemployingadvantagesofbothparts,aswellaspromotingtheuniqueItalianculinarycultureandbringingtotheShanghaicitythefreshandcolorfultasteofItaliancuisine.甲乙双方本着强强联合的愿望，拟在举办“SavouringMediterranean”品味地中海风情暨Meditteraneo餐厅开张活动(以下简称开张活动GrandOpening)。WhereasPartyAandBwiththeintentofemployingadvantagesofbothparts,haveagreedtoholdon(hereinreferredtoas)。甲方和乙方经友好协商，就双方的责任达成以下意向，所有解释以中文文本为准：PartyAandPartyBhavereachedanagreementthroughfriendlyconsultationtoconcludethefollowingcontract.IntheeventofadiscrepancytheChineseversionwillprevail.一、甲、乙双方权利和义务ObligationsandrightsofParties1、甲方作为本次活动的主办单位，应确保活动的按时正常召开。AsthemajorsponsoroftheforthcominggrandopeningofMEDITTERANEORestaurant,PartyAguaranteesthedateofopeningofMEDITTERANEORestaurantonthesaiddate.2、甲方确保有权签署本合同，保证本合同项下乙方的权利。PartyAguaranteesthelegitimaterightsorauthoritiestoexecutethiscontract,andresponsibleforallthetermsandconditionsofthiscontract.3、甲方委托乙方邀请参加2006年6月10日举行的开张活动的28家媒体记者，具体名单见附件一：“开张活动媒体名单”。PartyAentrustsPartyBtoinvitereportersfrom28localmedia,accordingtothelistoflocalmedia,seeaffixedtable.4、甲方委托乙方策划开张活动内容，设计开张活动流程安排和舞美，并在活动当天提前完成。PartyAentrustsPartyBtoplanthecontentsofactivitiesofGrandOpening,includingarrangementofprocessandperformances,PartyBshouldfinalizetheplanpriortothesaidopeningdate.5、甲方委托乙方邀请符合开张活动定位的活动嘉宾包括但不限于领馆人士、政府官员、社会名流、高级白领，约300人。PartyAentrustsPartyBtoinviteabout300VIP.guest，includingbutnotlimitedtoconsulatesandofficersfromItaly,Russia,Japan,U.K.,U.S.,etc.,andVIPincludingcelebrities,Bankers,Corporateexecutives.6、以上服务具体内容、数量及乙方收取的费用如下：PartyAagreestopaythefeestoPartyBaccordingtothefollowingspecifications.Item项目Detail详细UnitPrice（RMB）单价（元）Quantity数量Subtotal(RMB)总计（元）EventManagementFees项目管理费50,000.00ServicesforGrandOpeningarrangements策划服务50,000.00150,000.00InvitingVIP邀请200名嘉宾ServiceforMediaInviting媒体邀请与管理Decoration&Performance设计与表演56,000.00AfamousMC:HEDI提供HEDI作为主持人5,000.0015,000.00InvitationCard邀请函设计与制作15.005007,500.00Sign-InWall签名板3,000.0013,000.00AV&LightFacilities音响灯光设备8,000.0018,000.00SafetyFireworks（alongtheloungeandLogo）冷焰火设备8,000.0018,000.00DJ1,000.0011,000.00Interpreter翻译1,500.0011,500.00LiveBand(5people)乐队伴奏1,000.0055,000.00Photographer摄影1,000.0022,000.00Cameraman摄像1,000.0055,000.00OperaSinger意大利高音歌唱家10,000.00110,000.00MediaManagement媒体邀请与管理17,000.00NewsPaper报纸Journalistinvitingwithphotographer记者车马费500.0063,000.00Magazine杂志Journalistinviting记者车马费500.00147,000.00NET网站Journalistinviting记者车马费500.0052,500.00TV电视Journalistinvitingwithcameraman记者车马费1,500.0034,500.00TVProgramme电视媒体宣传回报SpecialpromotionPrice85000.00TVFeature专题节目AserialofYouaretheChef10-15minutesshowonDragonTV,ChannelYoungandCCTV-9制作10-15分钟《洋厨房》系列专题节目，在中央台CCTV-9，东方卫视、生活时尚频道播出，分四期，宣传时段长达2个半月10TVFeature专题节目Citybeat5minutesprofilestoryaboutMr.Palli，onDragonTV,ChannelYoung,CBNMr.Palli人物专访在Citybeat中播出，约5分钟（东方卫视、生活时尚频道、第一财经频道）1TVFeature专题节目Citybeat5minutesprofilestoryabouttheopeningofMaditteraneo开张活动专题节目在Citybeat中播出，约5分钟（播出频道同上）1TVFeature专题节目NinetoFive5minutesshowonDragonTV,andChannelYoungwithSpecialThanksbanner10次NinetoFive栏目拍摄场地提供鸣谢角标，在生活时尚频道、东方卫视播出10TVFeaturePowerSportsLuckydrawofCoupon在PowerSports中作为观众抽奖内容提供者，连续8期8Total:小计￥208,000.00TAX税10%￥20,800.00GrandTotal：总计含税￥228,800.007、甲方应于2006年5月8日之前，向乙方支付总服务费的50%，即人民币114400.00元（人民币壹拾壹萬肆仟肆佰圆整），作为活动筹备阶段相关开支的资金，以保证活动的按期举行,该费用不以活动结果为支付前提。甲方应于2006年5月20日之前，向乙方支付总服务费的30%，即人民币68640.00元（人民币陆萬捌仟陆佰肆拾圆整）。合同余额于活动结束后一周内支付给乙方即2006年6月16日之前，即人民币45760.00元（人民币肆萬伍仟柒佰陆拾圆整）。支付方式：银行转账。PartyAshallpay50%ofabove-grandtotalfees(RMB114,400)toPartyBbeforeMay8th,2006asadvancefundsforpreparationphasetoassurethescheduleofGrandOpening.PartyAshallpay30%ofabove-grandtotalfees(RMB68,640)toPartyBbeforeMay20th,2006.Theremainingamounts(RMB45,760)shallbepaidtoPartyBbyPartyAwithinaweekafterthecompletionofGrandOpening.Alltheabove-mentionedamountsshallbepaidbytransferringtothespecifiedbankaccountofPartyB.户名：上海越唐文化传媒有限公司TitleofAccount:开户行：兴业银行上海漕河泾支行Bank:帐号：156319-00100076688AccountNo.:8、乙方确保活动按照甲方所确认之方案执行，负责活动的全程实施，监督活动的内容和质量。PartyBshallgetalongwiththeprojectconfirmedbyPartyA,takechargeofthewholeprocessofGrandOpeningandthequalitymanagement.9、乙方确保与甲方在整个活动执行中，随时沟通协商所有与活动相关的细节，对于甲方提出的已确认方案预算之外的要求，其中涉及到经费支出部分，应由甲乙双方签订补充协议之后，由甲方追加支出费用。PartyBshallcommunicateandnegotiatewithPartyAtimelyonthedetailsrelatedtoGrandOpening.IntheeventthatanyneedofadditionalexpendituresbeyondthebudgetagreedbyPartyAisnecessary,theexpensesshallnotbebornebyPartyAunlessamutualconfirmationhasbeenmakenintheformofwrittenannex.二、违约责任Obligationsofbreachofcontract1、合同双方中任何一方都无权在未取得对方书面同意的情况下转让本合同的权利和义务。Therightsanddutiesofeachpartyunderthiscontractmustnotconveytoanythirdpartywithoutpriorwrittenagreement.2、甲乙双方确保遵守本协议项下规定的各自权利和义务。如甲方未按照本合同付款约定向乙方支付服务费用，则因此造成本合同项下乙方完成甲方委托事务有所迟延或者存有瑕疵，乙方不因此承担任何责任，且甲方每延迟支付一日，应向乙方支付应付服务费10%的违约金。在甲方未按付款约定向乙方支付费用的，乙方有权选择继续履行合同或解除合同并要求甲方按照约定支付违约金。Incas
