VERSIONOF201605Pages1/5PayrollServiceAgreementPSThisAgreementisenteredintobyandbetween(hereinafterreferredtoasPartyA)andCIIC(hereinafterreferredtoasPartyB)withregardtopayrollservice.Thepartiesagreetoconductasincerecooperationonthebasisofequalityandmutualbenefits,andhavereachedthefollowingtermsandconditionsthroughmutualconsultations:1.TheScopeandBasesofServices1.1AccordingtotherelevantlawsandregulationsofPRCandtheagreementbetweenthetwoparties,PartyBshallprovidethepayrollservicesforthePersonnelofPartyAanddeclareandhandintheIITatthetaxbureauwhere【PartyA/PartyB】islocated.1.2PartyBshallpreparethesalarysheetsandmakeITTcalculationsbasedontheinformationprovidedbyPartyA.ThesalarysheetsandITTcalculationresultsreviewedandconfirmedbyPartyAshallbethebasesofPartyB’sservicesandthebasesofservicefeescalculation.1.3PartyBshallpreparethesalarysheetsandmakeITTcalculationsaccordingtothepayrollpolicyandITTcalculationrequirementsprovidedbyPartyA.SuchpayrollpolicyandrequirementsprovidedbyPartyAshallnotviolatesrelevantnationalorlocallaws,regulationsandpolicies,otherwisePartyAshallassumealllegalandeconomicresponsibilitiesitcauses.2.ServiceRepresentativePartyBwillassignasservicerepresentativetoprovidethepayrollservice.Therepresentative’scontactinformationisasfollows:Tel:Fax:Email:PartyAwillassignascontactpersontocommunicatewithPartyB’sservicerepresentativewithregardtothepayrollservice.Therepresentative’scontactinformationisasfollows:Tel:Fax:Email:Iftheservicerepresentative/contactpersonofanypartyischanged,thepartyshallinformtheotherpartyinadvanceviawrittenform.3.RightsandObligationsofPartyA(1)PartyAhastherighttoacquireallServicesasprescribedherein,andtoknowtherelevantinformationabouttheoperationalprocessesofPartyB.(2)PartyAhastherighttoproposeadviceandsuggestionsrelatedtothemattersofservice.(3)AccordingtotheServicesagreedbytheparties,PartyAshall【beforethe()dayofeachmonth】timelyprovidethedocumentsandmaterials(seeAppendixI)asmaybereasonablyrequiredbyPartyBtoperformtheServicesandshallberesponsiblefortheauthenticity,validityandintegralityofthematerials.Incaseofanychangestotherelevantdocumentsandmaterials,PartyAshallinformPartyBinwrittenformbeforethe【】dayofsuchmonth.IfPartyAfailstoVERSIONOF201605Pages2/5timelyprovidetheauthenticdocumentsandmaterialsorfailstotimelyinformPartyBofsuchchanges,anydelayortaxevasionconcerningthepayrollandITTdeclarationofPartyA’sPersonnelcausedbysuchfailureoranyotherlegalliabilitiesarisesthereofshallbeassumedbyPartyA.(4)PartyAshallpaytoPartyBthefullamountoftheservicefeeandvalued-addedtaxintimeinlinewiththeAgreement.IftheagreementisterminatedduetoPartyA’sreason,PartyBhastherightnottorefundtheservicefeeandvalued-addedtaxofthecurrentmonth.(5)PartyAshallpaythesalary(includingthetaxduepaid),theservicefee,valued-addedtaxandotherfeesagreedbythetwoparties(hereinafteras“relevantfees”)toPartyBbeforethe【】dayofeachmonth.(6)Afterthisagreementbecomeseffective,ifPartyAentrustsPartyBtoperformthepayrollserviceandtaxdeclarationinconjunctionwiththepaymenttermofthecurrentmonth,suchserviceshallbeperformeduponPartyB’sconsent.IfPartyBagreestoundertakesuchoperationofthemonth,PartyAshallprovidethecompletematerialsrequiredbyPartyBtoperformtheServicesbytheendofthecurrentmonth.4.RightsandObligationsofPartyB(1)PartyBmayrequestPartyAtoproviderelevantinformationanddocumentsasreasonablyrequiredtoperformandonlyusedforthepurposeoftheServices.(2)PartyBshall,uponacceptingtheassignment,maketimelyarrangementfortheservicerepresentativetoprovidePartyAwiththeServices.PartyB’sservicerepresentativeshallhavetheprofessionalskillstoensuretheServicesbeingtimelyprovidedtoPartyAinaprofessionalmanner.(3)PartyBshalldeclareandhandintheIITforthePersonnelofPartyAatthetaxbureauwhere【PartyA/PartyB】islocatedafterreceivingthematerialsfromPartyA.(4)PartyBshallinformPartyAaboutthealternationoftherelevanttaxlaws,regulationsandprocedures.(5)DuringtheprocessofServices,ifthecalculationofsalaryorITTismadeandprovidedbyPartyA,PartyBwillonlyberesponsibleforthesalarydistributionandITTdeclarationaccordingtothestatisticsprovidedbyPartyA,andwillnotassumeanyliabilitywithregardtotheaccuracyofthestatisticsorcalculations.(6)PartyBshall,uponreceivingthefullamountoftherelevantfeesintimefromPartyA,ensurethatthePersonnelofPartyAreceivethesalariesbeforethe【dayofeachmonth(ifthepaydayisapublicholidayorlegalholiday,thenthepaydayisthelastworkingdaybeforetheweekendorholiday,andrelevantclosingdatewithintheserviceprocessshallbemovedaheadaccordingly).PartyBisnotobligedtoprepayanysalaryforPartyA.IfPartyAfailstotransferthefullamountofsalary(includingthetaxduepaid)toPartyBintime,alllegalliabilitiesitcausesshallbeassumedbyPartyA.PartyBshallnotbeaccusedundersuchcircumstances.5.Confidentiality(1)BothPartyAandPartyBshallhavetheobligationtokeeptheinformationandmaterialsconfidentialinthecourseofservice.Withouttheotherparty’spermission,onepartyshallnotuse,disclose,orpermitanyotherthirdpartytouseordisclose,anyconfidentialinformationorcommercialsecretsthatbelongtotheotherparty.(2)PartyAherebyunderstandsandagrees
