TRADEMARKLICENSEAGREEMENTTHISROMEOGIGLIandGIGLITRADEMARKLICENSEAGREEMENT(theAgreement)ismadeandenteredintoonthedayofDecember,2012(theEffectivedate),byandbetweenDOGINTERNATIONAL(LICENSOR),acorporationorganizedunderthelawsof,andJIAXINGNEWCOMERLUGGAGE&BAGSMANUFACTURINGCO.,LTD.,(Jiaxing)anditswhollyownedsubsidiaryZHEJIANGNEWCOMERBAGSMARKETINGCO.,LTD.(Zhejiang)bothareChinalimitedliabilitycorporationswiththeirprincipleplaceofbusinessinPinghu,Zhejiang,China.(LICENSEE).WITNESSETHTHAT:WHEREAS,DOGINTERNATIONALpossesscertainrightswithregardtothetrademarksROMEOGIGLIandGIGLI,(suchtrademarksarelistedonExhibitAattachedheretoandincorporatedhereinbythisreference,andarehereinafterreferredtoindividuallyasaTrademarkandcollectivelyasTrademarks.WHEREAS,LICENSORhascertainrights,includingtherightstolicense,withrespecttotheTrademarksinconnectionwiththeLicensedMerchandise(ashereafterdefined),includingtherightsgrantedfromMODAbrandholdingS.A.WHEREAS,eachpartyhasexpressedinterestinobtaininganexclusivelicensetousetrademarks,ifany,ownednoworinthefuturebytheotherparty,andeachpartyhasexpressedinterestingrantingsuchalicense.WHEREAS,LICENSEEdesirestosecurealimitedlicensetoustheTrademarksinconnectionwiththedesign,manufactureandsaleofcertainmerchandise,asmorefullydescribedhereafter,andLICENSORiswillingtograntsuchlicense,alluponthetermsandconditionsashereaftersetforth.NOWTHEREFORE,inconsiderationoftheforegoingandthemutualcovenantsofthepartieshereinaftercontained,thepartiesherebyagreeasfollows:ARTICLE1.DEFINITIONS:Eachofthefollowingwordsorphrasesshallbearthemeaningsetforthoppositeitasfollows:NetSellingPrice:Theamountactuallybilledtopurchasers,afterdeducting(1)anyfederal,state,orlocalsalesorothertaxactuallyleviedandpaidonthebasisofthesalesprice,(2)resalediscounts,(3)returnsorallowances,and(4)transportationandpackingchargesinexcessofthosechargesnormallyandroutinelyincurredintransportingProductssoldtothepurchaserthereof.Merchandise:ItemssetforthonEXHIBITBofthisAgreement,asmodifiedbythepartiesfromtimetotime.Trademarks:TrademarkssetforthonEXHIBITAofthisAgreement,asmodifiedbythepartiesfromtimetotime.Improvements:ImprovementstoTechnologyoranyotherinventionorintellectualproperty.ARTICLE2.TRADEMARKLICENSE:A.CertainTrademarksusedwithProductsproducedbyoneparty(“LICENSEE”)maybeownedbytheotherparty(“LICENSOR”)hereto.Insuchcases,theTrademarkLicensorshallgranttotheTrademarkLicensee,subjecttothetermshereof,anexclusiveright,licenseandauthoritytousetheTrademarkswhichareownedbytheTrademarkLicensorandwhichareusedwithMerchandisemadebytheTrademarkLicensee(the“LICENSEE.”)TheTrademarkLicensee’suseoftheTrademarkLicensor’sTrademarksshallinuresolelytothebenefitoftheTrademarkLicensor.B.TheTrademarksforwhichTrademarkLicenseeisgrantedunderSection2.A.ofthisAgreementarelistedintheattachedExhibitA.ThepartiesmayreviseExhibitAfromtimetotimebymutualagreement,whereupontherevisedExhibitA,signedbytheparties,shallbecomeapartofthisAgreementsupersedingallpreviousversionsthereofandshallbecomeeffectiveonthedateindicatedontherevisedExhibitA.C.TheTrademarkLicensormakesnorepresentationsorwarrantieswithrespecttotheabilityoftheTrademarkLicenseetousetheTrademarksoutsideoftheUnitedStatesorThePeoplesRepublicofChinaorastothepossibilitythatsuchuseoutsidetheUnitedStatesorThePeoplesRepublicofChinamightinfringeorbeallegedinfrinD.Totheextentfeasible,theTrademarkLicenseeshallplaceapplicableTrademarksonallProductsitmanufacturesinwholeorinpart.TheTrademarkLicenseeshallalsoplaceapplicableTrademarksonallpackagingandprintedmaterialthatitproducesorobtainsrelatedtoanyProduct.AnyTrademarkssousedshallappearexactlyasintheregistrationdocuments.Othertrademarks,words,names,symbolsordevicesotherthanTrademarksshallnotbeusedinconjunctionwithanyTrademarksandmayonlybeusedseparatelytherefromfollowingtheTrademarkLicensor'spriorwrittenconsenttosuchuse.E.TheTrademarkLicenseeshallensurethatallusesofTrademarksonProductsandonrelatedpackagingandProductliteratureshallconformtoallstandardsofstyle,appearance,qualityandusagesetbytheTrademarkLicensorfromtimetotime,andallrequirementsofthelaw,includinganysuchrequirementsrelatingtolegendssettingfortheithertheTrademarkLicensee'sortheTrademarkLicensor'sstatusinrelationtotheTrademarkorthefactthataTrademarkisregistered.Tothisend,beforeinitiatinganymarketingorsellingactivity,suchasadvertising,promoting,distributing,orofferingforsaleanyProducttowhichaTrademarkisapplicable,theTrademarkLicenseeshallnotifytheTrademarkLicensorofitsintenttoinitiatesuchactivityandshallaffordtheTrademarkLicensorthereasonableopportunitytoobtainasampleofallrelevantTrademarkusages.Thestyle,appearance,qualityandusageofsuchsampleshallbesubjecttotheapprovaloftheTrademarkLicensorbeforeanymarketingorsellingactivityconcerningtherelevantTrademarkoccurs.AnysuchsamplesubmittedbytheTrademarkLicenseeandnotdisapprovedbytheTrademarkLicensorwithinsixty(60)daysafterreceiptbytheTrademarkLicensor,shallbedeemedtohavebeenapproved.AftertheTrademarkLicensor'sapprovalorlackofdisapproval,pursuanttothisSection,thereshallbenosubstantivechangei
