GSMASASauditeeagreementv3_13Page1of13THISSECURITYACCREDITATIONSCHEMESERVICEAGREEMENTmadethisX__dayofXXXXX201XBETWEENGSMAssociation,SeventhFloor,5NewStreetSquare,NewFetterLane,LondonEC4A3BF,UnitedKingdom(“theASSOCIATION”)oftheonepartandXXXX,havingitsregisteredofficesatXXXXX(the“GSMSupplier”)oftheotherpart.AGREEMENTOBJECTIVES:Acollaborationbetweenthesmartcardsuppliers,theASSOCIATIONanditsmembers,subjectsthesupplyofsmartcardstosecurityrequirementsdefinedbytheASSOCIATIONandacceptedbysuchsuppliers.ThisAgreement(ashereinafterdefined)definestheimplementationofanauditingscheme,anditspromotion,bytheASSOCIATION.WHEREAS:i.)TheASSOCIATIONisthepremierglobalbodybehindtheworld'sleadingwirelesscommunicationsstandard.Itisresponsibleforthedevelopment,deploymentandevolutionoftheGSMstandardfordigitalwirelesscommunicationsandforthepromotionoftheGSMplatform.ii.)TheASSOCIATIONdesirestomaximisethereliabilityandefficiencyofsecuritymeasuresimplementedbyGSMSupplier.iii.)TheASSOCIATION,providesinformationtotheASSOCIATIONmembersoftheSecurityAccreditationScheme(“SAS”),includingnotificationoftheaccreditedsuppliers.iv.)TheGSMSupplierhasagreedtoreceivetheSASServicesfromtheAuditors(ashereinafterdefined)andcomplywiththetermsandconditionshereinaftersetforthonbehalfoftheAssociation.NOWTHEREFORE,ITISHEREBYAGREEDasfollows:GSMASASauditeeagreementv3_13Page2of131.1InthisAgreementandinAppendixIhereto,savewherethecontextotherwiseadmitsorrequires,thefollowingdefinitionsshallhavethefollowingmeanings:“Agreement”shallmeanthisAgreement.“Audit”shallmeantheauditcarriedoutbytheAuditoraspartoftheSASAuditingServicesattheGSMSupplier’spremises.AuditDateShallmeanthedateagreedbybothpartiesandconfirmedbytheASSOCIATION.“AuditReport”shallmeanthereportissuedbytheAuditoraftercompletionoftheAudit.“Auditor(s)”RepresentativeofanAuditingCompanyengagedintheconductofanAuditunderthescheme“AuditingCompanies”CompanieschosenbytheASSOCIATION,followingacompetitivetender,competenttoconductAuditsunderthescheme.“BusinessDay”shallmeanadayonwhichthebanksareopenforbusinessincountryofsmartcardsuppliersite.“CertificationBody”AgroupofASSOCIATIONfullmembersandstaffmaintainedtooverseethecorrectoperationofSAS.TheCertificationBodywillhavethefinaldecisionontheCertificationstatusofeachGSMSupplier.Thisbody’sdecisionisfinalonallCertificationmatters;“Certification”shallmeanthecertificationissuedbytheASSOCIATIONtoGSMSupplier.“Fees”shallmeanthefeesfortheSASAuditingServicespaidbyGSMSuppliertotheASSOCIATION.“EffectiveDate”shallmeanthedateofsignatureofthisAgreement.“Expenses”shallmeanalltravel,accommodationandincidentalcostsincurredbytheAuditorsintheGSMASASauditeeagreementv3_13Page3of13courseofanAuditwhicharerecoverableatcostbytheAuditorsfromtheGSMSupplier.“Methodology”termsofreferencepublishedonGSMASASwebsiteunderwhichtheauditwillbeundertaken.“SecurityAccreditationScheme(SAS)AuditingServices”shallmeantheservicesspecifiedintheASSOCIATION’SSASMethodology.“Term”shallmeanaperiodofthree(3)yearscommencingontheEffectiveDateofthisAgreementanasotherwiseprovidedinClause7.1.2Saveasotherwiseprovidedherein,anyreferencesinthisAgreementtoclausesorparagraphsarereferencestotheclausesorparagraphsofthisAgreementunlessthecontextotherwiseadmitsorsorequires.1.3Wordssuchashereunder,hereofandhereinandotherwordscommencingwithhereshall,unlessthecontextclearlyindicatestothecontrary,refertothewholeofthisAgreementandnottoanyparticularclausehereof.1.4Referencestothesingularshallincludethepluralandviceversaandreferencetoanygendershallincludeothergenders.1.5TheheadingstotheclausesinthisAgreementareforreferenceonlyandshallnotaffecttheinterpretationofthisAgreement.1.6ThisAgreementmaybeexecutedinanynumberofcounterpartsandbythedifferentpartiesheretoonseparatecounterparts,eachofwhichwhenexecutedanddeliveredshallconstituteanoriginal,allsuchcounterpartstogetherconstitutingasoneandthesameinstrument.1.7AmendmentstoormodificationsofthisAgreementmaybemadeonlybymutualagreementofallpartiesinwritingandshallbesubjecttowhateverapprovalsorappropriateauthoritiesasmayberequiredbylaw.1.8Awaiverbyeitherpartyofanybreachbyanyotherpartyofanyotherterms,provisionsorconditionsofthisAgreementortheacquiescenceofsuchpartyandanyact(whetherbycommissionoromission)whichbutforsuchacquiescencewouldbeabreachasaforesaidshallnotconstituteageneralwaiverofsuchterm,provisionorconditionorofanysubsequentactcontrarythereto.1.9ThisAgreementshallnotconstituteanyparty,thelegalrepresentative,partneroragentoftheotherpartiesoranyofthemnor(saveasexpresslyprovidedinthisGSMASASauditeeagreementv3_13Page4of13Agreement)shallanypartyoranysuccessorofanypartyhavetherightorauthoritytoassume,createorincuranyliabilityorobligationofanykindexpressorimpliedagainstorinthenameoforonbehalfofanyotherparty.1.10ThisAgreementorthebenefithereofshallenduretothebenefittothesuccessorsintitlebutmaynotbeassignedbyeitherpartyinwholeorinpartwithoutthepriorandmutualwrittenconsentofthepartieshereto.1.11ThisAgreementandallrightsandobligationshereundershallforallpurposesbetreatedandconstruedasbeingseparateandapartfro
