授权经销商协议AuthorizedDealerAgreement甲方：PartyA:乙方：PartyB:甲、乙双方经友好协商，本着平等、自愿、诚实、互惠互利的原则，就合作事宜达成如下协议：Throughfriendlynegotiations,basedontheprincipleofequality,voluntary,honestandmutualbenefit,PartyAandPartyBmadeandenteredintothefollowingagreementon:1.委任Appointment甲方授权乙方作为甲方产品中国地区的唯一授权经销商。PartyAauthorizesPartyBastheonlyauthorizeddealersofPartA’sproductinChina.所涉及的：Involves:2.有效期Validity本协议自双方签字盖章之日起生效，有效期至年月日止。ThisAgreementshallbecomeeffectiveasofthedateofsignatureandsealbybothparties.Validuntil.当本协议期满，如双方同意续约，应在本协议有效期满前_______个工作日内签署书面续约协议。Upontheexpirationofthiscontract,ifbothpartiesagreetorenewing,shallsignawrittenrenewcontractwithinworkingdayspriortotheexpiryofthisagreement.3.甲方责任和义务PartyAresponsibilitiesandobligations基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方以外的渠道向代理区域顾客销售或出口甲方产品第一条所列商品或服务。Inconsiderationoftheexclusiverightsgrantedherein,PartyAshallnot,directlyorindirectly,sellorexportthecommodityorservicestipulatedinArticle1tocustomersinterritorythroughchannelsotherthanPartyB.在本协议有效期内，甲方应将其收到的来自代理区域其他商家的有关代理产品或服务的询价或订单转交给乙方。PartyAshallrefertoPartyBanyenquiriesofordersforthecommodityorserviceinquestionreceivedbyPartyAfromotherfirmsinterritoryduringthevalidityofthisagreement.甲方应对乙方人员进行必要的培训，以保证乙方人员的工作达到甲方的要求。PartyAshallprovidethenecessarytrainingtoPartyB,inordertoensurethattheworkofPartyBreachtherequirementsofPartyA.4.乙方责任和义务PartyBresponsibilitiesandobligations乙方可以用“甲方产品唯一授权经销商”的名义进行一切合法的商业活动。PartyBcanundertakeallthelegitimatebusinessactivitiesinthenameofPartAproduct’sonlyauthorizeddealers.乙方不得招揽或接受以到代理区域以外的地区销售为目的的订单。对于跨地区销售，一经发现，将给予警告；对于连续两次违反者，甲方有权取消其代理资格和本协议给予的一切权益。PartyBshallnotsolicitoracceptordersforthepurposeofsellingthemoutsideterritory.Oncecross-area-salesbefounding,PartyAwillgivePartyBawarning.Fortwosuccessiveviolators,PartyAshallhavetherighttocancelPartyB’sagentqualificationandalltherightstothisagreement.5.退货Return如产品存在质量问题，乙方须在收到货物后60日内向甲方提交退货申请，甲方应同意退货；乙方退回的产品及其包装必须达到不影响再次销售的要求，否则，甲方不予退款；甲方在收到退货并确认符合上述要求后退款。Fortheproductqualityreason,PartyBshallsubmitareturnapplicationtoPartyA,andPartyAshallagree.TheproductsbyPartyBreturned,anditspackagingmustmeettherequirementsofthesalesagain,otherwise,PartyAwillnotberefund.PartyArefundsafterreceivingthereturnproductsandconfirmingtheymeettherequirements.6.运保费Transportation&InsuranceFee发货时，运保费由甲方承担；若乙方对运输工具有特殊要求，超出的运费由乙方自行承担；退货时，运保费由乙方承担。WhendeliverthetransportationandinsurancefeeshouldbebornebyPartyA.IfPartyBhasspecialrequirements,thebeyondfeeshallbebornebypartyB.WhenReturnthetransportationandinsurancefeeshouldbebornebyPartyB.7.不可抗力ForceMajeure因水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件证明寄交对方。Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedrelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.8.仲裁Arbitration一切因履行本协议发生的争端应通过友好协商解决。如协商不成，均应提交至乙方所在地的人民法院，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决终局的，对双方均有约束力。Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughnegotiation,thecaseshallbesubmittedtocourtwhereisPartyBislocated,whichshallbeconductedinaccordancewiththeCommission’sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.本协议以中英文书就，如中英文内容存在不一致，以中文为准。ThisagreementismadeinbothChineseandEnglish.Intheeventofanydiscrepancybetweenthetwoversions,theChineseversionshallprevail.9.本协议正本一式两份，双方各执一份，具有相同的法律效力。Thisagreementisintwooriginals,eachpartyholdsone,thetwohavethesamelegaleffect.本协议未尽事宜，经甲乙双方协商另行签订补充协议规定，补充协议与本协议具有同等的法律效力。Thisagreementisnotcompletelymattersconcerned,bothpartiesshallsignsupplementaryagreementthroughnegotiations,andthesupplementaryagreementisthesamelegaleffect.甲方（盖章）：PartyA(STAMP):.乙方（盖章）：PartyB(STAMP):签字代表/Theauthorizedrepresentative:签字代表/Theauthorizedrepresentative:地址/Add:地址/Add:电话/Tel:电话/Tel:传真/Fax:传真/Fax:日期/Date:日期/Date:
