ContractofSalesandPurchasesofIndonesiaSteamingCoalThisContractismadeandenteredintoonthisbyandbetweenTheSeller:Address:TheBuyer:Address:BythisContracttheSelleragreestosellandtheBuyeragreestobuythefollowingcoalunderthetermsandconditionslistedbelow:1.Commodity:IndonesiaSteamingCoal2.Quantity:70,000mt+/-10%AtBuyer’sOption3.Specifications(BasedonISOStandards):TypicalTotalMoisture(asreceived)36%InherentMoisture(airdried)15%minAsh(airdried)6%maxVolatileMatter(airdried)39~43%Sulphur(airdried)0.5%maxHGI45minGrossCalorificValue(airdried)5400kcal/kgNetCalorificValue(asreceived)3800kcal/kgSize(0~50mm)95%4.UnitPriceUSDpermetrictonCIFHuangpu,orothersouthernsafeport,China5.Premium/PenaltyTotalMoistureIfTotalMoisture(asreceived)ofanyshipmentofcoalexceeds36%,theweightofthatshipmentshallbeadjustedasfollows:InvoiceWeight=B/Lweight×〔1-(actualtotalmoisture–36%)〕GrossCalorificValueIfactualNetCalorificValue(asreceived)ofcoalvariesfrom3800kcal/kg(gad),thepriceforthatcargoofcoalshallbeadjustedbyusingthefollowingformula:ActualNetCalorificValue(asreceived)InvoiceUnitPrice=USD/mt×————————————————————3800kcal/kg(gad)6.Shipment:70,000mt+/-10%atbuyer’soption7.LoadingTerms:7.1TheSellershalldelivercoalinbulktotheBuyer,freeonboardvesselspouttrimmedattheloadingport.7.2NoticeofReadinessmaybetenderedduringofficehour(Monday–Friday:09:00-17:00,Saturday:09:00–13:00)afterthevesselhasarrivedattheloadingport,whetherinberthornot,whetherinportornot,providedthevesselisinallrespectsreadytoloadandsubjecttofreepratiquebeinggrantedpriortooronarrivalattheberth.Laytimeforloadingshallcommencetwelve(12)hours(exceptIndonesian6majorholidays–IdulFitri2days,IdulAdha1day,IndependenceDay1day,Christmas1day,NewYear1day)afterNoticeofReadinessistenderedorwhenloadingcommences,whicheverisearlier.Ifafterberthingthevesselisfoundnottobeinfreepratiqueandinallrespectsnotreadytoloadorfreepratiqueisnotgrantedonarrivalattheberth,laytimeshallbedeemednottohavecommenceduntilwhenthevesselisinfactinfreepratiqueandinallrespectsreadytoload7.3Fortheloadingofeachshipmentunderthiscontract,theSellershallprovide,freeofchargetotheBuyer,asafeanchorageorasafeberthatloadingportwherethevesselcan,whenfullyladen,safelyreachandleaveandwhereshecanalwaysliesafelyafloat.7.4TheSellershallloadcoalonboardthevesselatthefollowingloadingrate:8,000mtPWWDSHINCexcepttheabovementioned6MajorIndonesianholidaysAllcostsrelatingtotheberthingandsailingofthevesselaretobefortheaccountoftheVesselOwner/Buyer(i.e.Tugboats,Linesmen,HarbourDues,Governmentchargesetc.).CoalloadingchargesarefortheaccountoftheSeller.7.5IftheSellerfailtomeettheloadingrequirementsspecifiedinClause7.4,theSellershallpaydemurragetotheBuyerforalltimelostaftertheexpirationoflaytimeallowed.IftheSellercancompleteloadingearlierthanthelaytimeallowed,theBuyershallpaydispatchmoneytotheSellerforlaytimesaved.7.6DemurrageanddispatchratetobeasperrelevantCharterParty.DemurrageordispatchmoneyshallbesettledbetweentheSellerandtheBuyerwithin45daysfromthedateofcompletionofloadingofthecoal(B/Ldate).7.7Anytimelostbyreasonofanyofthefollowing(whetherornottheVesselisalreadyonDemurrage)shallnotbecountedasLaytimeorforDemurrage:(i)awaitingpratique,Customsclearance;(ii)inwardpassagefromanchorageuntiltheVesselissecurelymorredattheberth;(iii)dischargeofballasttotheextentthatthisisnotconcurrentwithloadingandwhichcausesdelayattheloadingberth;(iv)restrictionsimposedbytheOwner,chartererormasteroftheVessel;(v)timespentinfirsttimeopeningand/orlasttimeclosinghatchcovers;(vi)timespentinconductingadraftsurveyoftheVessel,ifapplicable,priortotheloadingofthecoalor,bytherequestoftheVesselside,duringtheloadingoftheCoal;(vii)breakdownorfailureoftheVesseltocomplywiththerequirementsorregulationsoftheloadingportcausingdelayorrestrictiontoloadingoperations;(viii)cleaningandinspectionoftheVessel’sholds;(ix)anyotherdelayattributabletotheVesselortheBuyer’sAgents.LoadingshallbedeemedtobecompletedandLaytimeandDemurrageshallceaseuponcompletionofthespouttrimmingoperation.7.8TheBuyer/OwnershallappointashippingagentnominatedbySellerattheloadingport.TheSellershallberequestedtomakeclosecontactwiththeshippingagent.8.QualityDetermination:8.1TheSellershall,atitsowncost,appointanIndependentSurveyortocarryoutthesamplingandanalysisofthecoalatatheloadingportinaccordancewithClause4aboveandissueaCertificateofQualitydetailingtheresultsobtainedinrespectofcoalloaded.Theanalysisresultssodeterminedattheloadingportshallbefinalandbindinguponthepartieshereto.8.2Thethree“samplesets”shallbeestablishedforeachshipmentanddistributedasfollows:a)OnesamplesetshallbeusedforanalysisofthatshipmentofcoalbyIndependentSurveyorattheloadingporttodetermineitsqualityandcharacteristicpursuanttoClause8.1.b)Onesamplesetshallbedeliveredwithin7daysaftertheB/LdateattheSeller’scosttotheBuyerinasuitableairtightcontainer,properlysealedandlabeled,byairparcelorinsuchothermannerastheBuyermaydirect.c)OnesamplesetshallberetainedbyIndependentSurveyorattheloadingportinasuitableairtightcontainer(hereinafterreferredtoas“UmpireSample”),properlysealedandlabeled,
