1TheconstructioncontractofspecialboothContractNumber:20150402Place:ShanghaiPudongNewAreaDate:April2,2015PartyA:(hereinafterreferredtoasPartyA)Contact:Tel:Fax:Cellphone:PartyB:(hereinafterreferredtoasPartyB)Contact:Tel:Fax:Cellphone:AccordancewiththePeople'sRepublicofChinaContractLawandtherelevantlawsandregulations,combinedwithconstructionfeaturesofspecialbooth,bothpartiesbasedinequality,voluntariness,consensus,forthe2015,theShanghaiNewInternationalExpoCenter-(----------------------------)whichthespecialboothplanning,production,standconstruction,decoration,standdismantlingworksandservicesetc.reachedthefollowingagreements:I.ProjectOverviewProjectName:Projecttime:Location:ProjectArea:ProjectProgress:PartyBshallbeginstandconstructionworkat13:00onJune25,2015;PartyBshallcompletethestandconstructionworkonJune27,2015;PartyBshallberesponsiblefordismantlingworkaftertheshowclosingonJune30,2015.II.Costoftheproject:Thetotalconstructioncostofthecontractedproject(includingtax):¥(RMB);Notes:1,chargedexhibitionspace(Raw)managementfeewillbepaidbythePartyB,andthetotalcostaboveshallcontainsuchfee.2,theelectricboxapplicationandusagefeeswillbepaidbythePartyB,andthetotalcostaboveshallcontainsuchfees.III.Theprojectfundsandpaymentdate:PartyAwithinthreeworkingdaysfromsigningthecontractdateshallpaythe70%contractedtotalcost¥(RMB)asadvancepayment.2WhenPartyAacceptthefinishedboothconstructedbyPartyB,PartyAwillpayfortheremaining30%balance¥(RMB)toPartyBbeincashorbanktransfer.AfterPartyBreceivingthebalance,thefullinvoiceshallbedeliveredtothePartyA.PartyBhastherighttorefusetostarttheconstructionbeforereceivingtheprepayment.IV.TheliabilityofPartyAandPartyBPartyA’sresponsibilities:1)fullypaytoPartyBonschedule;2)toprovidestandardfilesincludingLOGOvectorfiles,pictures,inkjetandotherimagefiles(forAIformat,vectorfileorotheravailableformats)withinthespecifiedtime.3)assistthePartyBrelatedcoordination.(Eg:rawspacemanagementfee,applyandpaytheelectricboxetc.)4)whenstandconstructioncompleted,PartyAshallcooperatewithPartyBtocheckandacceptitandanydoubtshouldbenotedonthespot,oritwillbeconsideredacceptable.5)fromtheboothsetuptomove-out,anydamagesofvenues,space,facilities(suchaselectricalboxes,stadiumfloor,etc.)causedbyPartyAwhichshalltakeinchargeofthecompensationinaccordancewiththeprovisionsofvenues.6)shallgotothefactoryofPartyBtocheckboothproducingprogressandquality.PartyB'sresponsibilities:1)partybisresponsibleforthepreliminarydesign,factoryproduction,theproductionofart(notincludingphoto,printsandothergraphicimagedesign),materialtransportation,fieldconstruction,electricalinstallationandexhibitionmove-in;2)toensurethesafetyoftheconstruction,securityproblemsintheprocessofconstruction,oranyimproperconstructionsafetyproblemsshouldbeundertakenbypartyb;3)theboothmaintenanceandcleaningworkduringtheshow;4)toensuretheengineeringqualityandengineeringconstructionprogress,ifconstructiondelaycausedbypartyb,theovertimeexpensesshallbebornebypartybandconstructionwillbesubjecttoconfirmedbythepartya'srenderings.Renderingsandquotationareattached.5)fromtheboothsetuptomove-out,anydamagesofvenues,space,facilities(suchaselectricalboxes,stadiumfloor,etc.)causedbyPartyBwhichshalltakeinchargeofthecompensationinaccordancewiththeprovisionsofvenues.V.designchangeDuringtheperiodofconstruction,thedesignchangewillbeprocessedinthefollowingway:ThewrittenfileofthechangeoforiginaldesignshouldbesendtoPartyBatleast15daysbeforeboothsettlement.Regardingthechange,bothpartiesshouldnegotiateandcarryontheconstructionplanbythewrittenfinaldesign,otherwisepartyBshallhavetherighttorefusetochange.Asaresultofthechange,theaddedexpenditureandthealreadycostaccordingtotheoriginaldesignschemeshallbebornebypartyA.VI.NegotiationforincreasingtheworkIfpartyArequesttoincreasequantityofworkduringengineeringconstruction,thetwosidescannegotiateandsign“projectnegotiationrecords”.Aftersignedbybothsides’responsiblepersonsoftheengineering,partyAneedstopaytheincreasedcosttopartyBthentheaddedworkcanbeincorporatedintothiscontractand3constructedatthesametime.VII.ProblemsolvingWhenthereisadisputebetweenbothparties,thespecificprojectproblemscanbeamicablysettledthroughnegotiationbybothparties.Ifsuchnegotiationsfail,cansuetothiscontractsignedplaceShanghaipudongnewareapeople'scourtfordisputesresolution.1.Aftersigningthecontract,inadditiontolegalirresistiblefactorssuchasnaturaldisasters,earthquakes,war,anypartyhasnorighttounilaterallyterminatethiscontract,ifanypartycancelthecontractunilaterally,itshouldcompensatefortheotherpartyfor30%ofthetotalcontractedmoney.2.DuetopartyAorpartyBviolatesotherclausesinthecontractorotheragreement,itshallbornthecorrespondinglegalresponsibilityandtherelatedeconomiclossesfortheotherparty.VIII.Thecontractcomesintoforceandtermination1.Comeintoforceasofthedateofsigningthecontract;2.AfterpartyBfinishingtheengineering,partyAacceptingandpayingoffthetotalpayment,theboothdismantlingandcompletingthecleaningjob,thecontractwillbeterminated;3.Othermatters,bothpartiescansigncompensatoryagreementseparatelyaccordin
