烟台大学法学院法律硕士张川方中华人民共和国合伙企业法PartnershipEnterpriseLawofthePRCNo.55OrderofthePresidentofthePRCThePartnershipEnterpriseLawofthePeople'sRepublicofChina,amendedandadopted(修订通过)attheTwenty-thirdMeetingoftheStandingCommitteeoftheTenthNationalPeople'sCongressofthePeople'sRepublicofChinaonAugust27th,2006,isherebypromulgatedandshallcomeintoforceasofJune1st,2007.HuJintao,PresidentofthePRCAugust27th,2006.PartnershipEnterpriseLawofthePRC(AdoptedattheTwenty-fourthMeetingoftheStandingCommitteeoftheEighthNationalPeople'sCongressonFebruary23rd,1997AmendedattheTwenty-thirdMeetingoftheStandingCommitteeoftheTenthNationalPeople'sCongressonAugust27th,2006)C-IGeneralProvisionsArticle1Thislawisformulatedforthepurposeof(为了)regulatingtheactsofpartnershipenterprises,protectingthelegitimaterightsandinterestsofpartnershipenterprisesaswellastheirpartnersandcreditors,maintainingthesocialandeconomicorder(社会经济秩序),andpromotingthedevelopmentofthesocialistmarketeconomy.2013-1-709:04:35Article2(1)Thetermpartnershipenterprisereferstothegeneralpartnershipenterprises(普通合伙企业)andlimitedliabilitypartnershipenterpriseswhichareestablishedwithintheterritoryofChinabynaturalpersons,legalpersonsandotherorganizationsinaccordancewiththislaw.(2)Ageneralpartnershipenterpriseshallbeformedby(由…组成)generalpartners(普通合伙人)whobearunlimitedjointandseveralliability(无限连带责任)forthedebtsofthepartnershipenterprise.IfthisLawhasanyspecialprovisionsonthewayinwhichthegeneralpartnersbearliability(普通合伙人承担责任的形式),thoseprovisionsshallprevail.(3)Alimitedliabilitypartnershipenterpriseshallbeformedbygeneralpartnersandlimitedpartners,ofwhichtheformershallbearunlimitedjointandseveralliabilityforthedebtsofthelimitedliabilitypartnershipenterprise(有限合伙企业),andthelattershallbeartheliabilityforthedebtsofthelimitedliabilityenterprisetotheextentoftheircapitalcontributions(以其认缴的出资额为限).Article3NowhollyState-fundedcompany(国有独资公司),State-ownedenterprise(国有企业),listedcompany,public-welfare-oriented(公益性的)publicinstitutionorsocialorganization(社会团体)maybecomeageneralpartner.Article4Apartnershipagreement(合伙协议)shallbeconcludedinwritinguponconsensus(协商一致)ofallthepartners.Article5Theprinciplesofwillingness,equality(自愿、平等),fairnessandhonestyandcredibility(诚实信用)intheconclusionofapartnershipagreementandintheestablishment(设立)ofapartnershipenterprise.Article6Thepartnersofapartnershipenterpriseshallpayincometax(缴纳所得税)ontheproductionandbusinessoperationincomes(生产经营所得)andotherincomesrespectivelyinaccordancewiththerelevantregulationsoftheStateontaxation.Article7Apartnershipenterpriseanditspartnersmustabidebylawsandadministrativeregulations,complywithsocialmorals(社会公德)andcommercialmorals(商业道德),andbearsocialliability.Article8Thelegitimateproperty,andrightsandinterestsofapartnershipenterpriseanditspartnersshallbeprotectedbylaw(受法律保护).Article9(1)Toestablishapartnershipenterprise,theapplicantshallsubmittotheenterpriseregistrationorgan(企业登记机关)aregistrationapplication(登记申请书),thepartnershipagreement,theidentitycertificates(身份证明)ofthepartnersandotherdocuments.(2)Ifthebusinessscopeofapartnershipenterprisecontainsitemswhicharesubjecttoapproval(须经批准)priortoregistrationinaccordancewithlaworadministrativeregulations,suchbusiness(该项经营业务)shallbesubjecttoapprovalaccordingtolawandtheapprovaldocument(批准文件)shallbesubmittedatthetimeofregistration.Article10(1)Iftheapplicationmaterialsforregistration(登记申请材料)submittedbyanapplicantarecompleteandconformtothestatutoryform(法定形式)andiftheenterpriseregistrationorgancanfinishtheregistrationonthespot(当场),theenterpriseregistrationorganshalldosoandshallissuetotheapplicantabusinesslicense.(2)Exceptfor(除…之外)thecircumstanceasprescribedintheprecedingparagraph,theenterpriseregistrationorganshall,within20daysafteracceptinganapplication,decidewhetherornottoregister.Ifitdecidestoregister,itshallissuetotheapplicantabusinesslicense;ifitdecidesnottoregister,itshallgiveawrittenreply(给予书面答复)totheapplicantandmakeexplanations(说明理由).Article11(1)Thedateofissuance(签发日期)ofthebusinesslicenseofapartnershipenterpriseshallbethedateofestablishment(成立日期)ofthepartnershipenterprise.(2)Thepartnersofapartnershipenterpriseshallnotengageinpartnershipbusiness(合伙业务)inthenameofthepartnershipenterprisebeforeitobtainsabusinesslicense(领取营业执照).Article12Whereapartnershipenterpriseintendstoestablishabranch,itshallapplytotheenterpriseregistrationorganattheplacewherethebranchislocatedforregistrationsoastoobtain(登记领取)abusinesslicense.Article13Wherethereisanychangeoftheregistrationitemsofapartnershipenterprise,thepartnersexecutingthepartnershipaffairs(合伙事务)shall,within15daysaftertheymakeadecisiononchangeorafterthechangeoccurs,applytotheenterpriseregistrationorganformodifyingtheregistration(变更登记).C-IIGeneralPartnershipEnterprisesSection1EstablishmentArticle14若发现错误，[e-mail]，请不吝赐教Toestablishapartnershipenterprise,thefollowingconditionsshallbesatisfied:(1)having2ormore(二个以上)partners.Ifthepartnersarenaturalpersons,theyshallhavecompletecapacityforcivilconducts(完全民事行为能力);(2)havingawrittenpartnershipagreement;(3)havingcapitalcontributionssubscrib
