公牛智能插座出口合同TheBullSmartPlugExportContract编号：CN2015052864NO.：CN2015052864日期：2015年5月28日Date：May28th,2015签约地点：中华人民共和国武汉市汉阳区晴川大道189号Signedat：NO.189onTheQingchunAVofWuhanProvinceinChina卖方：中国公牛电器集团有限公司SELLER：ChinaBullElectricGroup,Inc地址：武汉市汉阳区晴川大道189号ADD:NO.189onTheQingchunAVofWuhanProvinceinChina电话：86-027-87225451TEL：[phone]传真：86-085170336-51Fax：[phone]邮箱：[e-mail]-mail：[e-mail]买方：美国沃尔玛百货有限公司BUYER:AmericaWal-MartStores,Inc.地址：美国马萨诸塞州波士顿市唐人街59号ADD:NO.59onChinatownofBostoninMassachusetts电话：[phone]TEL:[phone]传真：[phone]Fax：[phone]邮箱：[e-mail]-mail：[e-mail]鉴于美国沃尔玛百货公司以下简称买方有意向中国公牛电器集团有限公司购买而中国公牛电器集团有限公司有意向美国沃尔玛百货公司出售公牛牌智能插座。因此根据以上情况及双方的意愿，经买卖双方协商，达成如下合同条款：WhereasAmericaWal-MartStores,Inc.Hereaftercalledthebuyer,desirestopurchasefromChinaBullElectricGroup,Inc.andChinaBullElectricGroup,Inc.Hereaftercalledtheseller,desirestoselltheBULLSmartPlugtoAmericaWal-MartStores,Inc.Therefore,inconsiderationofthethepremisesandmutualconveniences,thebuyerandtheseller,throughconsultation,agreetoenterintothiscontractunderthetermsandconditionssetforthasfollows：1、货号（CommodityNumber）：44002532、品名规格及总额(Name、SpecificationandTotalValueofthecommodity):名称Commodity公牛牌智能插座TheBULLSmartPlug输入电压InputvoltageAC180-250v输出电压OutputvoltageAC180-250vDC5V最大负载Maximumload2200W10A无线类型TypeofWi-FiWi-Fi2.4GHz无线标准StandardofWi-Fi802.11b/g/n颜色Color白色White数量/件Quantity200000单价/美元Price/dollar20＄总额TotalValue4milliondollars3、生产国和制造商（CountryofOriginandManufacturers）中国，公牛电器集团有限公司China,ChinaBullElectricGroup,Inc.4、运输方式（Shipment）：海运（bysea）5、装运技术规格（Shippingtechnicalspecifications）包装标准（Packing）GB8741-88装运唛头（ShippingMarks）THEBULL※8-88装运期（TimeofShipment）2015年6月8日June8th2015装运港（PortofLoading）武汉港WuhanPort目的港（PortofDestination）波士顿港BostonPort转运（Transshipment）不允许forbidden6、保险(Insurance):按发票金额的110%投保。Tobecoveredfor110%ofinvoicevalue.7、风险：货物的风险在以下时候转移至买方：a)海运时在其越过船舷，摘下挂钩时；b)空运时在其已交空运承运人或代理人保管时；c)铁路运输时在其已交铁路保管时。RiskofLoss:TheriskofthecommodityshalltransfertotheBuyer:a)Whenithaspassedovertherailofthevesselandbeenreleasedfromtackleincaseofshipmentbysea.b)Whenithasbeendeliveredintothecustodyoftheaircarrieroragentincaseofshipmentbyair.c)Whenithasbeendeliveredintothecustodyoftherailwayincaseofshipmentbyrail.8、品质/数量异议：如买方提出异议，凡属品质异议应于货到目的口岸之日起3—6个月内提出，凡属数量异议应于货到目的口岸之日起1—3个月内提出，过期不受理。对所装货物所提任何异议属于保险公司、轮船公司、其他有关运输机构或邮递机构所负责者，卖方不负任何责任。理赔只限于卖方在收到买方所在地声誉良好的商检机构或商会出具的商品抽样检查报告，证明货物与合同不符后，对品质不符的货物按一比一更换或按照货物的疵劣程度和损坏的范围将货物贬值，对数量不符的货物给予补足。无论哪种情况下，卖方均不对货物的可销性或适用性负责，也不对任何损失赔偿负责包括但又不限于直接的、间接的、附带的损失，如买方不能在合同规定的期限内将信用证开到或将预付款汇到，或者开来的信用证不符合合同规定，而在接到卖方通知后，不能按期办妥改证，卖方有权撤销合同或延期交货，并有权提出索赔。Quality/QuantityDiscrepancy:Incaseofqualitydiscrepancy,claimsshallbefieldbytheBuyerwithin3-6monthafterthearrivalofthecommodityattheportofdestination,whileforquantitydiscrepancy,claimsshallbefieldbytheBuyerwithin1-3monthafterthearrivalofthecommodityattheportofdestination.Otherwisenoclaimwillbeaccepted.ItisunderstoodthattheSellershallnotbeliableforanydiscrepancyofthecommodityshippedduetocausesforwhichtheinsurancecompany,othertransportationorganizationorpostofficeareliable.Thesettlementofsuchclaimsisrestrictedtoreplacementofthenon-conformingcommodityonaone-to-onebasisordevaluationofthecommodityaccordingtodegreeofinferiorityandextentofdamageincaseofqualitydiscrepancyorsupplyfortheshortageincaseofquantitydiscrepancy,aftertheSellerhasreceivedaninspectionreportonthecommoditybysamplingissuedbyareputablecommodityinspectionorganizationorchamberofcommerceattheplacewheretheBuyerislocated,certifyingthenon-conformitythereof.InnoeventshalltheSellerbeheldliableforthemerchantabilityorfitnessforanypurpose.Norshallithaveanyliabilityorresponsibilityfordamagesofanykindwhatsoever,includingbutnotlimitedtoanydirect,indirectorcollateraldamages.IncasetheL/CortheadvancepaymentdoesnotreachtheSellerwithinthetimestipulatedintheContractordoesnotcorrespondtotheContracttermsandtheBuyerfailstoamenditstermswithinthetimelimitafterbeingnotifiedbytheSeller,theSellerhastherighttocanceltheContractortodelaythedeliveryofthecommodityaswellastolodgeclaimsagainsttheBuyer.9、不可抗力：本合同内所述全部或部分货物，如因不可抗力的原因，以致不能履约或不得不延期交货，卖方概不负责。ForceMajeure:TheSellershallnotbeheldliableforfailureordelayindeliveryoftheentirelotoraportionofthecommodityunderthisContractinconsequenceofanyforcemajeureincidents.10、仲裁：在执行本合同中所产生的或者与合同有关的一切争执，由双方协商解决。如果协商后仍不能解决时，得提请仲裁。仲裁在中国进行，由中国国际经济贸易仲裁委员会，根据该委员会的仲裁程序暂行规则进行仲裁。仲裁决定为最终决定，买卖双方都应服从。除仲裁委员会另有决定外，仲裁费用由败诉一方负担。Arbitration:AnyoralldisputesarisingfromorinconnectionwiththeperformanceoftheContractshallbesettledthroughnegotiationbybothparties,failingwhichtheyshallbesubmittedforarbitration.ThearbitrationshalltakeplaceinChinaandshallbeconductedbytheChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththeprovisionalrulesofproceduresofthesaidcommission.ThearbitrationawardshallbefinalandbindinguponbothBuyerandSeller.Unlessotherwiseawardedbythesaidarbitrationcommission,thearbitrationfeesshallbebornebythelosingparty.11、其他条款：在此合同期间因政府出口政策调整而引起的成本增加，则另外计算合同金额。OtherConditi
