委托招聘服务协议PlacementServiceAgreement甲方：PartyA:联系人/Contact:电话/Tel:乙方：PartyB:联系人/Contact:电话/Tel:鉴于甲方业务发展的需要，甲方非独家委托乙方进行人才咨询及代理招聘、推荐服务。经友好协商签订如下协议，双方约定共同遵守。PartyBisnon-exclusiveagentforPartyA’srecruitment;thiscontractisruledtoPartyB’sserviceintalentsconsultingandplacementforPartyA.ThePartiesherebyagreeasfollows:一、甲方的权利和义务PartyA’sRightsandResponsibilities1．甲方应严格执行国家的有关人事政策、法律法规。PartyAmustobserveChina’srelevantpersonnelpolicy,regulationsandlaws.2．甲方有权要求乙方根据本协议之规定为甲方提供所需职位的候选人，并应依照本协议的规定向乙方支付服务费。PartyAhastherighttorequirePartyBtoprovidecandidatesfortheopenedposition/sasdefinedandspecifiedbyPartyA,andPartyAshallmakepaymentofaservicefeetoPartyBasdefinedandregulatedinthisAgreement.3．每一职位正式委托（书面）后的5个工作日内，甲方应向乙方提供寻访职员所需的相关信息及材料，并保证其真实性和合法有效性，包括但不限于：职位要求、工作描述、公司简介、组织机构图、可能的薪金福利情况等，以便乙方在访寻过程中确认潜在的候选人，并使候选人对公司和工作进行充分和必要的了解。Within5workingdaysofentrustingplacementjobinwriting,PartyAshouldprovidePartyBwithalltheinformation,dataanddocumentsasdeemednecessaryforPartyBtostartworkingontheplacementjob,whichincludebutnotlimitedtothefollowing:Profilesoftheorganization,Organizationchartasrelatedtotheplacementjob,Jobdescription/s,Qualificationsorjobrequirementsforasuccessfulcandidate,Informationwithregardstocompensation,reward,relatedtotheplacement.Ofcourse,PartyAshouldguaranteethevalidityandreliability.4．甲方对乙方提供的人才信息负责，不转递其他公司，不做转换推荐。甲方同意在被推荐人选正式录用前，为其保密。PartyAagreestotakealltheresponsibilitiesintheuseoftheinformationofcandidates,andshouldnotgivethemtoothercompanies,orrecommendforchange.PartyAshallmaintaintheconfidentialityofthecandidatebeforetheformalemployment.5．甲方同意在录用推荐人选时，将推荐人选的聘书复印件或劳动合同提供给乙方，乙方应为其进行严格保密。PartyAagreestoprovidethecopyofcandidate’sofferorlaborcontractforPartyB,andPartyBshouldmaintainitsconfidentiality.6．甲方同意乙方推荐的人才当时没有录用，在被推荐后壹年之内该人选再被录用、应视为由该乙方推荐成功。ShallthecandidaterecommendedbyPartyBtoPartyAnotbeemployedthen;if,atanytimewithin12months,thecandidateisemployedagainbyPartyA;itwillbedeemedasasuccessfulrecommendationofPartyB.7．甲方发现乙方提供的人才资料有与其他渠道此前所提供的资料重合时，应在收到乙方资料叁个工作日内提出声明，否则应被视为获得认可。ShallPartyAfindthecandidate’sinformationofferbyPartyBissameastheformerotherone,PartyAshoulddeclarewithin3workdaysonthereceivingoftheinformationfromPartyB,Otherwiseshallbetreatedasadmissive.二、乙方的权利与义务PartyB’sRightsandResponsibilities1、乙方应严格执行国家规定的有关人事及招聘政策、法律法规。PartyBmustobserveChina’srelevantpersonnelpolicy,regulationandlaw.2、乙方应按照本协议的规定为甲方提供所需职位的候选人,并有权按照本协议的规定向甲方收取服务费。PartyBisobligedtoprovidecandidatesforanopenedposition,asdefinedandregulatedinthisAgreement.AndPartyBhastherighttocollectaservicefeeforaplacementjobcompleted.3、乙方应随时将访寻工作情况向甲方汇报和沟通，以确保甲方了解访寻进程。PartyBisobligedtoprovidetoPartyAfrequentandtimelyupdatesabouttheplacementsearchsothatPartyAisawareoftheprogressoftheplacementjob.4、应甲方要求，乙方应及时提供候选人的详细的背景资料和其他相关信息。AttherequestofPartyA,PartyBshallprovidedetailedandtimelyinformationandotherrelatedinformationaboutthebackgroundofthecandidates.5、乙方应将甲方提供的应聘要求，如实转告候选人，保证其了解工作要求、环境和地点。PartyBshalltruthfullyinformthecandidatesoftherequirementsandqualificationsforaplacementjob,makingsurethecandidatesareawareoftherequirements,locationsandenvironmentsofaplacement.6、乙方应对其所推荐的候选人进行必要的调查，以保证所推荐的人选不存在违法、犯罪行为。PartyBshallcarryoutnecessaryreferencechecksonthecandidate/smakingsurethatthecandidate/sis/arefreefromcriminalorlegalcharges,and/orotherinterpersonalrelationshiporteamworkproblems.7、乙方对甲方提供的信息负有保密义务。非经甲方同意不得用于履行本协议之外的目的，否则应向甲方支付违约金，给甲方造成损失的，还应承担损害赔偿责任。PartyBisobligedtokeepconfidentialityofalltheinformationanddocumentsprovidedbyPartyAand/oracquiredbyPartyBfromPartyAintheprocessofcooperatingonaplacementjob;andundernocircumstancesshallPartyBusethedocumentorinformationforpurposesotherthantheplacemententrustment;orPartyBshallcompensatePartyBforbreachofcontractandtakeresponsibilityforthecostsanddamagescaused,ifany.8、乙方不应将甲方已经书面确认聘用的推荐人才再推荐或转交给第三方。PartyBshallnotprovidethecandidatestoanythirdpartyifthecandidatehasbeenconfirmedbyPartyAforemployment.三、服务的完成及费用支付ExecutionofaPlacementJobandPaymentofServiceFee1、乙方应自收到甲方提供的访寻人才所需全部信息及材料之日起的15个工作日内完成为甲方提供所需职位候选人名单及背景信息的工作，具体的要求为：每个职位至少提供三名合格候选人名单和背景信息；如甲方在此期间需要进一步增加候选人的数量，经协商，乙方可增加为甲方提供的候选人的数量，直至甲方满意为止。PartyBshall,within15workingdayssincereceivingalltheinformationanddocumentsaboutaplacementjob,providetoPartyAashortlistofatleastTHREEcandidates,andthebackgroundinformationofthesecandidates.Andif,PartyA,withinthesameperiodrequiresPartyBtoincreasethenumberofcandidates,PartyBshalldoaccordinglytothesatisfactionofPartyA.2、所委托职位在寻访成功后，甲方向乙方支付的服务费为每位成功候选人所能得到的税前年度收入(如无其他年薪约定，年薪指个月的转正后月薪及固定津贴福利的总和)的20%，下限为人民币20,000元。乙方收取每职位每人预付金为RMB元（大写：人民币元）PartyAshallmakeapaymenttoPartyBequalingto20%oftotalannualpre-taxincome(includingnon-probationmonths’salaryandothercompensationandbenefitsbycashasagreement)ofthesuccessfulcandidate,RMB20,000yuanistheMinimum.Andtheadvancepaymentforeachposition/eachpeopleisRMByuan.3、收费方式：双方签订委托协议，候选人上岗后7日内甲方向乙方支付服务费。ThetotaleligiblepaymentshallbemadetoPartyBwithin7daysaftertheemployedcandidatereportingtoPartyAforwork.4、付款采用转帐方式，乙方银行信息如下：BankandaccountsinformationofPartyBareasbelow:5、若甲方面试需要候选人旅行，所发生的差旅费用
