供应商协议SupplierAgreementSupplier:FuyingPlasticProductsCo.,Ltd.(hereinafterreferredtoasSupplier)供应商：福营塑胶制品有限公司（在以下条款中均以“供应商”来代指）CompanyAddress:XialianAirportRoad,GaishanRoad,FuzhouCity公司地址：福州市盖山路下濂机场路Manufacturer:Alu_Rehab(Xiamen)Co.,Ltd.(hereinafterreferredtoasManufacturer)制造商：安维车件（厦门）有限公司（在以下条款中均以“制造商”来代指）CompanyAddress:1-2Floor,building3,HaitouKechuangcenter,WengJiaoRoadNo.289,HaicangXinyangIndustrialDistrict,Xiamencity公司地址：厦门市海沧新阳工业区翁角路289号科创中心3号楼1-2层总述：本协议双方为安维车件（厦门）有限公司与福营塑胶制品有限公司Generalterms:TheagreementisbetweenAlu_Rehab(Xiamen)Co.,Ltd.andFuyingPlasticProductsCo.,Ltd.定义:双方：指本合同中供应商和制造商Definitions:BothpartiesrefertotheSupplierandtheManufacturerintheAgreement.产品：附件中图纸描述的产品和/或所附样品Products:refertoproductsdescribedindrawingsintheAppendixand(or)samplesannexedthereto供应协议SupplyAgreement1.1根据这份协议双方同意建立合同关系。该份协议是对双方订货合约书的补充，所有合作条件皆以双方签订的订货合约书为准。供应商同意根据本协议所附产品描述进行部件的生产。供应商同意根据“数量和订货程序”中所描述的制造商需求交付产品。双方同意承担“损失”条款6中所描述的未能履行本合同所产生的经济后果。BothpartiesheretoagreetoenterintocontractualrelationshipaccordingtothisAgreement,whichisthesupplementofContractforGoodssignedbybothparties.AllcooperativeconditionshallbesubjecttotheaforesaidContractforGoods.Thesupplieragreestoproducepartsinaccordancewiththedescriptionattachedtothisagreement.ThesupplieracceptstodelivertheproductsinaccordancewithManufacturer'srequirementsasdescribedinQuantitiesandOrderingProcedures.BothpartiesmeetmutualagreementinbearingtheeconomicconsequencesresultingfromthefailedperformanceoftheContractasspecifiedinclause6Damages.期限:2.1双方同意签署一年合同关系.合同到期前三个月双方应就本协议进行重新谈判。供应商有责任就重新谈判提出书面申请.若合同到期前3个月内未收到任何重新谈判申请,将视为双方无意继续合作.Duration:2.1Thepartiesagreetoenterintoaone-yearcontractualrelationship.ThepartiesshallrenegotiatethisAgreementthreemonthspriortothedateofexpiry.Itisthesupplier'sresponsibilitytosubmitawrittenapplicationforrenegotiation.Ifnoattempttorenegotiatethetermsisreceivedwithin3monthsbeforetheexpiryofthiscontract,itshallbeconsideredthatthepartiesdonotwishtorenewthecooperation.质量:3.1双方一致同意将尽最大努力使产品达到协议质量要求。制造商需提供给供应商足够的技术信息，包括但不限于图纸和/或样品。供应商应以书面形式或是电子邮件形式确认已收到并理解该技术信息，并且认为该信息充分,可以生产。Quality:3.1BothpartiesreachmutualagreementinmakingproductsmeetthequalityrequirementsspecifiedintheContractwithbestefforts.TheManufacturershallprovidetheSupplierwithadequatetechnicalinformation,includingbutnotlimitedtodrawingsand/orsamples.Thesuppliershallinformofwritingore-mailconfirmthattheinformationhasbeenreceivedandunderstood,andisadequateenoughtogointooperation.样品.Sample3.2供应商在大规模生产前，须提供样品，并且必须在通过制造商技术部门测试并获得书面批准后以双方签字后的封样为准，才能进行大批量生产.但如果是常单且持续返单的同一品种，则不需要重新提供样品。Thesuppliershallpresentsamplesbeforemassproduction,whichshallcomeintoeffectonlyaftertestsandwrittenapprovalbyManufacturer'sR&Ddepartment,andsubjecttothesealedsamplesignedbybothparties.Butifitisthesameitemofregularorderandcontinuousrepeatorder,thereisnoneedtoprovidenewsample3.3供应商承诺将根据质量协议中所描述的质量控制程序对所生产的产品进行质量监控。供应商理解并同意制造商发现品质问题时根据条款6处理，供应商的责任仅限于合同条款第六项的规定。3.3TheSupplierpromisestoconductqualitycontrolinaccordancewiththequalitycontrolproceduresasspecifiedinthequalityagreement.TheSupplierunderstandsandagreestohandleanyqualityproblemdiscoveredbytheManufactureraccordingtoClause6.TheSupplier'sresponsibilityisconfinedtoprovisionsinclause6ofthisContract.数量及定货程序:4.1协议双方一致同意并理解信息交流的重要性，如有一方根据实际情况需要在合作协议上做出更改的需尽快以书面形式提前告知另一方。Quantitiesandorderingprocedures:4.1Bothpartiesagreeandunderstandthatexchangeofinformationisvital,andanychangeintheContractmadebyonepartybasedofpracticalneedshallbenotifiedtotheotherpartyinwritinginadvanceassoonaspossible.4.2供应商为制造商所生产的所有产品应附带产品档案,至少应包含以下内容:获批准样品以及测试报告,报价,最低订货量及交货时间.所有文件须由双方授权人签署.4.2Allproductsproducedbythesupplierforthemanufacturershallbeattachedwithproductsfileswithatleastthefollowingcontent:Approvedsampleandtestreport,quotation,minimumorderquantityanddeliverytime.Allpapersshallbesignedbyauthorizedpersonnelfrombothparties4.3制造商的定单必须在协议的最小至最大定单量之间。最小和最大定单量的任何改变必须通过双方的一致同意.4.3Manufacturer'sordersshallbeconfinedintheamountfromminimumtomaximumagreedintheContract.Anychangesintheagreedminimum-maximumorderquantityshallbesubjecttobothparties'mutualagreement.4.4供应商有义务根据协议供货.任何违背协议的行为，包括但不限于材料的更改，最小/最大定单量的改变,或设计/图纸未经过制造商的书面批准，否则，如出现任何品质问题根据条款6处理.4.4Thesupplierisobligatedtodeliverinaccordancewiththeagreement.Anydeviation,includingbutnotlimitedtochangesofmaterials,minimum/maximumorderordesign/drawingnotapprovedinwritingbythemanufacturer,shallbehandledaccordingtotheClause6ifthereareanyqualitydiscrepanciesarose.交货，风险及所有权Delivery,riskandownership5.1供应商应将产品交付到协议中制造商所在地厦门，供应商将力所能及的将货托运至离制造商最近的货运站。当制造商的员工到货运站自行提货，此时供应商已完成交货。供应商有义务负责货物的包装，帮助制造商选择运输公司。5.1TheSupplierwilldeliverproductstoXiamen,theManufacturer'saddressasspecifiedinthisContract,anddoeverythingwithinitscapabilitytoconsigntheproductstothefreightterminalwhichisnearesttotheManufacturer.TheproductsaredeemedtohavebeendeliveredwhenithasbeentakenbytheManufacturer'semployee.TheSupplierisresponsibleforpackagingandhelpingtochoosetransporterfortheManufacturer.供应商须根据事先确定的交货日期准时交货，交货时间在收到订单后的7个工作日确认给制造商。制造商允许供应商在72小时内延迟交货,如需进一步延迟交货时间必须直接与制造商联系.Thesuppliersha
