LawofthePeople'sRepublicofChinaonPartnershipsOrderofthePeople'sRepublicofChinaNo.55TheLawofthePeople'sRepublicofChinaonPartnerships,amendedandadoptedatthe23rdMeetingoftheStandingCommitteeoftheTenthNationalPeople'sCongressofthePeople'sRepublicofChinaonAugust27,2006,isherebypromulgatedandshallgointoeffectasofJune1,2007.HuJintaoPresidentofthePeople'sRepublicofChinaAugust27,2006LawofthePeople'sRepublicofChinaonPartnerships（Adoptedatthe24thMeetingoftheStandingCommitteeoftheEighthNationalPeople'sCongressonFebruary23,1997andamendedatthe23rdMeetingoftheStandingCommitteeoftheTenthNationalPeople'sCongressonAugust27,2006）ContentsChapterIGeneralProvisionsChapterIIGeneralPartnershipsSection1EstablishmentofaPartnershipSection2PropertyofaPartnershipSection3ManagementofPartnershipAffairsSection4RelationshipofaPartnershiptoaThirdPartySection5EnteringintoandRetiringfromaPartnershipSection6SpecializedGeneralPartnershipsChapterIIILimitedLiabilityPartnershipsChapterIVDissolutionandLiquidationofaPartnershipChapterVLegalLiabilityChapterVISupplementaryProvisionsChapterIGeneralProvisionsArticle1ThisLawisenactedinordertoregulatethebehaviorofpartnerships,toprotectthelawfulrightsandinterestsofpartnershipsandthepartnersandcreditorstherein,tomaintainsocialandeconomicorder,andtopromotethedevelopmentofthesocialistmarketeconomy.Article2ForthepurposesofthisLaw,“partnerships”refertobothgeneralpartnershipsandlimitedliabilitypartnerships,bothofwhichareestablishedaccordingtothisLawbynaturalpersons,legalpersonsorotherorganizationswithintheterritoryofChina.Ageneralpartnershipiscomposedofgeneralpartnerswhobearunlimitedjointandseveralliabilityforthedebtsofthepartnership.WheretherearespecialprovisionsinthisLawontheformsofliabilitybornebygeneralpartners,thoseprovisionsshallprevail.Alimitedliabilitypartnershipiscomposedofgeneralpartnersandlimitedpartners,withtheformerbearingunlimitedjointandseveralliabilityforthedebtsofthepartnershipandthelatterbearingliabilityforsuchdebtsrespectivelywithinthelimitsofthecapitalcontributionssubscribedfor.Article3AwhollyState-ownedcompany,aState-ownedenterprise,alistedcompany,orapublicwelfareundertakingorpublicorganizationshallnotbecomeageneralpartner.Article4Apartnershipagreementshallbelawfullyconcluded,inwrittenform,onthebasisofagreementreachedbyallthepartnersthroughconsultation.Article5Theprinciplesoffreewill,equality,fairnessandgoodfaithshallbeobservedinconcludingapartnershipagreementandestablishingapartnership.Article6Thepartnersofapartnershipshall,accordingtothetaxregulationsoftheState,respectivelypaytaxesonthepartnership'sincomesderivedfromproduction,businessoperationandothersources.Article7Apartnershipanditspartnersshallabidebylawsandadministrativeregulations,observesocialandbusinessethicsandshouldersocialresponsibility.Article8Thelawfulpropertyandrightsandinterestsofapartnershipandthepartnersthereinshallbeprotectedbylaw.Article9Fortheapplicationforestablishmentofapartnership,suchdocumentsasawrittenapplicationforregistration,apartnershipagreementandtheidentitypapersofthepartnersshallbesubmittedtotheenterpriseregistrationauthority.Wherewithinthebusinessscopeofapartnershipthereisanyitemforwhichapprovalisrequiredpriortoregistrationofthepartnership,asprovidedforbylawsoradministrativeregulations,suchapprovalshallbeobtainedaccordingtolawandtheapprovaldocumentshallbesubmittedwhenapplyingforregistration.Article10Wheretheapplicationmaterialssubmittedforregistrationbyanapplicantarecompleteandconformtothestatutoryform,theenterpriseregistrationauthorityshall,ifitcan,granttheregistrationonthespotandissueabusinesslicense.Intheabsenceofwhatisprescribedintheprecedingparagraph,theenterpriseregistrationauthorityshall,within20daysfromthedateitreceivesanapplicationforregistration,decidewhetherornottograntregistration.Ifitdecidestograntregistration,itshallissueabusinesslicense;otherwise,itshallgiveawrittenreplyandstatethereasons.Article11Thedateofissuanceofthebusinesslicensetoapartnershipshallbethedateofestablishmentofthepartnership.Beforeapartnershipobtainsthebusinesslicense,nopartnerthereinshallengageinanypartnershipactivitiesinthenameofthepartnership.Article12Whereapartnershipintendstosetupabranch,itshallapplyforregistrationtotheenterpriseregistrationauthorityattheplacewherethebranchistobelocated,inordertoobtainabusinesslicense.Article13Wherearegistereditemofapartnershipneedstobealtered,themanagingpartnershall,within15daysfromthedateadecisiononalterationismadeorthecauseforalterationarises,applytotheenterpriseregistrationauthorityforregistrationofalteration.ChapterIIGeneralPartnershipsSection1EstablishmentofaPartnershipArticle14Forestablishmentofapartnership,thefollowingconditionsshallbemet:（1）havingtwoormorepartners.Ifapartnerisanaturalperson,heshallhavefullcapacityforcivilconduct;（2）havingawrittenpartnershipagreement;（3）havingcapitalsubscribedfororactuallycontributedbypartners;（4）havinganameforthepartnershipaswellasproductionandbusinesspremises;and（5）otherconditionsprovidedforbylawsandadministrativeregulations.Article15Thewords“
