文件编号：98078中华人民共和国合同法ContractLawofthePeople'sRepublicofChina(AdoptedattheSecondSessionoftheNinthNationalPeople'sCongressonMarch15,1999'PromulgatedbytheOrderNO.15ofthePresidentofthePeople'sRepublicofChinaonMarch15,1999andeffectiveasofOctober1,1999)颁布日期：19990315实施日期：19991001颁布单位：全国人民代表大会ContentsGeneralProvisionsChapter1GeneralPrinciplesChapter2ConclusionofContractsChapter3ValidityofContractsChapter4PerformanceofContractsChapter5ModificationandAssignmentofContractsChapter6TerminationofContractualRightsandObligationsChapter7LiabilitiesforBreachofContractsChapter8OtherProvisionsSpecificProvisionsChapter9SalesContractsChapter10ContractsforSupplyofPower,Water,GasorHeatChapter11GiftContractsChapter12ContractsforLoansofMoneyChapter13LeasingContractsChapter14FinancialLeasingContractsChapter15ContractsforWorksChapter16ContractsforConstructionProjectsChapter17TransportationContractsChapter18TechnologyContractsChapter19StorageContractsChapter20WarehousingContractsChapter21CommissionContractsChapter22ContractsofCommissionAgencyChapter23IntermediationconrtactsSupplementaryProvisionsGeneralProvisionsChapter1GeneralPrinciplesArticle1ThisLawisenactedinordertoprotectthelawfulrightsandinterestsofthecontractingparties,tomaintainsocialandeconomicorder,andtopromotetheprocessofsocialistmodernization.Article2AcontractinthisLawreferstoanagreementamongnaturalpersons,legalpersonsorotherorganizationsasequalpartiesfortheestablishment,modificationofarelationshipinvolvingthecivilrightsandobligationsofsuchentities.Agreementsconcerningpersonalrelationshipssuchasmarriage,adoption,guardianship,etc.shallbegovernedbytheprovisionsinotherlaws.Article3Contractingpartiesshallhaveequallegalstatus,andnopartymayimposeitswillontheotherparty.Article4Thepartieshavetherighttolawfullyenterintoacontractoftheirownfreewillinaccordancewiththelaw,andnounitorindividualmayillegallyinterferetherewith.Article5Thepartiesshalladheretotheprincipleoffairnessindecidingtheirrespectiverightsandobligations.Article6Thepartiesshallobservetheprincipleofhonestyandgoodfaithinexercisingtheirrightsandperformingtheirobligations.Article7Inconcludingandperformingacontract,thepartiesshallcomplywiththelawsandadministrativeregulations,respectsocialethics,andshallnotdisruptthesocialandeconomicorderorimpairthepublicinterests.Article8Alawfullyestablishedcontractshallbelegallybindingonthepartiesthereto,eachofwhomshallperformitsownobligationsinaccordancewiththetermsofthecontract,andnopartyshallunilaterallymodifyorterminatethecontract.Thecontractestablishedaccordingtolawisprotectedbylaw.Chapter2ConclusionofContractsArticle9Inenteringintoacontract,thepartiesshallhaveappropriatecapacitiesforcivilrightsandcivilacts.Apartymayappointanagenttoenterintoacontractonitsbehalfinaccordancewiththelaw.Article10Thepartiesmayusewritten,oralorotherformsinenteringintoacontract.Acontractshallbeinwrittenformifthelawsoradministrativeregulationssoprovide.Acontractshallbeconcludedinwrittenformifthepartiessoagree.Article11Writtenformreferstoaformsuchasawrittencontractualagreement,letter,electronicdatatext(includingatelegram,telex,fax,electronicdataexchangeande-mail)thatcantangiblyexpressthecontentscontainedtherein.Article12Thecontentsofacontractshallbeagreeduponbytheparties,andshallgenerallycontainthefollowingclauses:(1)titlesornamesanddomicilesoftheparties;(2)subjectmatter;(3)quantity;(4)quality;(5)priceorremuneration;(6)timelimit,placeandmethodofperformance;(7)liabilityforbreachofcontract;and(8)methodtosettledisputes.Thepartiesmayconcludeacontractbyreferencetoamodeltextofeachkindofcontract.Article13Thepartiesshallconcludeacontractintheformofanofferandanacceptance.Article14Anofferisanexpressionofanintenttoenterintoacontractwithanotherperson.Suchexpressionofintentshallcomplywiththefollowing:(1)itscontentsshallbespecificanddefinite;(2)itindicatesthattheofferorwillbeboundbytheexpressionofintentincaseofacceptancebytheofferee.Article15Aninvitationforofferisanexpressionofanintenttoinviteotherpartiestomakeoffersthereto.Mailedpricelists,publicnoticesofauctionandtender,prospectusesandcommercialadvertisements,etc.areinvitationsforoffer.Wherethecontentsofacommercialadvertisementmeettherequirementsforanoffer,itshallberegardedasanoffer.Article16Anofferbecomeseffectivewhenitreachestheofferee.Ifacontractisconcludedthroughdata-telex,andarecipientdesignatesaspecificsystemtoreceivethedate-telex,thetimewhenthedata-telexenterssuchspecificsystemshallbethetimeofarrival;ifnospecificsystemisappointed,thetimewhenthedata-telexfirstentersanyoftherecipient'ssystemsshallberegardedasthetimeofarrival.Article17Anoffermaybewithdrawn.Thewithdrawalnoticeshallreachtheoffereebeforeoratthesametimewhentheofferarrives.Article18Anoffermayberevoked.Therevocationnoticeshallreachtheoffereebeforeithasdispatchedanoticeofacceptance.Article19Anoffermaynotberevoked,if(1)theofferorindicatesafixedtimeforacceptanceorotherwiseexplicitlystatesthattheofferisirrevocable;or(2)theoffereehasreasonstorelyontheofferasbeingirrevocableandhasmadepreparationforperformingtheconta
