AGREEMENTTHISAGREEMENTmadeon1stDayofDecember,2010byandbetween,A,acorporationdulyorganizedandexistingunderthelawsofTheGovernmentofB,withofficeatC(hereinaftercalled“Buyer”),andDacorporationdulyorganizedandexistingunderthelawsofTheGovernmentof_E,havingitsplaceofbusinessatG(hereinaftercalled“Seller”)WITNESSETHWHEREAS,Buyerdesirestopurchase,andSelleriswillingtoselltoBuyer,theproductsorserviceswhicharesetforthinArticle2hereof(hereinaftercalledthe“Products”)uponthetermsandconditionswhicharehereinaftersetforth.NOWTHEREFORE,inconsiderationofthepremisesandthemutualcovenantshereincontained,thepartiesheretoherebyagreeasfollows;ARTICLE1.DEFINITIONSInthisAgreement,unlessthecontextotherwiserequires:1.1.“IncomingInspection”shallmeanthetestsetoutinthePurchaseOrderorotherrelateddocumentattachedheretotoestablishwhethertheProductsmeetthetestcriteriapertainingtothemintherelevantPurchaseOrder.1.2.“ConfidentialInformation”shallmeananyandallinformationowned,created,orpossessedbythedisclosingpartythatthedisclosingpartydesirestoprotectasconfidentialagainstunrestricteddisclosureorimpropercompetitiveuse,including,butnotlimitedto,discoveries,ideas,concepts,know-how,techniques,designs,specifications,drawings,blueprints,tracings,diagrams,models,samples,flowcharts,data,computerprogramsanddocumentation,disks,diskettes,tapes,marketingplans,customernames,lists,orproposals,patentapplications,businessinformation,strategicanddevelopmentplans,employeelists,businessmanuals,technicalorfinancialinformation,orsketches,whetherconveyedascommunicationsordatainoral,written,graphic,orelectromagneticformorotherwise,andallotherinformationwhichmaybedisclosedbythedisclosingpartyortowhichthereceivingpartymaybeprovidedaccessbythedisclosingpartyorothersinaccordancewiththisAgreement,whichisnotgenerallyavailabletothepublicandallConfidentialInformationshallbeclearlyidentifiedasconfidential.1.3.“Delivery”shallmeandeliveryoftheProductinthePurchaseOrder.1.4.“Defect”shallmeanany(i)reproducibledefectsinanyProductswhichcauseitnottofunctioninconformancewiththeSpecifications,and(ii)SoftwaremiscodingwhichresultsintheSoftwarefailingtofunctioninconformancewiththeSpecifications,ifsuchfailureisreproducible.1.5.“Product”shallmeanthetangibleproductsspecifiedinthePurchaseOrder.1.6.“PurchaseOrder”shallmeanBuyer’sdocumentsettingouttheProducts,PriceandanyfurtherdetailconcerningdeliverytoBuyer.1.7.“QualityProblem”shallmeananynegligenceofSellerthatcausesthedefectintheProducts,thelinestoppageinBuyer’smanufacturingprocess,claimsfromBuyer’sendcustomers.1.8.“Service”shallmeantheworkthatSellerperformsforBuyerasdescribedinthePurchaseOrder.1.9.Specificationsshallmeantheengineering,operationaland/orfunctionaldescriptions,detailsandrequirementsfortheProduct,assetforthinthePurchaseOrderasthesamemaybemodifiedasprovidedherein.ARTICLE2.PRODUCTS2.1.Sellershallprovidetheproductorservice(“Product”)toBuyerasspecifiedintherelevantPurchaseOrderassetforthinAppendixA.attachedheretoandmadeaparthereof.2.2.Priortothestartofactualtransaction,BuyerandSelleragreetodiscussandreachanagreementonthenameoftheProducts,partsnumber,specifications,unitprice,deliveryleadtime,orderplanning,minimumorderquantity,minimumdeliveryquantity,placeofdelivery,etc.inaccordancewiththePurchaseOrder.2.3.ThetermsandconditionsofthePurchaseOrdershallcontroltotheextentofanyconflictbetweenthetermsandconditionshereinandthoseinthePurchaseOrder.ARTICLE3.QUALITYASSURANCE3.1.EngineeringorProcessChanges3.1.1.Sellershallnotchangeitsproductionconditionsduringthefirstsix(6)monthsafterissuanceofthePurchaseOrder.Ifthereisaspecialreasonforchanging,SellershallindicatetoandobtainapprovalfromBuyerregardingthemajorchangewhichmayincludeallprocesschanges,sourcingchanges,designchanges,componentsteppingchanges,geographicalrelocationofmanufacturingsite,drawingchangesorprocessstepdiscontinuancethataffecttheagreedspecifications,themechanicalformorfit,thepackaging,theenvironmentalcompatibility,thelife,thereliabilityorthequalityofProducts.3.1.2.WhenSellerhasmadeanychangeswithoutpriorapprovalfromBuyeranditcausesanyfailureinBuyer’sproductionormarketingprocess,Buyershallbeentitledtoclaimreimbursement,replacementorscreeningtoSeller.ThespecificamountofcompensationshallbedeterminedbymutualnegotiationbetweenBuyerandSeller.3.2.ManufacturingProcessControl3.2.1.SellershallperformananalysisonallfailuresthatoccurredduringthemanufacturingprocessfortheProductssuppliedtoBuyerandimplementthenecessarycorrectiveaction.Sellershalldocumentthedate,month,line,andproductsusedduringthecorrectiveactivity.3.2.2.SellershallprovidetoBuyerarootcauseandcorrespondingcorrectiveactionplanforeachfailurereportedbyBuyerorcustomerswithinseven(7)daysafterSellerreceivedthefailurereport3.3.ReliabilityTest3.3.1.SellershallperformaperiodicreliabilitytestontheproductionoftheProductaccordingtotheBuyer’spre-approvedtestplanbyusingqualifiedemployeesandtestingequipments.SellershallsubmittheresulttoBuyerforreview.3.3.2.IncaseSellerisunabletoimplementthereliabilitytestbyitself,SellermayengageBuyer’sfacilityoranyo
