合同Contact编号NO：日期Date：签约地点Signdate：卖方：Sellers：地址：Address：邮政编码：Postalcode：电话：Tel：传真：Fax：买方：Buyers：地址：Address：邮政编码Postalcode：电话：Tel：传真Fax：买方Thebuyers：买卖双方同意按下列条款由卖方出售，买方购进下列货物：Thesellersagreestosellandthebuyeragreestobuytheundermentionedgoodsonthetermsandconditionsstatedbelow：（1）货物名称、规格、包装及唛头Nameofcommodity,specifications,packingtermsandshippingmark检验：以中国商品检验局出具的品质重量证书作为付款依据。Ispection:ThecerficatesofqualityandweightissuedbytheChinaCommodityInspectionBureauaretobetakenasthebasisforeffectingpayment.（2）数量Quantity（3）单价UnitPrice（4）总值TotalValue卖方有权在_____%内多装或少装Shippment_____%moreorlessatSellers’option(5)装运期限TimeofShipment：(6)装运口岸PortofLoading(7)目的口岸PortofDestination(8)保险：由卖方按发票全额110%投保至_____为止的_____险Insurance：Tobeeffectedbybuyersfor110%offullinvoicevaluecovering_____upto_____only.(9)付款条件：买方须于_____年_____月_____日将保兑的，不可撤销的，可转让可分割的即期信用证开到卖方。信用证议付有效期延至上列装运期后15天在中国到期，该信用证中必须注明允许分运及转运。Payment：Byconfirmed,irrevocable,transferableanddivisibleL/Ctobeavailablebysightdrafttoreachthesellersbefore___/___/_____andtoremainvalidfornegotiationinChinauntil15daysaftertheaforesaidtimeofshipment.TheL/Cmustspecifythattranshipmentandpartialshipmentsareallowed.(10)单据：卖方应向议付银行提供已装船清洁提单、发票、中国商品检验局或工厂出具的品质证明、中国商品检验局出具的数/重量鉴定书。如果本合同按CIF条件，应再提供可转让的保险单或保险凭证。Documents:Thesellersshallpresenttothenegationsbank,cleanonboardbilloflading,invoice,qualitycerficationissuedbytheChinaCommodityInspectionBureauorthemanufactures,surveyreportonquantity/WeightissuedbytheChinaCommodityInspectionBureau,andtransferableinsurancepolicyorinsurancecertificatewhenthiscontractismadeonCIFbasis.(11)装运条件:装载船只由卖方安排，允许分批装运并允许转船。卖方于货物装船后，应将合同号码、品名、数量、船名、装船日期以电报通知卖方。TermsofShipment：Thecarryingvesselshallbeprovidedbythesellers.Partialshipmentsandtransshipmentareallowed.Afterloadingiscompleted,thesellersshallnotifythebuyerscablesbycableofthecontractnumber,nameofcommodity,quantity,nameofthecarryingvesselanddateofshipment.（12）品质与数量、重量的异义与索赔：货到目的口岸后，卖方如发现货物品质及/或数量/重量与合同规定不符，除属于保险公司及/或船公司的责任外，买方可以凭双方同意的检验机构出具的检验证书向卖方提出异议。品质异议须于货到目的口岸之日起三十天内提出，数量/重量异议须于货到目的口岸之日起十五天内提出。卖方应于收到异议后三十天内答复买方。Quality/QuantityDiscrepancyandClaim:Incasethequanlityand/orquanlity/weightarefoundbythebuyerstobenotinconformitywiththecontractafterarrivalofthegoodsattheportdestination,thebuyersmaylodgeclaimwithsellerssupportedbysurveyreportissuedbyaninspectionorganizationagreeduponbybothparties,withtheexceptiong,howeverofthoseclaimwiththeinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible,claimforqualitydiscrepancyshouldbefiledbythebuyerswithin30daysafterarrivalofthegoodsattheportofthedestination,whileforquantity/weightdiscrepancyclaimshouldbefiledbytheBuyerswithin15daysafterarrivalofthegoodsattheportofthedestination.Thesellersshall,within30daysafterreceiptofthenotificationoftheclaim,sendreplytotheBuyers.(13)人力不可抗拒因素：由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。ForceMajeure：Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.(14)仲裁：在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。ArbitrationAlldisputesarisingfromtheexecutionofthisagreementshallbesettledthroughfriendlyconsultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtotheForeignTradArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTradeforArbitrationinaccordancewithitsProvisionalRulesofProcedure.Thedecesionmadebythiscommissionshallberegardedasfinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.(15)备注Remark卖方Sellers：买方：Buyers：
