密级:学校代码:10075分类号:学号:20090252法学硕士学位论文〇ClassifiedIndex:CODE:10075U.D.C:NO:20090252ADissertationfortheDegreeofMasterStudyonRegulationsofPrivateFinancingCandidate:Zhanghui-lingSupervisor:professor.Mayong-shuangAcademicDegreeAppliedfor:MasteroflawSpecialty:EconomicLawUniversity:HebeiUniversityDateofAccomplishment:June,2012摘要I摘要我国民间融资现象较为普遍,对经济发展也起到了一定作用。但不容忽视的是在民间融资的发展过程中也存在诸多问题,主要包括:民间融资的合法化问题、民间融资的形式规范问题、民间融资中的虚假诉讼问题、民间融资的利息计算问题和民间融资对国家宏观调控的削弱问题等。针对这些具体的问题可以采取以下对策:制定《民间融资法》以明确民间融资的合法地位,完善民间融资的监测制度以掌握足够的信息对民间融资进行引导和监管,细化监管的主体、监管的范围和监管的方法;标准化管理民间融资的“书面”形式,并结合经济生活中的实际情况和先进通讯科技来制定现代化的交易形式;防止虚假诉讼,确定坚持重经济处罚、轻刑事处罚的方针,坚持用法律手段规制民间融资。本文共分为四章:第一章介绍了现有学者关于民间金融的内涵和外延的定义、民间融资的类型、民间融资对我国经济发展所做出的卓越贡献,力求引起公众对民间融资的关注。第二章介绍了民间融资在美、英、德三国的发展概况和在民间融资监管方面所取得的先进经验,并对相关内容进行总结概括,希望通过吸取其中的精华得出一种更有效率、更为合理的管理模式来引导和促进我国民间融资健康有序的发展,为我国的经济发展贡献出更大的力量。第三章介绍了我国现有的关于民间融资的法律法规,并且重点分析了我国民间融资中现存的一些问题,比如民间融资的合法化问题、虚假诉讼问题、形式不规范的问题、利息计算问题以及民间融资对国家宏观调控的削弱等等问题。只有认真全面的分析了问题的原因和症结并做出正确的分析才能解决问题,因此,正确的认识和面对问题是至关重要的。第四章建议制定《民间融资法》,设立融资主体的准入条件、\规范民间融资的书面形式;是建立民间融资监测制度,明确监测主体和监测范围并着力对民间融资实行分类监测;对民间融资中的虚假诉讼不能单纯依靠事后打击,应该采用事前、事后相结合的方法来治理;应加大民间融资行业自律组织的发展。关键词民间融资民间融资法虚假诉讼行业自律AbstractIIAbstractPrivatefinancingappearswidelyinourcountry,whichcontributesgreatlytotheeconomicdevelopment.However,manyproblemsduringtheprocessstillexistwhichincludelegalizationofprivatefinancing,standardizationofitsforms,fictitiousaction,calculationofinteresttogetherwithimpairmentofstatemacro-regulationunderitsinfluence.Thecountermeasuresareasfollows:tobeginwith,legislateforprivatefinancingtoclarifyitslegalstatus,improvethemonitoringsysteminordertoobtainenoughinformationwhichcanbeusedtoguideandsupervisetheprivatefinancing,torefinethemainpart,scopeandmethodsofthesystem.Then,administratethewrittenforminastandardizedmanneraswellascombinethepracticalsituationshownineconomywithadvancedtelecommunicationstoformulatemoderntransactionforms.Finally,regulateprivatefinancingbylegalmeans,andpreventagainstfictitiousaction,adheretothepolicythatvieweconomicpenaltyasmoreimportantthancriminalpunishment.Thewholepaperismadeupoffourchapters.Havingintroducedthedenotativeandconnotativedefinitionsforprivatefinancingmadebycurrentscholars,thefirstchapteralsoenumeratesthetypesofprivatefinancingandpresentsthegreatcontributionsithasmadefortheeconomicdevelopment,whichaimsatarousingpublicattention.While,inthesecondchapter,overviewondevelopmentaswellasadvancedmonitoringexperiencesinseveralcountriessuchasBritain,GermanyandtheUnitedStatesareequallydescribed.Theauthorhopethatamoreeffectiveandreasonablemanagerialmodecanbebuiltafterassimilatingtheessenceofthoseexperiencesanddrawingconclusionsovertherelatedcontentssoastoguideandpromoteitsdevelopmentalongasoundandorderlytrackandmakeevengreatercontributionstotheeconomy.Thethirdchapterlistscurrentlawsandregulationstowardsprivatefinancingandlaysspecialstressonexistingproblems,forinstance,legalizationofprivatefinancing,fictitiousaction,forms’standardization,interestcalculationalongwithimpairmentofcountrymacro-economiccontrol,etc.Therefore,itisabsolutelycriticaltounderstandandhandleproblemsincorrectwaysforonlywhenwescrupulouslyanalyzetheAbstractIIIproblemsandknowwheretherubiscanwesettlethemthroughrightanalysis.Inthefourthchapter,ononehand,thepenmanadvisetoformulatelawsforprivatefinancing,toestablishtherequirementsforinvestors,toclarifythemonitoringscopeandtoregulateitswrittenform.Ontheotherhand,itisofutmostimportancetocreatethemonitoringsystemandmakethesubjectandscopeclear.Atthesametime,implementationofthesupervisionmodelofcategorizedmanagementmatters.Tosumup,thesettlementforfictitiousactionwillmainlydependonthecombiningmethodtowardsbeforeorafterthefactratherthanrelyingsolelyonpenaltyafterwards.Meanwhile,thedevelopmentofself-disciplineorganizationshouldbeexpanded.Keywords:PrivatefinancingPrivatefinancingmethodFictitiousactionSelf-discipline目录IV目录引言····································································································································1第1章民间融资概述······································································································21.1民间融资的含义········································································································21.2民间融资的类型········································································································21.2.1基于生活和简单生产而进行的民间融资··························································21.2.2基于赢利目的而进行的民间融资······································································31.2.3企业内部集资·····································································································31.3民间融资存在的意义和作用····················································································41.3.1缓解了中小企业、民营经济融资难的问题······················································41.3.2拓宽了民众的理财渠道,提高了民间闲散资金的利用率·······························51.3.3促使金融机构不断的提高服务水平··································································5第2章外国民间融资法律规制的比较与借鉴······················································
