AGREEMENTShanghaiRonbioScientificCo.,LtdRoom2206,No.15Lane33,ZhongtanRoad,Shanghai()ABC_____________.ThisAgreementismadeandeffectiveasof______,ShanghaiRonbioBiologyScientificCo.Ltd,themanufacturer,havingaplaceofbusinessatRoom2206,Bldg15No.33ZhongtanRd,Shanghai,200061,P.R.China(sometimeshereinafterreferredtoas“Ronbio”),andABC,theexclusivedistributor,havingaplaceofbusinessat_______________.(Sometimeshereinafterreferredtoas“ABC”)ABC(”)ABCWHEREAS,RonBioisamanufacturerofvarioustypesofproducts,includingbutnotlimitedtoLabConsumablesmanufacturedandsoldunderthebrandnamesofShanghaiRonbioScientificCo.Ltd.(“RonbioBrandLabConsumables”),andisalsoasellerofapparatus(“RonbioBrand”)(theRonbioapparatusandLabConsumablesaresometimesreferredtohereincollectivelyasthe“RonbioBrandProducts”or“Products”).RonbioiswillingtoprovideittotheABConthetermsandconditionssetforthherein.ABCAFOBABCABCWHEREAS,ABCbuysthoseRonbioapparatusandLabConsumablesmanufacturedbyRonbiothatareexpresslyidentifiedassuchinthesellingPriceListattachedheretoasSchedule“A”andincorporatedhereinbythisreference.ThepricelistwillbeFOBShanghai.ThepartiesenterthisAgreementinordertoestablishabusinessrelationshipinwhichRonbiowillsellProductstoABC,andABCwillresellandprovidecustomersupportforthoseproducts.ABCABCABCWHEREAS,ABCwillactasanindependentcontractorunderthetermsofthisAgreementandnotasapartnerorlegalrepresentativeofRonbioforanypurpose,andABChasnorightorauthoritytoassumeorcreateanyobligationofanykind,expressedorimplied,onbehalfofRonbiotoABC’scustomersortoanyotherpersonorparty.TheAgreementisnotintendedtobe,andshallnotbeconstruedtobe,ajointventureorpartnership.ABCABCWHEREAS,ABCassuresRonbiothatithasthefacilities,personnel,andtechnicalexpertiseAGREEMENTShanghaiRonbioScientificCo.,LtdRoom2206,No.15Lane33,ZhongtanRoad,Shanghai:1.1.RECITALSANDCERTAINDEFINITIONS1.1.“”1.1.“Documentation.”Thoseprintedinstructions,manualsanddiagramspertainingtotheProductstobefurnishedtherewith.1.21231.2.“IntellectualPropertyRights.”Theintangiblelegalrightsorinterestsevidencedbyorembodiedin(1)anyidea,design,concept,technique,invention,discovery,orimprovement,includingpatents,patentapplications,tradesecrets,andknow-how;(2)anyworkofauthorship,includingcopyrightsandanymoralrightsrecognizedbylaw;and(3)anyothersimilarrights,ineachcaseonaworldwidebasis.1.3.ABC1.3.License.SubjecttothelimitationsandrestrictionsprovidedinthisSectionandtoothertermsandconditionsofthisagreementRonBioherebygrants,andABCherebyaccepts,thelimitedrightandlicense.EachlicenseshallprohibitthecustomersfromanycopyingoftheProducts,orfromassembly,whicharedistributedtocustomers.1.4.ABC1.4.TrademarkRights.Nolicenseisgiventonorintendedforanytradename,trademark,orservicemarkproprietarytoABC,ABCshallnototherwiseusesuchtrademarksforanypurposewithoutthepriorwrittenapprovalofRonbio.1.5.ABCABC1.5.RetainedRights.AllrightsthatarenotexpresslygrantedtoABChereinareretainedbyRonbio.ExceptasexpresslyprovidedhereunderinconnectionwiththesalesoftheProducts,AGREEMENTShanghaiRonbioScientificCo.,LtdRoom2206,No.15Lane33,ZhongtanRoad,Shanghai’sproducts,cover,butarelimitedto,______________(sometimeshereinafterreferredtoas“Territories”).ABCsellRonio’sproductsinothercountriesorregionsdirectlyorindirectly,ABCshallgettheRonio’spriorwrittenapproval.2.2.OBLIGATIONS2.ABC2.ABC’SOBLIGATIONS2.1.ABCABC2.1.1.GeneralConduct.ABCshallatalltimesconductitsbusinessinawaythatwillreflectfavorablyonRonbioanditsproductsandwillnottakepartinanyunlawfulbusinesspractice.ABCagreesnottomanufacture,distributeorsellanycompetingproductsorsimilardevices.2.2.ABCABCABC2.2.“ConfidentialInformation.”ABCagreesthatitwillnotdivulgetothirdpartiesortoanyofitsemployeesnotinvolvedinthesalesandservicingofProducts,any“ConfidentialInformation,”withoutfirstobtainingwrittenpermissionfromRonbiotodoso.“ConfidentialInformation”shallbedefinedtoincludeanyinformationrelatin
