合同（CONTRACT）合同号日期ContractNo:Date:地点Place:买方：Buyer:卖方：Seller:本合同有买卖双方订立，根据本合同规定的条款，买方同意购买，卖方同意出售下述商品：ThisContractismadebyandbetweentheBuyersandtheSellers,wherebytheBuyersagreetobuyandSellersagreetoselltheunder-mentionedcommodityonthetermsandconditionsstipulatedbelow:编号CAT说明DESCRIPTION数量QUANTITY单价UNITPRICE(5)生产国别制造厂商COUNTRYOFORIGINANDMANUFACTURERS：(6)装运期限TIMEOFSHIPMENT：(7)装运口岸PORTOFSHIPMENT：(8)到货口岸PORTOFDESTINATION：(9)保险INSURANCE：(10)包装PACKING:(11)唛头SHIPPINGMARK：(12)付款条件TERMSOFPAYMENT:(13)单据DOCUMENTSREQUIRED:a)卖放应将下列单据提交付款银行议付/托收货款.如为电汇付款,下列单据应直接寄给买方:TheSellshallpresentthefollowingdocuments(markedwithx)tothepayingbankfornegotiation/collection,ortotheBuyerincaseofpaymentbyT/T:1)xSignedCommercialInvoicein3copiesindicatingContractNo.2)FullsetofcleanonboardOceanBillsLadingmadeouttoorderandblankendorsed.marked“freightprepaid”,indicatingshippingmarksandnotifyingtheBuyer.xAirWaybillsshowing“freightprepaid”indicatingfreightamountandshippingmarksandconsignedtotheBuyer.3)xInsurancePolicy/Certificatefor110%oftheinvoicevalueshowingclaimspayableinChinaincurrencyofthedraft,blankendorsed,covering(OceanMarineTransportation/xAirTransportation)AllRisks,WarRisks.4)PackingListin3copiesindicatingquantity/grossandnetweights/measurementsofeachpackageandpackingconditions.5)xCertificateofQualityin2copiesissuedbythemanufacturer/xPublicrecognizedsurveyor.b)下列单据应在发货时与货物一起交付承运人或用快递寄送买方.Ifnecessary,thefollowingdocumentshallbesentalongtogetherwiththeconsignment,orsenttotheBuyerbyexpressairmail.xCertificateof(Heat)TreatmentissuedbytheOfficialOrganization,orNon-coniferouswoodpackingmaterialissuedbytheSeller.c)货物装运后一个工作日内,卖方应传真买方装运通知.Within1workingdayaftershipmentiseffected,theSellerfaxfreightshipmentnoticetothebuyer.(14)技术资料TECHNICALDOCUMENT:甲技术资料一套与货物一起装箱,运交买方.Onesetoftechnicaldocumentsincludingoperationandservicemanualshallbepackedanddispatchedtogetherwiththegoods.1.基础图2.布线说明：电气及／或气动及／或液压接线图3.易损零件制造图4.零件目录5.本合同第19条甲项规定的品质证明书6.安装、操作和维修说明书1.Foundationdrawings2.Wiringinstructions,diagramsofelectricalconnectionsand/orpneumaticand/orhydraulicconnections3.Manufacturingdrawingsofeasilywornparts4.Sparepatecatalogues5.CertificateofqualityasstipulatedinItemaofClare18hereof.6.Erection，operation，serviceandrepairinstructionbooks.乙交货期个月前，卖方应将本条甲项所列1.2.3.4.5.6.各种技术资料2套，以空邮寄交买方。monthsbeforeshipment,,theSellersshallairmailtotheBuyerstwocompletesetsofthetechnicaldocumentsmentionedinpoints1,2,3,4,5and6underItemaofthisclause.(15)装运条款TERMSOFSHIPMENT：货物装运后,卖方应于24小时之内电告买方有关的船名航次/航班号,开航时间以及货物的名称,包装数量,重量尺寸和合同号.如因卖方未能及时通知买方而造成的损失将由卖方负责.With24hoursafterthegoodsareloadonboard,theSellershalladvisethebuyerbyfaxtheNameofVessel/FlightNo.thedateofdepartureandnameofgoods,numberofpackages,weightanddimensionsofgoodsandthecontractnumber.IncasetheSellerfailtoadvisetheBuyerabouttheshipmentintime,anyconsequentlossoccuredtobebornebytheSeller.(16)质量保证GUARANTEEOFQUALITY:卖方保证定货系用最上等的材料和工艺制成,全新,未曾用过.卖方并保证本合同定货在正常使用和维护的情况下,自货物到达口岸之日起十二个月内运转良好.TheSellershallguaranteethatthegoodsaremadeofbestmaterials,withfirstclassworkmanship,brandnew,unusedandcorrespondinallrespectswiththequality,specificationsandperformanceasstipulatedinthiscontract.TheSellershallalsoguaranteethatifthegoodsareproperlyoperatedmaintained,willgivesatisfactoryperformanceforaperiodof12monthsstartingfromthedateonwhichthegoodsarriveattheportofdestination.(17)检验和索赔INSPECTIONANDCLAIMS甲.在交货以前制造厂应就定货的质量,性能,规格,数量/重量做出准确和全面的检验,并出具货物和本合同规定相符的证明书.该证明书为议付/托收货款而应提交银行的单据组成部分,但不得作为货物的质量,性能,规格和数量/重量的最后依据.制造厂应将记载实验细节和结果的书面报告附在质量证明书内.a.Themanufacturesshallbeforemakingdelivery,makeapreciseandcomprehensiveinspectionofthegoodsasregardstheirquality,performance,specificationsandquantity/weight,andissuecertificate(s)certifyingthatthegoodsareinconformitywiththestipulationsofthiscontract.Thecertificate(s)shallfromanintegralpartofthedocumentstobepresentedtothepayingbankfornegotiation/collectionofpaymentbutshallnotbeconsideredasfinalinrespectofquality,performance,specificationsandquantity/weigh.ParticularsandresultsofthetestcarriedoutbythemanufacturersmustbeshowninastatementtobeattachedtothesaidQualityCertificate.乙.货物到达目的地后,买方应申请中华人民共和国上海出入境检验检疫局(以下简称检验局)就货物的质量,规格和数量/重量进行初步检验.如发现到货与合同不符,除应由保险公司或航运公司负责外,买方货物到货启120天内凭检验局出具的检验证书有权拒收货物或向卖方索赔.b.AfterarrivalofthegoodsattheportofdestinationtheBuyershallapplytotheShanghaiEntry-ExitInspectionandQuarantineBureauofPeople’sRepublicofChina(hereinaftercallertheBureau)forapreliminaryinsectionofthegoodsinrespectoftheirquality,specificationsandquantity/weigh.IFanydiscrepanciesarefoundbytheBureauregardingthegoodswiththecontract,exceptthoseforwhicheithertheinsurancecompanyisresponsible,theBuyershall,within120daysafterdischargeofgoodsattheportofdestination,havetherighteithertorejectthegoodsortoclaimagainsttheSelleronthestrengthoftheinspectioncertificateissuedbytheBureau.丙.在本合同第16条规定的保证期限内，如发现货物无论任何原因引起缺陷包括内在缺陷或使用不良的原料，买方应申谐检验局检验．并有权根据检验证明向卖方索赔。c.WithintheguaranteeperiodstipulatedinClause16hereofshouldthequalityandorthespecificationofthegoodsbefoundnotinconformitywiththecontractedstipulations,orsh
