Page1of9TENANCYAGREEMENTThisTENANCYAGREEMENTismadethis___dayof_____,2008betweentheLandlordMr.________________(hereinafterreferredtoasthe“Landlord”orPartyA)andtheTenant________________CompanyLimited(hereinafterreferredtoasthe“Tenant”orPartyB);andWHEREAStheLandlordagreestoletandtheTenantagreestotaketheleaseofpremiselocatedon___________________inaccordancewiththetermsandconditionscontainedinthisAgreement;andTHEREFOREitismutuallyagreedbyandbetweenthePartiesasfollows:PartyA(Landlord):Mr.Address:Telephone:Facsimile:PartyB(Tenant):Occupants:Mr./Mrs.Address:Telephone:Facsimile:1.TENANCY1.1PartyAownsallresidentialFlatlocatedanderectedon___________(hereinafterreferredtoasthe“Flat”)andthereforehasthefullrighttodisposetheFlat.AcopyoftheRealEstateOwnershipCertificate(AttachmentI)issuedbythe________________RealEstateandLandAdministrationauthorityshowingthatPartyAisthelegalowneroftheFlatshallbeattachedtoasapartofthisAgreement.1.2BothPartiesagreethattheFlatshallincludeallfurniture,fixturesandfittingsintheFlat.Alistofallthefurniture,fixturesandfittings(AttachmentII)shallbeattachedtoasapartofthisAgreement.ThePartiesagreetocount,checkandagreeonallitemsoftheFlatPage2of9containedinAttachmentIIuponsingingofthisAgreement.1.3PartyArepresentsandguaranteesthat1.3.1theFlatshallbeclean,tenantableandfreefromanyandallencumbrancesinanymannerwhenitisleasedtoPartyB;1.3.2PartyAshallhavenooutstandingbillsforutilitieschargessuchastelephone,electricity,water,gas,etc.ontheFlatatthecommencementdateofthisAgreement;1.3.3PartyAshallprovidePartyBwithacompleterightofcontinuousandnon-interruptionoccupancyoftheFlatduringthelifetimeofthisAgreement;and1.4PartyAfurtherrepresentsandguaranteesthatincasethereisanyclaimarisenoutoforrelatedtotheFlatatthedateofcommencementofthisAgreementPartyAshallfullycompensatePartyBforanyandallcostsandexpensesincurredbyPartyBtherein.2.TERM,EXPIRATIONANDTERMINATIONOFTENANCY2.1TermThePartiesagreethatFlatisherebyleasedforatermof____years,commencingon_________,2008andexpiringon________,200_.2.2ExpirationUponexpirationofthisAgreement,PartyAshallbeentitledtotakebacktheFlatinfull,andPartyBshalldelivertheFlatinfullonthedateofexpiration.2.3TerminationPartyBmayterminatethisAgreementbygivingapriortwo-month’swrittennoticetoPartyAorpayinganamountequivalenttotwo-month’srentaltoPartyAinlieuofnotice.3.RENTALANDPAYMENTTERMSPage3of93.1TherentalfortheFlatis_____________________onlypermonth3.2Thisrentalamountincludesallpropertyfees,relatedtaxesandcharges,butisexclusiveofchargesonutilities(water,gas,electricity,etc.)andoftelephonefee,whichshallbebornbyPartyB.3.3Therentalshallbepaidinadvanceonaquarterlybasis.PartyBshallmakeitsrentalpaymentbeforethefirstcalendardayofeachandeverythree-monthpayabletothefollowing:PartyA’sopeningbank:Accountname:Accountnumber:PartyAshalldeliveranofficiallyvalidreceipttoPartyBforeachandeverypaymentmadebyPartyBwithin7daysafterreceivingeachandeveryrentalpayment.3.4Anyandallotherfee,chargesand/ortaxesarisenoutofandrelatedtothisAgreementincludingbutnotlimitedtothepropertytaxandrentaltax,whichPartyAisrequiredtopayinaccordancewiththerelevantKenyanlawsandregulationsshallbepaidsolelybyPartyA.PartyAagreestoindemnifyPartyBandtoholdPartyBharmlessagainstanyclaimmadeormightbemadewithrespecttofees,charges,and/ortaxesbyanythirdpartyinrelationtotherentunderthisAgreement.3.5TherentalcannotbeincreasedduringthetermofthisTenancyAgreement.4.DEPOSIT4.1PartyBagreestopayadepositof____________onlyequalingtoone-monthrental(hereinafterreferredtoasthe“Deposit”)toPartyAwithin__daysuponsigningofthisTenancyAgreement.TheDepositshallbepayableintotheaccountdesignatedbyPartyA.UponexpirationorterminationofthisAgreementandnorenewalhappens,PartyAshallreturntheDepositinfulltoPartyBwithoutanyinterestwithin15daysbeforetheexpirationorterminationofthisAgreement.5.RESPONSIBILITIESOFPARTYBPage4of95.1PartyBshallpaytheRental,DepositandutilitieschargesassetoutinthisAgreementontime.Failuretomakerentalpaymentand/ortherelatedchargesshallconstituteabreachofthisAgreement.5.2DuringthetermofthisAgreement,PartyBshalltakeagoodcareofandberesponsibleformaintainingtheFlatinagoodcondition.PartyBshallalsomaintainagoodconditionofthegardensandfences(ifany)surroundingtheFlatandshallnotmakeanynuisanceorannoyancetotheneighborsorbeinjuriousordetrimentaltothegoodreputationoftheLandlord.5.3UponexpirationorterminationofthisAgreement,PartyBshalldelivertheFlatbacktoPartyAinfull,togetherwiththefurniture,fixturesandfittingstherein,exceptforfairwearandtearduringthetermofthisAgreement.5.4DuringthetermofthisAgreement,PartyBshallnotsub-lettheFlat,exceptunderthesituationinArticle7.2ofthisAgreement,withoutfirstobtainingthepriorwrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheld,deniedordelayed.5.5DuringthetermofthisAgreement,PartyBshallnoterect,installorremoveanyfixturesorpartitioning,ormakeanystructuraladditionsand/oralternationswithoutthepriorwrittenconsentofPartyA,whichconsentshallnotbeunreasonablywithheld.5.6DuringthetermofthisAgreement,PartyBshallberesponsibleforanycosts/e
