精选资料可修改编辑合作框架协议CooperationFrameworkAgreement甲方：西安旌旗电子有限公司PartyA:Xi’anFlagElectronicCo.,Ltd.乙方：GLOBALTORONICSFORELECTRONICS(EGYPT)PartyB:GLOBALTORONICSFORELECTRONICS(EGYPT)甲乙双方本着互惠互利、资源共享、技术互补和共同发展的原则，经双方友好协商,就甲方向乙方提供电力线载波模块、抄表系统及相关电力线载波技术方案，达成合作意向，为明确双方的权利、义务特制订本协议。Bothparties,forprinciplesofmutualbenefit,resourcesharing,complementarytechnologyandjointdevelopment,throughfriendlynegotiation,thetwopartiesenteredintocollaborationPartyAtoprovidePartyBpowerlinecarrierwavemodule,meterreadingsystemandrelatedpowerlinecarrierwavetechnologyprogram;tocleartherightsandobligationsthereofthisAgreementwasthereforemadeinparticularbetweenthetwopartiesherein.一、合作内容1.Contentsofcooperation电力线载波抄表系统：包括管理软件；集中器；单、三相（单费率）载波电度表；单、三相复费率载波电度表；单、三相预付费载波电度表；载波模块。Powerlinecarrierwavereadingsystem:includingmanagementsoftware,concentrator,singleandthreephase(singlerate)carrierwavekilowatt-hourmeter,singleandthreephasedualratecarrier精选资料可修改编辑wavekilowatt-hourmeter,singleandthreephaseprepaidcarrierwavekilowatt-hourmeter,carrierwavemodule.二、合作方式2.Waysofcooperation1、甲方按照乙方需求设计提供符合要求的全套载波电表设计、生产、调试技术方案，乙方按照方案生产整表。集中器、载波模块、MCU芯片、软件由甲方负责提供。1.PartyA,inaccordancewiththeneedsofPartyB,shalldesignandprovidethewholesetofcarrierwaveammeterdesign,productionandtestingtechnicalsolutionsmeetingtherequirements;andthePartyB,accordingtothesolutionsmadeabove,shallcarryouttheproductionofentiremeter,whilethePartyAshallprovideconcentrator,carrierwavemodule,MCUchipandsoftware.2、甲方提供载波电表的技术标准，乙方按照甲方提供的技术标准自行设计生产整表，甲方提供载波接口部分的技术支持。载波模块、集中器、软件部分由甲方提供。2.PartyAshallprovidethecarrierwaveammeter’stechnicalstandardsaccordingtowhichPartyBshalldesignandproducetheentiremeterbyitself,andPartyAshallprovidecarrierwaveinterfacepart’stechnicalsupport;furthermore,carrierwavemodule,concentratorandsoftwareshallbeprovidedbyPartyA.三、知识产权3.Intellectualpropertyrights甲方所提供的所有技术及资料均归甲方所有，合作期间允许乙方无偿使用，未经甲方许可乙方不得转让第三方使用。合作终止后乙方需归还乙方所有的技术、资料及产品。AllthetechniquesandinformationprovidedbyPartyAshallbeownedbyPartyA,whichmaybeusedforfreebyPartyBduringthecooperation;butPartyBmaynottransferittothirdpartieswithoutpermissionofPartyA.Andwhencooperationfinished,PartyBshallreturnallthetechniques,informationandproducts.四、保证金精选资料可修改编辑4.Deposit1、为确保甲乙双方合作的顺利进行，加快双方合作进程，保护甲方的知识产权，增强甲乙双方合作诚信。1.Toensurethesmoothprogressofcooperationforbothparties,speeduptheprocessofthebilateralcooperationandprotectPartyA’sintellectualpropertyrights,therebyenhancetheintegrityofbothparties;2、甲方向乙方收取20000美元保证金，在甲乙双方进行批量交易时，冲抵乙方货款。2.PartyAshallcollectUS$20,000asdepositfromPartyB,whichmaybeusedaspaymentforgoodsofPartyBinthebulktransactionsofbothparties..五、双方的权利义务5.Rightsandobligationsofbothparties1、甲方负责技术支持和前期产品调试指导，合作前期必要时甲方派专人去现场进行技术指导。1.PartyAisresponsiblefortechnicalsupportandproduct’spre-debuggingguidance,andPartyAshallsendspecially-assignedpersontothesitefortechnicalguidancewhennecessaryintheprophaseofcooperation;2、甲方负责提供技术方案及技术资料。2.PartyAisresponsibleforprovidingtechnicalsolutionsandtechnicalinformation;3、甲方提供所有的技术资料，乙方要严格保密，未经甲方许可乙方不得转让第三方使用。3.PartyAisresponsibleforprovidingallthetechnicalinformation,whichshallbestrictlyconfidentialbyPartyB,andnotbetransferredtothirdpartieswithoutpermissionofPartyA;4、合作后期，甲方负责提供载波模块、集中器、系统软件；乙方负责自行设计生产载波电表整表及系统的调试和服务。4.Duringthelatecooperationperiod,PartyAshallberesponsibleforprovidingthecarrierwavemodule,concentratorandsystemsoftware;andPartyBshallberesponsibleforthedesignandproductionofthewholecarrierwaveammeterandthedebuggingandserviceofthesystem..精选资料可修改编辑六、技术及其他约定6.Technicalandotherconventions1、技术标准为甲方提供本企业载波系统的企业标准，符合中国DLT/645-1997规约。1.ThetechnicalstandardsprovidedbyPartyAareenterprisestandardsforitscarrierwavesystem,whichareinlinewithChina’sDLT/645-1997Statute;2、甲方向乙方提供单三相电度表PCB板的外形寸图。2.PartyAshallprovidePartyBwiththesingleandthreephasekilowatt-hourmeter’sPCBboardoutlineinchmap.七、价格7.Price载波模块美元CarrierwavemoduleUS$单费率单相电表MCU芯片美元SingleratesinglephaseammeterMCUchipUS$单费率三相电表MCU芯片美元SingleratethreephaseammeterMCUchipUS$复费率单相电表MCU芯片美元DualratesinglephaseammeterMCUchipUS$复费率三相电表MCU芯片美元DualratethreephaseammeterMCUchipUS$GPRS载波集中器美元GPRScarrierwaveconcentratorUS$八、本合同合作期限为年月日至年月日。合作期满后，另行续约。精选资料可修改编辑8.Validityperiodofthiscontractisfrom____to____afterwhichitshallberenewed.九、甲、乙双方在执行本合同时发生争议，可通过双方友好协商解决。协议未尽事宜,双方协议签订补充协议,与本协议同样具有法律效应。本协议一式两份，双方各执一份。本协议经双方签章生效。9.WhendisputesoccurduringtheimplementationoftheContractbetweenthetwopartiestheymayberesolvedthroughthefriendlyconsultationofthetwoparties.ForissuesnotstipulatedinthisContract,bothpartiesshallnegotiatetosignasupplementaryagreementwhichhasthesamelegalforcewiththisContract.ThisAgreementisinduplicate,eachpartyholdsone,whichshallenterintoforceoncesignedbybothparties.甲方：PartyA:代表人：Representative:地址：Address:电话：Phone:传真：Fax:邮箱：E-mail:日期：Date:乙方：PartyB:代表人：Representative:地址：Address:电话：Phone:传真：Fax:精选资料可修改编辑邮箱：E-mail:日期：Date:精选资料可修改编辑THANKS!!!致力为企业和个人提供合同协议，策划案计划书，学习课件等等打造全网一站式需求欢迎您的下载，资料仅供参考
