中华人民共和国公司法（修订）CompaniesLawofthePeople’sRepublicofChina(Adoptedatthe5thMeetingoftheStandingCommitteeoftheEighthNationalPeople'sCongressonDecember29,1993;amendedforthefirsttimeinaccordancewiththeDecisiononRevisionoftheCompanyLawofthePeople'sRepublicofChinamadeatthe13thMeetingoftheStandingCommitteeoftheNinthNationalPeople'sCongressonDecember25,1999;amendedforthesecondtimeinaccordancewiththeDecisiononRevisionoftheCompanyLawofthePeople'sRepublicofChinamadeatthe11thMeetingoftheStandingCommitteeoftheTenthNationalPeople'sCongressonAugust28,2004;andrevisedatthe18thMeetingoftheStandingCommitteeoftheTenthNationalPeople'sCongressonOctober27,2005)颁布日期：20051027实施日期：20060101颁布单位：全国人大常委会OrderofthePresidentofthePeople’sRepublicofChinaNo.42TheCompaniesLawofthePeople’sRepublicofChinahasbeenrevisedandadoptedatthe18thMeetingoftheStandingCommitteeoftheTenthNationalPeople’sCongressofthePeople’sRepublicofChinaonOctober27,2005,anditsrevisedversionisherebypromulgatedandshallgointoeffectasofJanuary1,2006.HuJintaoPresidentofthePeople’sRepublicofChinaOctober27,2005ContentsChapterIGeneralProvisionsChapterIIIncorporationandOrganizationalStructureofaCompanywithLimitedLiabilitySection1IncorporationSection2OrganizationalStructureSection3SpecialProvisionsonOne-personCompanieswithLimitedLiabilitySection4SpecialProvisionsonWhollyStated-ownedCompaniesChapterIIIEquityTransferofCompanieswithLimitedLiabilityChapterIVIncorporationandOrganizationalStructureofaCompanyLimitedbySharesSection1IncorporationSection2ShareholdersGeneralAssemblySection3BoardofDirectors,andtheManagerSection4BoardofSupervisorsSection5SpecialProvisionsonOrganizationalStructureofListedCompaniesChapterVIssueandTransferofSharesofCompaniesLimitedbySharesSection1IssueofSharesSection2TransferofSharesChapterVIQualificationsandObligationsofDirectors,SupervisorsandSeniorManagersofCompaniesChapterVIICorporateBondsChapterVIIIFinancialAffairsandAccountingofCompaniesChapterIXMergerandDivisionofCompanies,IncreaseandReductionofCapitalChapterXDissolutionandLiquidationofCompaniesChapterXIBranchesofForeignCompaniesChapterXIILegalResponsibilityChapterXIIISupplementaryProvisionsChapterIGeneralProvisionsArticle1ThisLawisenactedinordertostandardizetheorganizationandbehaviorofcompanies,toprotectthelegitimaterightsandinterestsofcompanies,shareholdersandcreditors,tomaintainthesocio-economicorderandtopromotethedevelopmentofthesocialistmarketeconomy.Article2ForthepurposesofthisLaw,thetermcompanyreferstoacompanywithlimitedliabilityoracompanylimitedbysharesincorporatedwithintheterritoryofthePeople’sRepublicofChinainaccordancewiththisLaw.Article3Acompanyisanenterpriselegalperson,whichhasindependentpropertyofalegalpersonandenjoysthepropertyrightsofalegalperson.Thecompanyshallbeliableforitsdebtstotheextentofitsentireproperty.Shareholdersofacompanywithlimitedliabilityshallassumeliabilitytowardsthecompanytotheextentofthecapitalcontributionssubscribedrespectivelybythem;andtheshareholdersofacompanylimitedbysharesshallassumeliabilitytowardsthecompanytotheextentofthesharessubscribedrespectivelybythem.Article4Theshareholdersofacompanyshall,inaccordancewithlaw,enjoysuchrightsasbenefitingfromtheassetsofthecompany,participationinmakingmajordecisionsandselectionofmanagerialpersonnel.Article5Initsoperationalactivities,acompanyshallabidebylawsandadministrativeregulations,observesocialmoralsandcommercialethics,persistinhonestyandgoodfaith,acceptsupervisionbythegovernmentandthepublic,andassumesocialresponsibility.Thelegitimaterightsandinterestsofcompaniesshallbeprotectedbylaw,andshallbeinviolable.Article6Whereanentityintendstoincorporateacompany,itshall,inaccordancewithlaw,applytoacompanyregistrationauthorityforregistrationofsuchincorporation.WheretheconditionsforincorporationprovidedforbythisLawaremet,thecompanyregistrationauthorityshallhavethecompanyregisteredasacompanywithlimitedliabilityoracompanylimitedbyshares;andwherethesaidconditionsarenotmet,thecompanyshallnotberegisteredasonewithlimitedliabilityorasonelimitedbyshares.Wherelawsoradministrativeregulationsprovidethatapprovalisrequiredforincorporationofacompany,theproceduresofapprovalshallbecompletedaccordingtolawpriortoregistrationofthecompany.Thepublicmayapplytothecompanyregistrationauthorityforinquiryabouttheitemsregisteredbyacompany,andtheauthorityshallprovideservicesforsuchinquiry.Article7Thecompanyregistrationauthorityshallissueabusinesslicensetoacompanyincorporatedaccordingtolaw.Thedateonwhichthebusinesslicenseisissuedshallbethedateonwhichacompanyisincorporated.Inthebusinesslicenseofacompanyshallclearlybestatedsuchitemsasthename,domicile,registeredcapital,actuallyreceivedcapital,scopeofbusinessandnameofthelegalrepresentativeofthecompany.Wheretheitemsstatedinthebusinesslicenseofacompanyarealtered,thecompanyshallhavethealterationsregisteredaccordingtolaw,andthecompanyregistrationauthorityshallrenewitsbusinesslicense.Article8AcompanywithlimitedliabilityincorporatedaccordingtothisLawshallhavethewords“companywithlimitedliability”or“limitedcompany”indicatedinitsname.
