公司章程ArticlesofAssociation第一章总则Chapter1:GeneralPrinciple第一条依据《中华人民共和国公司法》（以下简称《公司法》）及有关法律、法规的规定，由_______方共同出资，设立____________公司（以下简称“公司”），特制定本章程。Article1.InaccordancewiththePRCCompanyLaw(hereinafterreferredtoastheCompanyLaw)andotherrelevantlawsandregulations,________,intotal____(___)parties,jointlymakecapitalcontributionstoestablish________(hereinafterreferredtoastheCompany),andthesearticlesofassociationareherebyformulated.第二条本章程中的各项条款与任何适用于公司的中国现行的法律、法规、规章、通知以及其他立法、行政或司法解释或公告（“相关法律”）不符的，以相关法律为准。Article2.Intheeventthatthetermsandconditionsofthesearticlesofassociationconflictwithanylaw,regulationorruleandotherlegislative,executiveorjudicialinterpretationorpronouncementofthePRCcurrentlyinforceandapplicabletotheCompany(theApplicableLaws),theApplicableLawsshallprevail.第二章公司的成立Chapter2:TheEstablishmentoftheCompany第三条公司名称：____________Article3.ThenameoftheCompanyis:第四条住所：Article4.TheaddressoftheCompanyis:第五条公司的组织形式为有限责任公司。公司股东的责任仅限于股东出资或许诺出资的公司注册资本。除非经股东明确书面同意，公司的债权人仅对公司的资产享有追索权，无权要求投资者就公司的债务、责任以及义务进行偿还。Article5.TheformoforganizationoftheCompanyshallbealimitedliabilitycompany.TheliabilityofashareholderoftheCompanyshallbelimitedtotheregisteredcapitalcontributedbyorcommittedtobecontributedbysuchshareholdertotheCompany.Unlessotherwisespecificallyagreedinwritingbytheshareholders,creditorsoftheCompanyshallonlyhaverecoursetotheassetsoftheCompany,andshallnotseekrepaymentfromtheshareholdersofanydebt,liabilityorobligationoftheCompany.第六条按照《公司法》的规定，公司应为独立法人。公司受所有相关法律的管辖和保护。公司的活动应该遵守相关法律。Article6.TheCompanyshallbeanindependentlegalpersonundertheCompanyLaw.TheCompanyshallbesubjecttothejurisdictionof,andshallbeprotectedbytheApplicableLaws.TheactivitiesoftheCompanyshallcomplywiththeApplicableLaws.第三章公司经营范围Chapter3:BusinessScopeoftheCompany第七条公司经营范围（以执照核准为准）：Article7.ThebusinessscopeoftheCompanyis(subjecttoapprovalinbusinesslicense):会务策划；会议服务、经济信息咨询、翻译服务。conferenceplanning;conferenceservices;economicinformationconsultationandtranslationservice.第八条公司作为独立的经济实体开展业务，自主经营。Article8.TheCompanyshallconductitsbusinessasanindependenteconomicentityandwilloperateautonomously.第九条公司拥有的权利包括但不限于：Article9.TheCompanyshallhavethepower,includingwithoutlimitation,to:（一）为获得公司的办公地点或其他办公场所、技术或设备签订租赁、土地使用权转让和／或土地使用权出让协议；(1)enterintolease,landusetransferand/orgrantagreementstoobtainofficepremisesoranyotherbusinesspremisesandtechnologyorequipmentfortheCompany;（二）为使公司有效运营，与根据相关法律或其他任何国家或地区的法律和法规设立的任何个人、实体或组织签署任何其他合同，包括有关提供公用事业、人员、家具、电器、设备、机器和任何其他用品的合同；(2)enterintoanyothercontractswithanyperson,entityororganization,whetherexistingunderrelevantlawsinthePRC’sjurisdiction,orthelawsofanyothercountryorregionrequiredfortheefficientoperationoftheCompany,includingcontractsfortheprovisionofutilities,labour,furniture,appliances,equipment,machineryandanyothersupplies;（三）根据公司的需要借款或提供担保，并且按照相关法律不时提取、开具、接受、背书、签署和签发数额不受限制的汇票和其他可转让或不可转让的票据和债务凭证；(3)borrowmoneyorgiveguaranteesforanyofthepurposesoftheCompanyand,fromtimetotimewithoutlimitationastoamount,todraw,make,accept,endorse,executeandissuebillsofexchangeandothernegotiableornon-negotiableinstrumentsandevidencesofindebtednessinaccordancewiththeApplicableLaws;（四）按照相关法律，通过对所有或部分公司财产进行抵押、质押或提供其他担保权益，为支付前述任何款项和其孳生的任何利息提供担保；(4)tosecurethepaymentofanyoftheforegoingandofanyinterestthereonbygrantingamortgage,pledge,orothersecurityinterestoveranywholeorpartofthepropertyoftheCompanyinaccordancewiththeApplicableLaws;（五）从事与前述有关的业务，并从事上述规定的任何或所有事项；(5)carryonbusinessinconnectionwiththeforegoing,anddoanyorallofthethingssetforthabove;（六）依照相关法律，取得并维持公司及其资产必需的所有保险；(6)takeoutandmaintainallnecessaryinsurancesfortheCompanyanditsassetsinaccordancewiththeApplicableLaws;and（七）从事其它任何在批准的公司经营范围内，或相关法律不时允许从事的合法行为或活动。(7)engageinanyotherlawfulactoractivitywithintheapprovedbusinessscopeoftheCompanyorwhichitis,fromtimetotime,otherwisepermittedtoengageinundertheApplicableLaws.第四章公司注册资本及股东的姓名（名称）、出资方式、出资额、出资时间Chapter4:TheRegisteredCapitaloftheCompany,NamesoftheShareholders,theType,AmountandScheduleofCapitalContribution第十条公司注册资本：Article10.TheregisteredcapitaloftheCompanyshallbe:.第十一条股东的姓名（名称）、认缴及实缴的出资额、出资时间、出资方式如下：Article11.Thepersonal(orcorporate)namesoftheshareholders,subscribedandactuallypaidcapitalcontributionamount,scheduleformakingthecontribution,andthetypesofsuchcontributionareasfollows:股东姓名Thepersonalnamesoftheshareholders认缴情况Subscribedcapitalcontribution设立（截止变更登记申请日）时实际缴付Actuallypaidcapitalcontributionamountattheestablishment(dateofapplicationforalterationregistration)ofCompany分期缴付Contributionbyinstallment出资数额及比例Capitalcontributionamountandpercentage出资时间Scheduleformakingcontribution出资方式Typeofthecontribution出资数额Capitalcontributionamount出资时间Scheduleformakingcontribution出资方式Typeofcapitalcontribution出资数额Capitalcontributionamount出资时间Scheduleformakingcontribution出资方式Typeofcapitalcontribution第十二条公司成立后，应当向股东签发出资证明书。出资证明书应当载明下列事项：Article12.WhentheCompanyisformed,theinvestmentcertificationshouldbeissuedtoeachshareholder.Theinvestmentcertificateshallspecifythefollowingparticulars:（一）公司名称；(1)thenameoftheCompany;（二）公司成立日期；(2)thedateofestablishmentoftheCompany;（三
