AngusE-mail:fobguangzhou@126.comMSN:fobguangzhou@hotmail.com合众出口论坛IntroductionAtitsMay2000meetingtheCommissiononBankingTechniqueandPracticeoftheInternationalChamberofCommerce(the“ICCBankingCommission”)charteredaTaskForcetodocumentinternationalstandardbankingpracticefortheexaminationofdocumentsasreflectedinthearticlesoftheUniformCustomsandPracticeforDocumentaryCredits.WhiletheTaskForcehasbaseditsworkonInternationalChamberofCommercePublicationNo.500(UCP),theprinciplessetforthherearelikelytobegenerallyapplicabletosucceedingrevisions,becausethisstatementofpracticeisconsistentwiththeUCPandtheOpinionsandDecisionsoftheICCBankingCommission.ThefinalproductreflectstheinputfromICCNationalCommitteesandindividualICCmembers.GratefulacknowledgementismadeofthethousandsofhourscontributedbymembersoftheTaskForceandothers.IntheopinionoftheICCBankingCommission,thisdocumentstatesinternationalstandardbankingpracticeasreflectedinthearticlesofUCP.ThisdocumentsupplementsandexplainsthepracticesonwhichtheUCPisbasedandshouldnotbeviewedasanamendmenttotheUCP.SomeofthesepracticesareassumedinUCP,whileothersareimplied,thereforethisdocumentmustbereadinconjunctionwiththerelevantUCPprovisions.Noexercisecananticipateallthetermsorthedocumentsthatmaybeusedinconnectionwithdocumentarycredits(“credits”)ortheirinterpretationundertheUCPandthestandardpracticeitreflects,muchlesstheevolutionofpracticeinresponsetochangingcommercialneeds.Nevertheless,aseriousattempthasbeenmadetoaddressdiscreteissuesthatcommonlyarisebutarenotexpresslytreatedintheUCPinlightoftheprinciplesthatshapestandardbankingpractice.TheapplicationoftheUCP,andthepracticesdocumentedinthispublication,shouldenablepartiestodealsuccessfullywithalmostanyexaminationeventuality.Apartfromtechnicalrulesofstandardpracticeitmustberecognizedthatthesuccessfulcompletionofatransactionalsorequiresgoodfaithonthepartofallinvolvedandtheexerciseofsoundjudgement.Itmustalsoberecognisedthatthecreditcanvarystandardbankingpractice,asstatedinArticle1ofUCP.AnyterminacreditwhichmodifiesoraffectstheapplicabilityoftheUCPwillalsohaveanimpactonthestandardbankingpractices.Therefore,inconsideringdocumentarycompliance,partiesmustobserveandtakeintoaccountanyterminacreditthatexpresslyexcludesormodifiesaprovisioninanArticleoftheUCP.Whilethisprincipleisassumedthroughoutthisdocument,itissometimesexpresslystatedforemphasisortoillustrateaprinciple.Theabsenceofsuchareference,however,doesnotimplythatthetermsofthecreditmaynotoverridethegeneralpropositionstatedinthesepractices.Document470/951rev32Thispublicationisorganisedintothreeparts.Thefirstis“PreliminaryConsiderations”.Thesecondaddresses”GeneralPrinciples”whichmayapplytoanydocument.Thethirddealswithdocumentscommonlyrequiredbycredits.TheInternationalStandardBankingPracticefortheExaminationofDocumentsarticulatesinternationalstandardbankingpracticeforissuers,nominatedbanks,andbeneficiaries.Applicants,however,shouldnotassumethattheymayrelyontheseprovisionsinordertoexcusetheirobligationstoreimbursetheissuer,sincetheirobligations,rights,andremediesdependupontheirundertakingwiththeissuer,theperformanceoftheunderlyingtransaction,AngusE-mail:fobguangzhou@126.comMSN:fobguangzhou@hotmail.com合众出口论坛andthetimelinessofanyobjectionunderapplicablelawandpractice.TheUCPandthispublicationshouldbereadintheirentirety.Pleasenotethattheheadingofeachsectionisforreferenceastointentandpurposeonly.Itisnottobeconstruedasotherthansolelyforbenefitorguidance.Thereshouldbenolegalimputation.Document470/951rev33PRELIMINARYCONSIDERATIONSTheApplicationandIssuanceoftheCredit1.Thetermsofacreditareindependentoftheunderlyingtransactionevenifthecreditexpresslyreferstothattransaction.Toavoidunnecessarycosts,delays,anddisputesintheexaminationofdocuments,however,theapplicantandbeneficiaryshouldcarefullyconsiderwhichdocumentsshouldberequired,bywhomtheyshouldbeproduced,andthetimeframeforpresentation.2.Theapplicantbearstheriskofanyambiguityinitsinstructionstoissueoramendacredit.Unlessexpresslystatedotherwise,arequesttoissueoramendacreditauthorizesanissuertosupplementordevelopthetermsinamannernecessaryordesirabletopermittheuseofthecredit.3.TheapplicantshouldbeawarethattheUCPcontainsarticlessuchasArticles13,20,21,23,24,26,27,28,39,40,46and47thatdefinetermsinamannerthatmayproduceunexpectedresultsunlesstheapplicantfullyacquaintsitselfwiththeseprovisions.Forexample,inacreditrequiringpresentationofamarinebilloflading,aprohibitionagainsttranshipmentwillhavetospecificallyexcludeUCP500Sub-Article23d.Astatementinacreditthattranshipmentisprohibitedwillstillallowtranshipmenttooccur,subjecttotheconditionsoftheabovesub-Article.4.Acreditshouldnotrequirepresentationofdocumentsthataretobeissuedand/orcountersignedbytheapplicant.Ifthecreditisissuedincludingsuchterms,thebeneficiarymusteitherseekamendmentorcomplywiththemandbearstheriskoffailuretodoso.5.Manyoftheproblemsthatariseattheexaminationstagecouldbeavoidedorresolvedbycarefulattentiontodetailintheunderlyingtransaction,thecreditapplication,andissuanceofthecreditasdiscussed.Document470/951rev3
