PROJECTCONSULTANCYCONTRACT项目顾问合同For（）projectBetweenXXXXXXrepresentedbyMr.hereinafterreferredtoas“”-甲方：有限公司代表人：（以下简称甲方）andXXXXXXXMr.AmsterdamTheNetherlandsrepresentedbyMr.hereinafterreferredtoas“”–乙方：代表人：（以下简称乙方）1.Termsofthecontract合同条款XXXXXauthorizesXXXXXtoimplementtheconsultancytothepreliminarydesignconceptofXXXXXproject,andtoassistXXXXXincompletingpreliminarydesigndrawings.甲方授权委托乙方执行其在XXXXX展示工程初步设计概念的顾问工作，并帮助甲方完成初步设计稿。2.Projectstages项目阶段TheprojectshallbecarriedoutincooperationandincloseguidancebytheXXXXXX.Thegeneralconsultingplanshallbeprovidedbeforethedesignstarts,adetailedplanshallbesenttoXXXXXaftereachbidingconferenceorpressreleasemeetingasfollows:Anideaexplanationpresentationshallbeshowedwithin7daysafterthetenderstartingdate.Adraftdesigndrawingshallbesubmittedwithin7daysafterthefirstpresentation2of5meetingbetweenXXXXXXXXandXXXXXXXX.Followingthemeetingofdraftdesigndrawing,anumberofamendmentsrequestedbyXshallbecarriedout.Thefinalpresentationofthepreliminarydesignshallbesubmittedwithin3daysbeforethebiddingdeadlinetoassistXXXXXincompletingthetenderingdocuments.本项目应在相互合作以及吸取XXXXX指导方针的前提下开展。乙方应在设计前期提供整体咨询计划书，每次招标或信息发布大会后，乙方也应按如下提供详细计划：投标开始后的七日内向甲方展示初步设想；设想探讨会议结束后的七日内递交设计草图，递交后，乙方须执行甲方的修改要求；最终初始设计稿应在招标截止期前三天内交予甲方，从而帮助甲方整理其投标文件。3.Termofvalidity合同效力期限Theconsultancycontractshallapplyfrom1Jan2011to31December2012.此项目顾问合同适用于2011年1月1日至2012年12月31日。4.ForceMajeure不可抗力“ForceMajeure”underthecontractmeanstheexternalcircumstancesthatcannotbeforeseen,avoidedandsurmountedintheprocessoffulfilmentofthecontract,theincidentsofwhichmakeseitherpartyfailstofulfilltheobligationsunderthecontract,suchaswars,riots,governmentbehaviors,earthquake,fire,storms,floodsorothersevereweathers.本合同下的“不可抗力”是指在执行合同的过程中不能被预见、避免、克服的外在因素，从而导致合同任意一方无法履行合同责任，如战争、暴乱、政府行为、地震、火灾、风暴、洪水或其他恶劣天气。Theperiodrequiredtocompletetheobligationsshallbeextendedaccordinglyduetotheaffectoftheforcemajeure,theextensionshallbethesameastheperiodoftimeaffectedbytheforcemajeureortheperiodoftimeisagreeduponbothparties.由于不可抗力造成的影响，履约责任期可被相应延长，延长期应与不可抗力的影响期相同或通过双方协商确定。5.IntellectualPropertyRightsandconfidentiality知识产权与保密XXXXXshallensurethattheresultsofhisdesignarenotwithanyflawtoanyrightandnoneoftherightsofthirdpartiesisimpinged,andshallensurethatXXXXXisnotclaimedbyanythirdpartyforusingXXXXX'sdesignresultstobeagainsttheintellectualpropertyrights.Shouldthecaseaboveoccur,XXXXXshallberesponsiblefordisposingandassumingalllegalliabilitiesarisedtherefrom.乙方应确定其设计不存在任何所有权瑕疵，不会牵涉到任何第三方的权利，并保证甲方不会因使用乙方的设计而产生侵权赔偿。如果发生上述情况，乙方应负责处理所有因此造成的法律责任。3of5Alltexts,graphics,charts,datasandotherdocumentsdescribedaboutthisprojectarethepropertiesbelongingtoXXXXX.XXXXXshallnotdiscloseanyinformationofthisprojecttoanythirdpartywithoutauthorization,shallnotuseanyofthedocumentsandinformationsaboveinanyotherproject,otherwise,allresultinglegalliabilitiesshallbeassumedbyXXXXX.本项目涉及的所有材料均属于甲方。乙方在未授权的情况下，不应向任何第三方透露本项目的任何信息，也不能在其他项目中使用本项目的任何资料与信息，否则，由此产生的法律责任由乙方负责。Thecopyright(exceptauthorship)ofthedesignresultsinthisprojectisbelongingtoXXXXX.XXXXXshallnotusethedesignresultsunderthisprojectontheirrelatedintentionsandpurposestotheproject,shallnotauthorizeanythirdpartyordiscloseanycontentofthedesignresults.XXXXXmayinformXXXXXbeforeusingthedesignresultssubmittedbyXXXXXonotheroccasionsbesidesthisproject,XXXXXshallnothaveanyrighttorejecttheforegoingacts.本项目涉及的所有版权（除著作权外）均属于甲方，乙方不得在与本项目无关的意图或目的下使用其设计成果，也不可以授权第三方或透露任何设计细节。甲方在与本项目无关的场合下使用乙方提交的设计成果，可提前告知乙方，乙方无权拒绝前述行为。Alltechnologies,lawsandfinancialinformationsrelatingtothiscontractaretradesecrets,shallnotbedisclosedtothethirdpartieslistedoutofthecontractwithouttheconsentofallpartiesunderthecontract,otherwise,thetelltalepartyshallbeliabletoassume10%ofthetotalcontractpriceforbreachofthecontracttotheotherparty.Shouldthecompensationnotbesufficientfortheactuallosses,theamountofthecompensationshallbeincreasedinaccordancewiththeactuallosses.与本项目相关的所有技术、法律和金融信息都被视为商业秘密，任何一方不得透露给合同外的第三方，否则，泄密的一方因违约须赔偿合同总额的10%予另一方。如果赔偿不足以赔付实际损失的，赔偿额应根据实际损失相应的增加。Thetermsofintellectualpropertyandthedutyofconfidentialityshallnotbeinvalidatedbythecompletionoftheexecution,change,terminationandinefficacyofthecontract.知识产权和保密责任条款不应随工作的完成或合同的变更、终止和失效而无效。6.Payment款项Paymentsshallbemadeasfollows:ThebudgetofRMB430,000ispayableinthreeinstallments.Thefirstinstallmentshallbe30%ofthebudget(RMB129,000),thesecondinstallmentshallbe30%ofthebudget(RMB129,000),thethirdinstallmentshallbe40%ofthebudget(RMB172,000).PaymentsshallbemadetotheaccountofXXXXXDesignB.V..款项支付情况如下：合同款共43万人民币，分三期支付，第一期、第二期各支付总款项的30%（即壹拾贰万玖千元整），第三期支付总款项的40%（即壹拾柒万贰千圆整）。款项应汇入XXXXX的银行账户：7.Scopeofservice服务范围4of5XXXXXshallprovidetheindividualservicesdescribedduringthespecifiedtimeperiod.ThedecisionastothepriorityoftheindividualmeasuresshallbetakenbymutualconsenttogetherwithXXXXX.Theindividualservicesareasfollows:乙方应在各时间段内提供相应的服务。各类方案的优先权应在甲乙双方一致同意的情况下决定。服务内容如下：DesignConceptXXXXXassistsXXXXXtocompletethedesignconceptforShanghaiNatureHistoryMuseum(subbranchofShanghaiScienceandTechnologyMuseum)projectbasedonahighinternationalstandard.设计概念乙方协助甲方确定上海自然博物馆（上海科技馆
