AGENCYAGREEMENTThisagreementismadeonthe[InsertDateHere].BETWEEN[InsertCompanyNameHere](hereinafterreferredtoas[InsertHere]),havingtheirprincipalofficeat[InsertAddressHere].ANDWHEREASA.[InsertHere]wasandisaninternationalfreightforwardercarryingonthebusinessoftransportationbylandand/orseaand/orairforreward.B.[InsertHere]wasandisaninternationalfreightforwardercarryingonthebusinessoftransportationbylandand/orseaand/orairforreward.NOWTHISAGREEMENTWITNESSETHASFOLLOWS:1)APPOINTMENT1.1[InsertHere]herebyacceptstheappointmentas[InsertHere]’spromotion,sales,handling,deliveryandforwardingagentforlandand/orseatransporttoandfrom[InsertAreaHere].1.2[InsertHere]herebyacceptstheappointmentas[InsertHere]promotion,sales,handling,deliveryandforwardingagentforlandand/orseatransporttoandfrom[InsertHere].2)BILLINGOFLADING2.1Intheeventwhereissuingthecounter-party’sBillofLadingisunavoidable,writtenpre-noticeshallbesenttothecounter-partyforacknowledgementandwrittenapprovalmustbereceivedinadvance.2.2Foranyandallunauthorizedissuingofthecounter-party’sBillofLading,thepartywhobreachesthisagreementshalltakefullresponsibilityforalltheconsequenceandliabilitiessocaused.2.3ForanyandallunauthorizedreleasingofgoodswithoutpresentationoforiginalBillofLading,thepartywhocommitssuchmistakeshalltakefullresponsibilityforalltheconsequenceandliabilitiessocaused.3)ACTIVITIESBoth[InsertHere]and[InsertHere]shallhandletheinwardand/oroutwardshipmentsfromthecounter-partybasedontheguidelineshereinaftermentioned.3.1TosendArrivalNoticetoconsignee(s)beforevesseland/orplanearriveatdischargingportand/orairport,orassoonasrelevantdocumentsreceivedfromthecounter-party.3.2Tosendpre-alertbyfaxore-maileverytimeshipmentsareaddressbyonepartytotheother,advisingthedetailsoftheconveyanceinvolved,numberofpackages,weight,valueofcargo,freightamount,COD’s,CAD’soranyotherfeestobecollected.ToprovideanyotherinformationasmayberequiredbylocalCustomAuthorityandGovernmentalBodies.3.3TodestuffLCLcargoateachparty’scontractedwarehouse,oratthewarehousedesignatedbytheCarriers.Thedevanningchargetobeonthedisposalofeachparty’sneutralagent.3.4Tofollowupsales-leadpromptly,toaggressivelyexpandthecoverageofclients,andtoincreasethemarketshare,withadequateandnecessaryassistancefromthecounter-party.3.5Toprovideclientreferralstoeachotherforinbound/outboundfreighttrafficforbothairandocean.3.6Toprovideservicetocustomersinclusivebutnotonlylimitedtofollow-up,marketing/courtesycalls,cargohandling,faxreplies,salesleadsandotherrelatedfreightforwardingactivities.3.7Tohandleand/orsettletheclaimpromptly,withtheassistanceand/orauthorizationofthecounter-partyandtofurnishanyinformationanddocumentsasrequestedbythecounterpartytoassisttheresolutionoftheclaim.Intheeventofanyinquiryoriginatingfromanystatutorybodytoeitherofthetwoparties,thecounter-partyshallfurnishanyinformationanddocumentsasrequestedbythepartyfacingtheinquiry.3.8Toprotecteachother’sinterests,markets,andclienteleagainstcompetitors’salescampaignsorstrategies.3.9Toimplementnecessarypolicies,strategiesandactionstoensurethatallclientsofbothpartiesaresatisfiedwiththeexistinglevelofservice.3.10Otheractivitiesaspernormalpracticewithintheindustryandforthemutualbenefitofbothparties.4)RESPONSIBILITY4.1Bothpartiesshallberesponsibleforthecollectionoforiginalbillsofladingissuedbytheotherpartybeforereleasingcargototheconsignee.Ifthecargoisshippedoncollectbasis,eachpartyshallberesponsibleforthecollectionofallfreightchargesand/orrelatedchargesbeforereleasingcargototheconsignee.4.2BothPartiesareresponsibleforcollectingfreightchargesandanyotherchargestobecollectedattheplaceofreceipt.Intheeventthatthetransportationismadeonfreightprepaidbasis,theamountcollectedshallberetainedbyeachpartysubjecttoclause11.4.3BothPartiesshallmaintainstrictconfidentialityandintegrityonallcustomers’information,whichshallnotbeexchanged,withanyotherinformationfromcompetingNVOCCs,whichmayhaveanexisting,pastorfuturerelationships.4.4Eachpartyshallprovideallothernecessaryservicesandbilleachotheraccordinglyuponrequest.4.5If,forwhateverreason,ashipmentisnotdeliveredtoaconsigneeortheconsigneedoesnotcollectthecargoorrefusestotakedeliveryofthecargo,eachpartymustnotifytheotherpartyinwritingwithintwenty(20)daysfromthedateofthearrivalofthecargowithafullexplanationforthenon-delivery.Thecargoshallbestoreduponthewrittenconsentandpendingfurtherinstructionfromtheotherparty.Anyexpensesarisingfromthenon-deliveryincludingbutnotlimitedtothestoragecharges,clearancecharges,fines,penalties,andanychargesofre-deliveringthecargoshallbefortheaccountoftheconsignor.4.6Thedeliveryagentmustensurethatcargoofitsclientisadequatelyprotectedanddeliveredontime.4.7Forshipmentsentonfreightprepaidbasis,thereceivingpartyshouldneverdetaincounter-party'sshipment,solongasalldestinationsidecharges,includinganydetentionand/ordemurrageaccrued,arepaidforbytheconsignee.4.8Forshipmentsentonfreightcollectbasis,thereceivingpartyshouldneverdetaincounter-party'sshipmentuponcollectionofthefreight,destinationsidecharges,includinganydetentionand/ordemur
