LUCENTTECHNOLOGIESINC.STANDARDOEMPURCHASEAGREEMENTTERMSANDCONDITIONSAgreementNo.SC11990054Sheet1of28PacketeerInc.10495N.DeAnzaBlvd.Cupertino,CA95014ThisAgreementismadebyandbetweenLucentTechnologiesInc.(Company)havinganofficeat188MtAiryRoad,BaskingRidge,NJ07920andPacketeerInc.(Supplier)havinganofficeat10495N.DeAnzaBlvd.,Cupertino,CA95014.CompanyagreestopurchaseandSupplieragreestosellinaccordancewiththetermsandconditionsstatedinthisAgreementandanyattachmentstothisAgreement.WHEREAS,CompanywishestopurchaseproductsofSupplier's(designand)manufactureforresaletoCompany'scustomers,andWHEREAS,SupplierdesirestosellsuchmaterialstoCompanyforresaletoCompany'scustomers,THEREFORE,thepartiesagreeasfollows1.AGREEMENTEFFECTIVEPERIODThetermofthisAgreementshallcommenceon,June25,1999,andshall,exceptasotherwiseprovidedinthisAgreement,continueineffectthereafteruntilSeptember21,2003.2.MATERIALMATERIALasusedinthisAgreementshallmeanSupplier'sPacketShaperProductsaslistedinAPPENDIXA,attachedandmadeapartofthisAgreement.SuchMATERIALisherebyofferedforsaleofhardwareandlicensetosoftwarebySupplierandmaybepurchasedbyCompanyinaccordancewiththeterms,conditionsandspecificationsstatedinthisAgreement.ThisAgreementisanon-commitmentagreementandMATERIALshallbefurnishedbySupplieronanas-orderedbasis.PAGE2AgreementNo.SC11990054Sheet2of28Specification(s)asusedinthisAgreementshallmeanallofthespecificationsmadepartofthisAgreement.3.OPTIONTOEXTENDCompanyshallhavetherighttoextendtheperiodspecifiedinthesectionAGREEMENTEFFECTIVEPERIODforuptotwelve(12)monthsbygivingSupplieratleastthirty(30)businessdayspriorwrittennotice.Withinten(10)businessdaysofthedateofCompany'snoticetoextendtheperiod,SuppliershallnotifyCompanyinwritingwhetherSupplierproposestorevisetheprice(s)underthisAgreement.Ifthepartiesfailtoagreeontherevisedprice(s)withintwenty(20)businessdaysafterthedateofSupplier'snotice,Company'snoticeofextensionshallbeconsideredwithdrawnandpricesforoutstandingordersorordersplacedduringthetermofthisAgreementshallnotberevised.4.PRICEANDDISCOUNTSPricesshallbeasshowninAPPENDIXA.PricesaslistedinAppendixAshallremainineffectduringtheperiodJune25,1999throughJune24,2000.Thereafter,Suppliermayincreasepricesonceintheremainingtwelve(12)monthstermoftheAgreement.SuppliershallnotifyCompanysixty(60)businessdaysinadvanceofanyproposedpriceincrease.Ordersplacedpriortotheproposedeffectivedateshallnotbeaffectedbytheproposedpricerevision.IfCompanyandSupplierfailtoagreeuponpricesbytheproposedeffectivedate,CompanyreservestherighttoterminatethisAgreementandanyoutstandingpurchaseordersplacedagainstthisAgreementwithoutanycosttoorliabilityorobligationofCompany.5.COSTREDUCTIONBothpartiesshallendeavortoreducethecostsofproductsfurnishedunderthisAgreement.6.BESTPRICEIf,atanytimeduringthetermofthisAgreementSuppliershouldselltoanycustomerotherthantoaffiliatesorsubsidiariesofSupplier,materialatleastequalorsimilarqualityandvolumeatapricelowerthanthatineffectunderthisAgreement,CompanyshallpaysuchlowerpriceonalldeliveriesofMATERIALwhicharemadeduringtheperiodwhensuchlowerpriceisineffectSubjecttoCompany'sobligationsincludingwithoutlimitation,Company'sobligationsofconfidentiality,anduponten(10)dayswrittennoticeandnotmorethantwicepercalendaryear,aqualifiedthirdparty,reasonablyacceptabletobothparties,mayauditSupplier'sapplicablebooksandrecordsforthepurposeofverifyingSupplier'scompliancewiththisprovision.SuchthirdpartyshallbesubjecttoaconfidentialityagreementandanyreportshallbelimitedtoverifyingSupplier'sobligationsunderthissection.7.TERMSOFPAYMENTNetthirty(30)businessdaysfromthedateofshipmentoftheMATERIALtoCompany,ordesignate,orreceiptoftheapplicableinvoice.*CertaininformationonthispagehasbeenomittedandfiledseparatelywiththeCommission.Confidentialtreatmenthasbeenrequestedwithrespecttotheomittedportions.PAGE3AgreementNo.SC11990054Sheet3of288.FORECASTSCompanyshallprovideSupplierwitha[*]forecastsubmittedtoSupplierbythefifth(5th)businessdayofeachcalendarmonth.SuchforecastshallbeusedbySupplierforplanningpurposesonlyandshallnotbedeemedacommitmentbyCompanytopurchasetheMATERIALshownintheforecast.9.FOBTheMATERIALshallbeshippedFOBSupplier'slocation(orsuchotherSupplier'slocationasmaybedesignatedbySupplier).Companyshallselectthecarrier(s)andprovidethename(s)ofthecarrier(s)andCompany'saccountnumber(s)withsaidcarrierstoSupplierwithinthirty(30)daysofexecutionofthisAgreement.10.FREIGHTCLASSIFICATIONMATERIALpurchasedunderthisAgreementshallbeshippedtoCompanyorCompany'scustomerssubjecttofreightchargesappropriateforgoodsclassifiedasDataCommunicationProducts.SuppliershallindicateonthebillofladingthatCompany'scontractratesapply.11.NON-EXCLUSIVEMARKETRIGHTSThisAgreementneithergrantstoSupplieranexclusiverightorprivilegetoselltoCompanyanyorallproductsofthetypedescribedintheMATERIALsectionwhichCompanymayrequire,norrequiresthepurchaseofanyMATERIALorotherproductsfromSupplierbyCompany.Therefore,Companymaycontractwithothermanufacturersandsuppliersfortheprocurementofcomparableproducts.Inaddition,Companyshall,atitssolediscretion,decid
