梅特勒-托利多（常州）称重设备系统有限公司产品销售标准条款与条件METTLERTOLEDO（200902）1.CONTRACT合同适用Unlessotherwisestated,allsalestransactionsofMettler-Toledo(Changzhou)Scale&SystemCo.Ltd.(hereinafterreferredastheCompany)happeningwithinP.R.C.(notincludingHongKong,MacaoandTaiwan)areexpresslysubjecttothesetermsandconditions.TheCompanyexplicitlystatesherethatallproductsorequipmentsprovidedbytheCompanyareonlyfortheChinesemarket.Unlessotherwiseexpresslystatedinwriting,theCompanywillnotberesponsibleforanyconsequencesoccurringfromtheexportofanyproductbytheBuyer.除非本合同另有声明，梅特勒—托利多（常州）称重设备系统有限公司（以下简称“公司”）所有在中华人民共和国境内（不包括港澳台地区）的产品销售均适用本标准条款。“公司”在本合同中明确“公司”提供的货物是针对国内市场的，除非特别书面申明，否则“公司”不承担由于买方向第三方出口而引起的任何后果。ModificationoradditionswillberecognizedonlyifacceptedinwritingbyanofficeroftheCompany,oranofficiallydesignatedrepresentative.ProvisionsofBuyer'sPurchaseOrderorotherdocumentsthataddtoordifferfromtheseTermsandConditionsareEXPRESSLYrejected.NowaiveroftheseTermsandConditionsoracceptanceofothersshallbeconstruedasfailureoftheCompanytoraiseobjections.对本条款的任何修改或补充只有在被“公司”的法定代表人或其授权代表书面接受的情况下才有效。买方的订单或其他文件中与本条款相悖或不同的任何内容均无效。2.QUOTATIONSANDPUBLISHEDPRICES报价和价格表Quotationsautomaticallyexpire30calendardaysfromthedateissuedunlessotherwisestatedinthequotationandaresubjecttowithdrawalbynoticewithinthatperiod.ThepricefixedbytheCOMPNAYandtheBUYERinthiscontractisbasedonthemarketpriceofrawmaterialsandsellingsituationoftheproductsatthetimewhenthiscontractissigned.If,atanytimebeforedelivery,themarketpriceofrawmaterialsis10%ormorehigherthanthatwhenthiscontractissigned,orifthereisotherwiseasignificantchangeinmarketconditionsaffectingthepurchasedproducts,thentheCOMPANYhastherightofadjustingthepriceaccordingly.TheCOMPANYisallowedtoterminatethiscontractincasetheBUYERrefusesnegotiatingwiththeCOMPANYonthepriceorbothpartiesfailtoreachanagreementontheadjustedprice.TheCompany'spricesforequipment,unlessotherwiseexpresslystated,otherwisetheequipmentpriceoftheCOMPANYdoesn’tincludeinstallationfeeandadjustingfee.除非在报价时另外申明，否则自报价之日起满30天该报价即自行失效。在此30天内，“公司”经通知可撤回该报价。公司和买方在本条款中所确定的价格是基于合同签订时的原材料市场价格和产品行情所商定的。如果在实际交货前原材料市场价格或产品行情与本订单签订时相比上涨超过10%或更多，公司有权建议对产品价格作相应上调，买方拒绝协商或者双方协商不成的，公司可取消本订单.。除非另外申明，否则“公司”销售的设备价格不包含安装或/和调试的费用。3.TERMSOFPAYMENT支付条款Unlessexplicitlyagreedtoelsewhereinwriting,goodswillbedispatchedbytheCompanyonlyafteritreceivespaymentinfullfromtheBuyer.TheBuyershallmakethepaymentwithinthetimelimitagreeduponbybothparties.Amountspastduearesubjecttoadefaultchargeof0.5%ofthedueamountforeachweekthatsaidamountsremainpastdueorthemaximumcontractratepermittedbylaw.IftheCompanydeemsthatbyreasonofthefinancialconditionoftheBuyerorotherwise,thatproductionorshipmentonthetermsspecifiedisnotjustified,theCompanymayrequirefullorpartialpaymentinadvance.除非“公司”和买方另外书面约定，否则一律按照款到发货的条件执行。买方应在具体合同规定的付款期限内按时付款；如逾期未付，每逾期一周，收取未付部分0.5%的逾期付款违约金，最高可达法律允许的合同金额比例。如果“公司”认为买方由于财务状况或其他原因使“公司”有理由怀疑买方的实际履行能力时，“公司”有权要求买方在指定期限内提前支付全部或部分价款。4.DELIVERY交货期DeliverydatesindicatedinthecontractdocumentsarebaseduponpromptpaymentbyBuyerandreceiptofallnecessaryinformationprovidedbytheBuyerregardingtheequipmentcoveredbythecontract,includingbutnotlimitedtothetechnicalinformation,shipmentnotice,etc.TheCompanycannotbeheldresponsibleforitsfailuretomeetindicateddeliverydatesforreasonscausedbytheBuyer-orforreasonsoutsideoftheCompany’scontrol.TitletotheequipmentshallpasstoBuyerupondeliverytoacarrier.合同中所指交货期是建立在买方按约定付款及“公司”及时收到买方提供的与设备有关的信息材料的基础上的，包括但不限于技术信息、发货通知等。“公司”应采取积极的努力来满足交货期要求。但“公司”如因买方原因或“公司”无法控制的原因而未按时交货，“公司”不承担责任。一旦货物交付给承运方，所有权及风险即转移至买方。IntheeventofanydelayindeliverycausedbytheBuyer,theCompanywillstoreandhandleallitemsorderedattheBuyer'srisk.TheCompanywillinvoicetheBuyerforthestorage,insurance,andhandlingchargesonorafterthedatewhichtheequipmentisreadyfordelivery.Theinvoicewillbepayableinfullwithin30daysfromtheinvoicedate.如交货迟延是由买方原因引起的，“公司”将代为保存其所订购货物，风险由买方承担。因买方原因而造成迟延交付情况下而发生的仓储费、保险费、保管费等均由买方承担。买方应自“公司”开出发票之日起30日内支付上述款项。5.SHIPPINGANDHANDLINGCHARGES运输费和装运费ShipmentsareEX-worksprice.UnlesstheBuyerelectsafreightcollectshipment,shippingchargesplustheapplicablecompanyhandlingchargewillbeprepaid.IftheCompanyisrequiredbytheBuyertomakeshipment,theCompanywillselectthetransportationcompanyandchoosethetransportationmethodagreeduponbybothpartiesinadvance.Underthissituation,theriskoflossofproductsorequipmentswillbetransferredfromtheCompanytotheBuyerfromwhentheproductsorequipmentisdeliveredtothetransportationcompany.除非另行约定，否则本条款所指价格均为出厂价。除非买方自己选择由其付费的运输公司，否则买方需向“公司”预先支付运输费和其他相关费用。如果买方委托“公司”办理运输，“公司”应按照双方约定的运输方式和运输公司予以发运。在此情形下，“公司”将货物交给承运人之时，货物所有权即转移到买方。TheCompanyhastherightofchoosingthepackingwhichwillprotecttheproductsorequipmentundernormaltransportation.AfterapprovalbytheCompany,theproductsorequipmentscanalsobepackagedinamannerspecifiedbytheBuyer,buttheexpensesshallbebornbytheBuyer.Theseexpensescanbeincludedinthetotalcontractpriceorbepaidbythebuyerseparatelyinadvance.“公司”有权决定采取足以保护设备或产品在正常运输条件下不受损害的方式包装。经“公司”认可，也可按照买方书面要求的特殊方式包装，但买方必须承担该包装费用。该费用可以计入总价款，也可由买方预先单独支付给“公司”。6.CHANGES变更BuyermaywiththeexpresswrittenconsentoftheCompanymakechang
