第1页共7页编号：_____________国际贸易合同THEBUYERS：_______________________THESELLERS：______________________签订日期：_______年______月______日第2页共7页THEBUYERS:THESELLERS:ADDRESS:ADDRESS:TEL:TEL:FAX:FAX:ThisContractismadebyandbetweentheBuyersandtheSellers，wherebytheBuyersagreetobuyandtheSellersagreetoselltheundermentionedcommodityaccordingtothetermsandconditionsstipulatedbelow:1.COMMODITY:ItemNo.DescriptionUnitQtyUnitPriceAmountTOTALVALUE:2.COUNTRYANDMANUFACTURERS:3.PACKING:Tobepackedinstandardairwaypacking.TheSellersshallbeliableforanydamageofthecommodityandexpensesincurredonaccountofimproperpackingandforanyrustattributabletoinadequateorimproperprotectivemeasurestakenbythesellersinregardtothepacking.4.SHIPPINGMARK:第3页共7页TheSellersshallmarkoneachpackagewithfadelesspaintthepackagenumber，grossweight，netweight，measurementandthewordings:KEEPAWAYFROMMOISTUREHANDLEWITHCARETHISSIDEUPetc.andtheshippingmark.5.TIMEOFSHIPMENT：6.PORTOFSHIPMENT：7.PORTOFDESTINATION：8.INSURANCE：Tobecoveredbysellersfor110%invoicevalueagainstAllRisks.9.PAYMENT：Thebuyeropenanirrevocable100%L/Catsightinfavorofseller.10.DOCUMENTS:(1).FullsetofAirwaybillinoriginalshowing“FreightPrepaid”andconsignedtoapplicant.(2).Invoiceinthreecopies.(3).PackinglistinthreecopiesissuedbytheSellers.(4).CertificateofQualityissuedbytheSellers.(5).InsurancePolicy.(6).CertificateoforiginissuedbytheSellers.第4页共7页(7).Manufacturer’scertifiedcopyoffaxdispatchedtotheapplicantwithin24hoursaftershipmentadvisingflightNo.，B/LNo.，shipmentdate，quantity，Grossweight，Netweight，andvalueofshipment.(8).Theseller’sCertificateandwaybillcertifyingthatextradocumentshavebeendispatchedaccordingtothecontracttermsbyexpressairmail.(9).CertificateofNoWoodenPackingorCertificateofFumigation.Inaddition，theSellersshall，withinthreedaysaftershipment，sendbyexpressairmailoneextrasetsoftheaforesaiddocumentsdirectlytotheBuyers.11.SHIPMENT:TheSellersshallshipthegoodswithintheshipmenttimefromtheportofshipmenttothedestination.Transshipmentisallowed.Partialshipmentisnotallowed.12.SHIPPINGADVICE:Thesellersshall，immediatelyuponthecompletionoftheloadingofthegoods，advisebyfaxthebuyersoftheContractNo.，commodity，quantity，invoicedvalue，grossweight，nameofvesselanddateofdeliveryetc.Incaseduetothesellersnothavingfaxedintime，alllossescausedshallbebornebythesellers.13.GUARANTEEOFQUALITY:TheSellersguaranteethattheCommodityhereofismadeofthebestmaterialswithfirstclassworkmanship，brandnewandunused，andcompliesinallrespects第5页共7页withthequalityandspecificationstipulatedinthisContract.Theguaranteeperiodshallbe12monthscountingfromthedateofsigningtheAcceptanceReportofthismachineattheend-user'ssite.14.CLAIMS:Within90daysafterthearrivalofthegoodsatdestination，shouldthequality，specification，orquantitybefoundinunconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyornottheownersofthevesselareliable，theBuyersshall，onthestrengthoftheInspectionCertificateissuedbytheStateAdministrationforEntry-ExitInspectionandQuarantineofP.R.C.orthesiteinspectionreportissuedbytheseller’sengineer，havetherighttoclaimforreplacementwithnewgoods，orforcompensation，andallexpenses(suchasinspectioncharges，freightforreturningthegoodsandforsendingthereplacement，insurancepremium，storageandloadingandunloadingchargesetc.)shallbebornebytheSellers.Asregardsquality，theSellersshallguaranteethatifwithin12monthsfromthedateofsigningtheacceptancereportofthismachine，damagesoccurinthecourseofoperationbyreasonofinferiorquality，badworkmanshiportheuseofinferiormaterials，theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyInspectionCertificateissuedbytheStateAdministrationforEntry-ExitInspectionandQuarantineofP.R.C..TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers，inaccordancewiththeBuyers'claimshallberesponsiblefortheimmediateeliminationofthedefect(s)，completeorpartialreplacementofthecommodity第6页共7页orshalldevaluatethecommodityaccordingtothestateofdefect(s).IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim，theclaimshallbereckonedashavingbeenacceptedbytheSellers.15.FORCEMAJEURE:TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure，whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter，theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers，however，arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks，theBuyersshallhavetherighttocanceltheContract.16.LATEDELIVERYANDPENALTY:ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract，withexceptionofForceMajeurecausesspecifiedinClause15ofthisContract.TheBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepay
