1/10PARTICIPATIONCONTRACTFOR【】Between[Exhibitor]And【】[Shanghai],[China][yyyy,mm,dd]2/10ParticipationContractAgreementNo.:PartyA(Exhibitor):ContactAddress:Zipcode:Contact:PartyB(Organizer):ContactAddress:Zipcode:Contact:WHEREASPartyAis【】PartyBis【】Basedonequalityandfreewillthroughfriendlynegotiation,withrespecttoPartyA’sparticipationin【】organizedbyPartyB(hereinafterreferredtoasthe“Exhibition”),bothpartiesinaccordancewiththerelevantlawsandregulations,agreedasfollowsformutualcompliance.1.TimeandplaceoftheExhibition:1)Timeofexhibition:2)AddressoftheExhibition:3)ExhibitionArea:3/102.ParticipationBenefitsAstheorganizeroftheHouseofExcellence,PartyBwouldauthorizerelatedbenefitstoPartyA,andthedetailedbenefitsthatPartyAwouldhavepleaserefertoAnnexIIParticipationbenefits.3.Participationfee,SecurityDepositandOtherRelatedFee3.1Participationfee:RMB【】intotal,thepaymenttermpleaserefertoAnnexIII“Paymentterm”;3.2-ThesecuritydepositfortheExhibition:itwouldbe【10】%ofthetotalparticipationfee,RMB【】intotal;-IfPartyAhasnotthebehaviorthatsetinArticle5.1.3,5.1.6andArticle5.2.4underthiscontract,also,complywiththerelatedrulesandregulationsof【】,PartyBwillrefundthesecuritydepositwithin【15】daysaftertheclosingdayoftheexhibition;3.3OtherRelatedFee1)PartyBshallconstructtheHouseofExcellenceuniformly,whilePartyAshallburdenthefeeforthedesign,decorationandconstructionoftheirexhibitionarea(thevisualdisplaywall);2)Thebasicadministrationfee(includingbutnotlimitedtothefeeforinternet,electricity,waterandheatingsystemetc.)shallbeburdenbyPartyA,theactualpaymentamountwouldcalculatedasthebillfromrelatedprovider4.Taxes/Bankfees/CurrenciesTaxesarenotincludedintheservicefeesandcostsagreedinthisAgreement.AnybankfeesandtaxesoccurredwhenperformingthisAgreementshallbepaidbythepayer.Whenforeignexchangecontrolisconcerned,thepayerisresponsibleforsubmittingapplicationtotheadministrativedepartmentinchargeandgettingpaymentapprovalthereof.4/105.Rightsandobligationsofbothparties5.1PartyA’sRightsandobligations1)PartyAshallwellpreparefortheExhibitionandwillinglycomplywithandcarryoutalltherequirementsintheDetailedRulesfortheExhibitionprovidedbyPartyB；2)PartyAshalltakemeasurestoavoidallthepropertieswhichwillbeusedfortheExhibition(includinganycommodities,equipmentandfittings,etc),spontaneouslycombustionandexplosionoranydestructionthatmayaffectthesafetyofthepropertiesnearbyafterdeliveredintothehall;3)PartyAshallcomplywithanywrittenrulesexpresslyspecifiedfortheexhibitionhall;otherwise,anylossarisingfromanybreachofsuchrulesshallbeassumedbyPartyAandhasnoconnectionwithPartyB.PartyAshallnottakeanyflammable,explosiveortoxicarticlesoranyproductthatdoesnotcomplywiththosedeclaredfortheexhibitionintheexhibitionhall;otherwise,PartyBhastherighttoremovesucharticlesorproductoutoftheexhibitionhallwithoutrefundingthesecuritydeposit.4)PartyAshallsubmittedtheeffectdrawingforthearrangementofitsexhibitionareatoPartyB【45】daysbeforethearrangementoftheExhibitionforpreliminaryreview.Otherwise,theorganizingcommitteehastherighttocancelsucharrangementandPartyA’squalificationtoparticipateintheExhibition.5)DuringtheExhibition,whenPartyAcarriesoutanyactivitiesintherangeofitsexhibition(includingbutnotlimitedtoexhibition,presentationandlottery),PartyAshallmaintaintheorderandsafetyonsite.Otherwise,PartyAshallassumefullliabilitiesforcompensatingforanylossestoPartyAitself,PartyBoranythirdpartyarisingtherefrom.6)PartyAshallnottransferitsexhibitionareaatitsowndiscretion.Oncetookplace,PartyBhastherightstoremovethetransfereeoutoftheexhibitionhallwithoutrefundingthesecuritydeposit.5/105.2PartyB’sRightsandobligations1)PartyBwarrantsthatitisthelawfulorganizeroftheExhibition.2)PartyBshallbeliablefortheorganization,propaganda,invitationandexhibitionaffairsduringtheExhibition,andmakingeffortstoguaranteethepropagandaeffectsoftheExhibition;3)PartyBwarrantsthat,unlessagreedhereinorincertainstatutorycircumstances(suchastheforcemajeure),theplaceortimeoftheExhibitionshallnotbealteredarbitrarilywithoutparticularreasons.WherethepositionandareaoftheexhibitionareaorderedbyPartyAisrequiredtobechangedduetoparticularreasons,PartyBshallnotifyPartyAinwritinginadvance.IfPartyAdoesnotraiseanywrittenobjectionwithin3daysuponthereceiptofthewrittennoticefromPartyB,itshallbedeemedthatPartyAhasacceptedsuchchange.4)IfPartyAproposestocancelitsparticipationintheExhibitionwithin30daysbeforetheExhibitionstarts,PartyBhastherightstotransfertheexhibitionareatoanythirdparty,andtheparticipationfeeandsecuritydepositthatPartyApaidwillnotberefunded;anyallthelossestoPartyBanditsorganizingcommitteefromsuchcancellationshallbeassumedbyPartyA.5)WherePartyAfailstopayrelevantcostsasagreedherein,PartyBhastherightstoexercisetherightoflienoveranyarticlesofPartyAintheexhibitionhall(includingbutnotlimitedtotheitemsondisplay,facilitiesandarticlesforarrangementoftheexhibition)aftertheExhibitionendsuntilPartyApaysrelevantcosts.Meanwhile,theliabilitiesforanycostarisingfromPartyB’sexerciseoftherightoflienandpossibledisputes(includingbutnotlimitedtotheclaimofrightsoverthear
