WORLDBANKGROUPGENERALCONDITIONSOFCONTRACTFOROPERATIONALCONSULTINGSERVICES(03/2008)(CHINESE)世界银行集团运营咨询服务合同通用条件（2008年3月）ThisdocumentisatranslationoftheWorldBankGroupGeneralConditionsofContractforOperationalConsultingServices,dated03/2008,whichisprovidedasaservicetointerestedparties.Incaseofanydiscrepancies,theofficialversioninEnglishgoverns.第1页，共23页1.GeneralProvisions1.总则1.1Definitions1.1定义Unlessthecontextotherwiserequires,thefollowingtermsusedinthisContracthavethefollowingmeanings:除非上下文另有要求，本“合同”中使用的下列名词具有下列含义：(a)“Client”meansthepurchaserwhoisthemember(s)oftheWorldBankGroupasspecifiedintheSC(InternationalBankforReconstructionandDevelopment,InternationalDevelopmentAssociation,MultilateralInvestmentGuaranteeAgency,InternationalFinanceCorporationorInternationalCenterfortheSettlementofInvestmentDisputes);(a)“委托方”系指“特殊条件”规定的属于世界银行集团成员的购买方（国际复兴开发银行、国际开发协会、多边投资担保机构、国际金融公司或解决投资争端国际中心）；(b)“Consultants”meansthecompany,consultingfirm,university,organization,orothersuchentityretainedbytheClienttoperformtheServicesunderthisContract;(b)“咨询顾问”系指受“委托方”聘用以履行“合同”项下之“服务”的公司、咨询公司、大学、组织和其他该等实体；(c)“Contract”meanstheContractsignedbythePartiesincorporatingtheGCandtheSC,togetherwithanyattachmentslistedintheSC;(c)“合同”系指“合同双方”签署之“合同”，内容包括“通用条件”、“特殊条件”以及“特殊条件”内所列的任何附件；(d)“ContractCurrency”meansU.S.DollaroranyothercurrencyofaClientmembercountryasmaybespecifiedintheSC;(d)“合同货币”系指美元或“特殊条件”规定的“委托方”会员国的任何其他货币；(e)“ContractPrice”meansthepricetobepaidfortheperformanceoftheServices,asspecifiedintheSC;(e)“合同价格”系指“特殊条件”规定的为履行“服务”而支付的价格；(f)“GC”meanstheseGeneralConditionsofContractforOperationalConsultingServices;(f)“通用条件”系指本《运营咨询服务合同通用条件》；(g)“EffectiveDate”meansthedateonwhichthisContractisexecutedbybothParties;(g)“生效日”系指“合同双方”签署本“合同”之日；(h)“JointVenturePartner,”incasetheConsultantsconsistofajointventureofmorethanoneentity,meansanyoftheseentities;“JointVenturePartners”meansalltheseentities;and“PartnerinCharge”meanstheentityspecifiedintheSCasauthorizedtoactontheirbehalfinexercisingrights,incurringliabilitiesandreceivinginstructionsforandonbehalfofanyandalltheJointVenturePartnersunderthisContract,includingreceivinganddistributingallpayments;(h)“联营方”系就“咨询顾问”为一个以上实体所组成之联营体而言，系指任何该等实体；“联营方”系指所有该等实体；并且“主要联营方”系指“特殊条件”规定的被授权代表本“合同”项下任何及所有“联营方”行使权利、承担责任及接收指示（包括接收和分送所有款项）的实体；(i)“Party”meanstheClientortheConsultants,asthecasemaybe,and“Parties”meansbothofthem;(i)“合同方”系指“委托方”或“咨询顾问”，视具体情形而定；合同双方”系两者之合称；WORLDBANKGROUPGENERALCONDITIONSOFCONTRACTFOROPERATIONALCONSULTINGSERVICES(03/2008)(CHINESE)世界银行集团运营咨询服务合同通用条件（2008年3月）ThisdocumentisatranslationoftheWorldBankGroupGeneralConditionsofContractforOperationalConsultingServices,dated03/2008,whichisprovidedasaservicetointerestedparties.Incaseofanydiscrepancies,theofficialversioninEnglishgoverns.第2页，共23页(j)“Personnel”meanspersonshiredbytheConsultantsorbyanySubconsultantasemployeesandassignedtotheperformanceoftheServicesoranypartthereof;(j)“人员”系指被“咨询顾问”或任何“分包咨询顾问”雇用为雇员并被指派履行“服务”或其任何一部分之人士；(k)“SC”meanstheSpecialConditionsofContract;(k)“特殊条件”系指“特别合同条件”；(l)“Services”meanstheworktobeperformedbytheConsultantspursuanttothisContract,asdescribedinAppendixA;(l)“服务”系指“咨询顾问”根据本“合同”必须履行的、由附录A规定的工作；(m)“Subconsultant”meansanyentitytowhichtheConsultantssubcontractanypartoftheServices.(m)“分包咨询顾问”系指“咨询顾问”向其转包任何一部分“服务”的任何实体。1.2RelationbetweentheParties1.2合同双方的关系NothingcontainedhereinshallbeconstruedasestablishingarelationofmasterandservantorofprincipalandagentasbetweentheClientandtheConsultants.TheConsultants,subjecttothisContract,havecompletechargeofPersonnelandSubconsultants,ifany,performingtheServicesandshallbefullyresponsiblefortheServicesperformedbythemorontheirbehalf.本“合同”所载任何条款均不得解释为在“委托方”与“咨询顾问”之间建立主人与仆人或委托人与代理人的关系。“咨询顾问”，依据本“合同”，对履行“服务”的“人员”和“分包咨询顾问”（如有）拥有完全的管辖权，应对其履行或他人代表其履行的“服务”负全部责任。1.3LawGoverningtheContract1.3合同的管辖法律UnlessotherwisespecifiedintheSC,theContract,itsmeaningandinterpretation,andtherelationbetweentheParties,shallbegovernedbythelawsoftheDistrictofColumbia.除非“特殊条件”另有规定，否则本“合同”、其含义和解释及“合同双方”之间的关系均应受美国哥伦比亚特区法律管辖。1.4Language1.4语言ThisContracthasbeenexecutedintheEnglishlanguage,whichshallbethebindingandcontrollinglanguageforallmattersrelatingtothemeaningorinterpretationofthisContract.本“合同”系以英语签署，与本“合同”含义或解释有关的所有事宜均以英语为准据语言。1.5PriorityofContractDocuments1.5合同文件的优先次序ThedocumentsformingthisContractaretobetakenasmutuallyexplanatoryofoneanother,butintheeventofinconsistency,andunlessotherwiseprovidedherein,thisContractshallbeinterpretedinaccordancewiththefollowingorderofprecedence:构成本“合同”的文件应视作系相互解释性质，如有不一致处，除非本“合同”另有规定，否则应按下列优先顺序对本“合同”进行解释：(i)theSpecialConditionsofContract(i)“特别合同条件”(ii)theGeneralConditionsofContract(ii)“通用合同条件”WORLDBANKGROUPGENERALCONDITIONSOFCONTRACTFOROPERATIONALCONSULTINGSERVICES(03/2008)(CHINESE)世界银行集团运营咨询服务合同通用条件（2008年3月）ThisdocumentisatranslationoftheWorldBankGroupGeneralConditionsofContractforOperationalConsultingServices,dated03/2008,whichisprovidedasaservicetointerestedparties.Incaseofanydiscrepancies,theofficialversioninEnglishgoverns.第3页，共23页(iii)AppendixA:DescriptionoftheServices(iii)附录A：服务描述(iv)A
