CONFIDENTIALPage1FinalUSVersion–10/01/06STRATEGICSUPPLIERAGREEMENTThisStrategicSupplierAgreement(Agreement)ismadethis____dayof___________________,20_____(theEffectiveDate)betweenHoneywellInternationalInc.,aDelawarecorporation,actingthroughandonbehalfofits____________________businessunitwithofficesat____________________________________________(Honeywell),and__________________________,a__________________corporation,withofficesat(Supplier).此份战略供货协议于-----日（生效日），由位于美国特拉华州-----霍尼韦尔国际与位于---的------公司（供应商）签署。RECITALS叙述WHEREAS,Suppliermanufacturesandsells(theProducts);and供应商生产销售-------（产品）；WHEREAS,HoneywellandSupplierdesiretoenterintoanon-exclusivepurchasingagreementunderwhichHoneywellwillpurchaseandSupplierwillselltheProductsinaccordancewiththetermsofthisAgreement.霍尼韦尔与供应商自愿建立非独家的采购协议。霍尼韦尔将按照此协议条款进行产品购买、供方将按照此协议条款对产品进行销售。NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisessetforthbelow,thepartiesagreeasfollows:双方自愿订立盟约，内容如下：AGREEMENT协议1.0TERMOFAGREEMENT协议期限1.1ThetermofthisAgreementwillbeginontheEffectiveDateandremainineffectfor___(__)years(theTerm).协议条款将从生效日起开始执行，有效期为（--）年（期限）2.0SCOPEOFAGREEMENT协议范围2.1ThetermsofanyprioragreementsbetweenthepartiestothisAgreementregardingthesaleofProductsbySupplierandanyandallamendmentstosuchprioragreementsareherebyterminated,supersededandcontrolledbythetermsofthisAgreement.在此协议签订前双方所签署的有关产品销售的协议及其修订版本，全部作废，以此协议为准。3.0PRODUCTPURCHASES产品采购3.1Specifications.TheProductsshallconformtothespecificationsattachedheretoasExhibitA.规格参数。产品应符合表A中要求的规格参数。3.2DuringtheTerm,SupplierwillsellHoneywelltheProductstogetherwithrelatedservices,ifany.ThisAgreementdoesnotspecifyaquantityofProductstobepurchasedbyHoneywell,doesnotobligateHoneywelltopurchaseanyProducts,andisnotanexclusivepurchasingagreement.CONFIDENTIALPage2在协议期内，供应商将产品销售给霍尼韦尔，如有相关服务，须同时提供。此协议中并无规定霍尼韦尔要从供方采购产品的数量，霍尼韦尔对此无责任义务，且此协议不具有垄断性。3.3SupplieracknowledgesthattheProductsmaybepurchasedforresalebyHoneywellandagreesthatHoneywellmaymarketandselltheProductstoitscustomerseitherasstand-aloneofferingsoraspartofintegratedsystems.供应商同意霍尼韦尔将产品进行转售。霍尼韦尔有权将此产品单独销售，也可作为产品的组件销售。3.4Honeywellmay,atnoadditionalcharge,use,reproduceandprovidetoitsowncustomersSupplier’sliterature,productinformationandmarketingmaterialsregardingtheProducts.霍尼韦尔可以在无需任何附加费、耗费、再加工的情况下，将供应商的文件，产品信息及产品的材料信息提供给其客户。3.5Export/ImportRequirements.Supplierwillprovide,foreachProduct,thefollowinginformation:出口/进口要求：供应商会对其任何一种产品提供以下信息：a.Countryoforigin(ormanufacture)原产地证明b.HarmonizedTariffClassification(ifknown)协调关税分类明细表（）c.ExportCommodityClassificationNumber(ECCN)(ifknown)出口产品种类编码（ECCN）d.NAFTAstatus(i.e.,whetherProductqualifiesforNAFTApreference.Ifyes,providepreferencecriterion,producer,andwhetherthenetcostmethodisusedtodetermineifthepartmeetstheNAFTAruleoforigin.)北美自由贸易区现况。（例如：产品是否享受北美自由贸易区的特惠政策，如果享有，需提供优惠依据，生产商，且计算净价确订此产品是否符合北美自由贸易区的原产地原则）4.0PURCHASEORDERSANDACCEPTANCE订单下达和接受订单4.1HoneywellwillorderProductsandrelatedservices,ifany,bymeansofindividualpurchaseorders(PurchaseOrders).PurchaseOrderswillbegovernedexclusivelybythetermsandconditionscontainedherein,unlessotherwiseexpresslyagreedbytheparties.AnyadditionalordifferenttermsandconditionscontainedinanyPurchaseOrderacknowledgmentoracceptancebySuppliershallbeofnoeffect.霍尼韦尔会采购产品及相关服务，通过下达单独的订单来采购（采购订单）。采购订单受此协议条款约束，除非在特殊情况下经双方同意，可进行相应调整。由供应商单方认可在订单上的任何附加条件及不同条款均无效。4.2Ifnotacceptedearlier,SupplierwillbedeemedtohaveacceptedaPurchaseOrder,andbeboundbyitsprovisions,unlessitotherwisenotifiesHoneywellinwritingwithinfive(5)daysofreceiptofthePurchaseOrder.SuppliershallnotrejectanyPurchaseOrderunlessitrequiresdeliveryofProductsinlessthantheleadtimeagreeduponbyHoneywellandSupplieror,ifnone,areasonableleadtime.在接到订单后五天内，如果供应商没有出具正式的书面说明，就视为已经接受了订单。供应商的产品供应有一定的强制性，供应商无权拒绝在合理交期内的订单，除非霍尼韦尔要求的交期短于双方同意的产品交期。4.3PurchaseOrdersmaybecommunicatedbyHoneywelltoSupplierviafacsimiletransmission,firstclassmailoranyelectronictransmissionagreeduponbytheparties.ForPurchaseOrderstransmittedelectronically,SupplierwillnotifyHoneywellofreceipt.ThepartiesagreenottocontestthevalidityorenforceabilityofPurchaseOrderstransmittedelectronicallyundertheprovisionsofanylawrequiringthatcontractsbeinwritingandsignedbythepartytobebound.CONFIDENTIALPage3霍尼韦尔和供应商可通过双方认可的各种型式发送订单，可通过传真，信件，电子传送，供应商收到订单后应向霍尼韦尔确认。双方同意不会合法传送的有双方签字的电子订单的合法性和可执行性产生争议。4.4Honeywellmayatanytime,bywrittenchangeorder,terminateorsuspendSupplier’sperformanceofanyPurchaseOrder.IfsuchterminationisprovidedtoSupplierlessthanthirty(30)dayspriortotheshippingdateforProductsaffectedbysuchcancellation,HoneywellwillreimburseSupplierforitscostsforrawmaterialandwork-in-processrelatingtothatPurchaseOrdersolelytotheextentthatSupplierissubsequentlyunabletousesuchmaterialsforHoneywellorothercustomersofSupplier,subjecttothetermsofanyapplicableagreementbetweenHoneywellandSupplierrelatingtomin/max,stockingorconsignmentarrangements.霍尼韦尔有权在任何时间，通过书面文件，对任何订单进行更改，终止，推迟。如果此终止行为发生在供应商发货前30天内，对供应商产生影响，霍尼韦尔会对供应商进行原材料及过程费用进行单独补偿，条件是原材料无法再次使用在霍尼韦尔及其它客户的产品上，并受限于霍尼韦尔与供应商之间所签订的有关最少/最多库存量的协议或发货计划等协议条款的制约。PRODUCTCOMPONENTS产品组件5.1IfHoneywellhasan“
