SALESCONTRACT销售合同ContractNo.:合同号：Date:日期Seller:卖方Tel:Fax:Buyer:买方ThisSalesContractismadeoutasperthefollowingterms/conditionsmutuallyconfirmed:Descriptionofcargo货品CIFWuhanCIF武汉DescriptionVintagePackage瓶/箱Quantity数量UnitPriceEUR单价（欧元）AmountEUR合计BottlespercartonCartons箱Bottles瓶VCEwines——TOTALNOTE:1.Thermalblanketisnecessaryfordrycontaineratanytimeduringayear.OtherwisetheBuyerhastherighttoreturnthecargoorrefusethepaymentforcargosinfluencedbyhottemperature.干柜在一年中的任何时候都需隔热层，否则买方有权退回货物或拒绝为因高温造成影响的货物付款。2.Insurance:Tobeeffectedbythesellerfor110%offullinvoicevaluecoveringmarineinstitutecargoclausesAllRisks.保险：由卖方按发票全额的110%购买涉及海洋协会货物保险条款“一切险”3.TimeofShipment:before15thJuly,Partialshipmentisnotallowed.发货时间：7月15日之前，不允许分批装运。4.PortofShipment:Livorno装运港：利沃诺5.PortofDestination:Wuhan,China.目的港：中国武汉6.Timeofarrivalatthedestinationport:before1stSeptember.到达时间：9月1日前抵达目的港。7.TermsofPayment:T/T90daysafterB/Ldate付款时间：提单日期后90天电汇8.Documents:TheSellershallpresentthefollowingdocumentstotheBuyerasrequired:卖方需提供买方所需的以下文件:1)FullsetofnegotiablecleanonboardoceanMaster’sBillofLadingindicatingshippingmark,blankendorsed,andnotifyingtheBuyerwithfullnameandaddressattheportofdestination.全套清洁提单2)SignedCommercialInvoiceinTHREEoriginalsshowingthisContractnumber,andtheShippingMark.IftheSellerisnotthedirectproducerforanyoftheoils,theactualoilproducer’snameandtheinvoicenumberbetweentheSellerandtheproducershouldbeindicatedintherequiredinvoice.商业发票3)PackingListinTHREEoriginals,showingthisContractnumber,grossandnetweights,andquantityofcartons&bottlesforeachcontainer.装箱单4)CertificateofOriginissuedbyChamberofCommerce,inONEoriginalandONEcopy,showingeachoil’sappellation.原产地证5)CertificateofSanitaryandPurity,issuedbygovernmentdepartment,tostatetheinspectionresults,inconformitywithFrenchrules,inONEoriginalandTWOcopies.卫生证书6)AnalysisreportforeachoilinONEoriginalandTWOcopies.分析报告7)Declarationofno-woodPackingMaterialtoChinaEntry&ExitInspectionandQuarantineifthereisnowoodenpackingmaterial.Ifwoodenpalletsorcasesareused,theremustbefumigationMarklike“IPPC”or“NIMP15”onthewoodenpalletsorcases,andbetteraccompanywitharelevantfumigationcertificate.无木质包装声明8)DeclarationofbottlingdateforeachoilwiththeformofYEAR-MONTH-DATE灌装日期9)10%ofthetotalbottlequantityoforiginalcopiesofFrontLabelsandBackLabelsforeachoil,Min20sets.前后标10)TwooriginalofthisContract.合同11)Onecertificateissuedbylocalchamberofcommercetoprovetherealityofthecargovalue,indicatingthecontractNo.厂商声明12)OnecopyoftheInsurancePolicy保单13)Onecopyofthetransportationinvoicefromtheforwarder运输发票14)Onecopyofexportdeclarationwhichcanshowtheexportvalueoftheoils显示货物出口值的出口报关单9.Cargopre-check:Aftertheproductionbutbeforetheloadingofthecargo,thesellershouldtakepicturesofeachtypeofoilwhichcanclearlyseethecontentoffrontandbacklabelsforpre-check.Anycostorlossshouldbeburdenbythesellerifthesellerdoesn’tsendthepicturesforpre-check.货物预检查：生产后，装运前的货物，卖方应为每个产品品项拍照，照片可以清楚地看到正面和背面标签作为预检查的内容。如果卖方不发送图片预检查，造成任何损失应该由卖方承担10.Documentspre-check:Thesellershouldsendthebuyeralltheabovementioneddocumentsandclearcolorscanfrontandbacklabelsforpre-checkwithin7workingdaysafterB/Ldate.Thebuyershouldfinishcheckingin2workingdaystheninformthesellerforcorrectionifany.Anycostorlossshouldbeburdenbythesellerifthesellerdoesn’tsendthedocumentsforpre-check.文件预检查：卖家应买家要求发送上述所有文件，B/L日期后7个工作日内发送清晰的标签的彩色正面和背面扫描件。买方应在2个工作日内完成检查，如有更正，通知卖家。如果卖方不发送文件预检查，造成任何损失应该由卖方承担。11.Documentsdelivery:Thesellershouldsendtheoriginaldocumentstothebuyeratleast10daysbeforethearrivalofthecargo.Thesellershouldburdenallthecostorlossduetolatedeliveryofdocuments.Thebuyerhastherighttoreturnthecargoorrefusepaymentifthecargoundergoesdeteriorationbyinsolationduetoincorrectorlatedocuments.文件发送：卖方应在到货前至少10天前发送文件正本。卖方应承担由于延迟交付文件的损失。若因卖方交付的文件不正确或延迟交付所造成的货物暴晒变质，买方有权返回货物或拒绝付款。12.Chinesebacklabel:ThebuyershouldsendtheSellerPDF/AIfileofChinesebacklabel.ThesellershouldprintandstickChinesebacklabelsinFrance.ThesellershouldprintthesampleChinesebacklabelandscantothebuyerforconfirmationbeforesticktothebottle.中文背标：买方发送卖方PDF/AI格式的中文背标。卖方应在法国印制并黏贴中文背标。卖方在黏贴中文背标前应印制中文背标样板并发送买方确认。15.Shipment:Thesellershallarrangethegoodtobeshippedoutwithintheshippingtime.Transshipmentisnotallowed.Thecarryingvesselshallnotflytheflagofcertainnationunacceptabletothebuyer.装运：卖方应在出货时间内安排好装运运出。转运是不允许的。装运船只不得悬挂买方不接受的某些国家的国旗。16.Shippingadvice:thesellershallimmediatelyuponthecompletionoftheloadingofthegoods,advisebyFAXthebuyeroftheContractnumber,commodity,quantity,invoicevalue,grossweight,netweight,nameofvessel,portofshipmentandportofdestinationanddateofsailingordateofdispatchetc.装运通知：卖方应在货物装船完成后，立即通过传真告知买方合同号，品名，数量，发票价值，毛重，净重，船名，装运港口和目的港口和发船日期或日期调整等。19.Forcemajeure:Thesellershallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.Thesellershalladvisethebuyerimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,thesellershallsendbyairmailtothebuyerfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthorities
