阳光协议Anti-CorruptionAgreemrntDrivenbyperformancePPMReleasedDataPage1/4DocumentNO:Version:V01阳光协议Anti-CorruptionAgreement甲方：XXXXXX精密制造有限公司（及其下属的子公司）PartyA:乙方：PartyB:为保证协议双方在公正、公平、公开的原则下开展业务，避免腐败事件发生，有效保护双方合法利益，使双方能建立长期友好的合作关系，甲乙双方经友好协商签订本《阳光协议》，以便双方共同遵守。InordertomakesurethatbothPartiesperformthebusinessrelationshipbasedontheprincipleofjustice,fairnessandopenness,topreventthedamagetothelegitimaterightsandinterestsofbothParties,andtoestablishintoalong-termcooperation,bothPartiesherebyreachthisAnti-CorruptionAgreement.1、甲、乙方承诺对各自业务人员进行经常性教育，努力提高合规、廉洁自律的意识；BothPartiespromisetoregularlyeducatetheiremployeestoimprovethecomplianceandself-disciplineconsciousness.2、甲、乙双方应严格按照中国法律和双方签订的合同开展业务活动。乙方不得为谋求不当企业利益向甲方业务人员行贿。对于甲方业务人员主动索取财物的要求应予以拒绝。BothPartiesshallstrictlydevelopthebusinessactivitiesaccordingtoChineselawsandthecontractsignedbybothParties.PartyBshallnotpaybribestoPartyAforseekingunfairenterprisebenefitandshallrejectanybenefitrequestfromtheemployeeofPartyA.3、乙方保证和承诺其业务人员不得从事下列任何可能影响公平交易、正当竞争的活动:PartyBundertakesandcovenantsthatitsemployeeswillnotengageinanyofthefollowingactivities,whichmightinfluencethefairnessoftransactionandfaircompetition:3.1、向甲方业务人员提供财物（包括礼物、礼金、有价证劵等）或其他非正常利益。toprovidetheemployeesofPartyAwithanyfinancialbenefits(includinggift,cashgift,negotiablesecurities,etc.)oranyotherimproperbenefits.3.2、为甲方业务人员的个人支付费用进行报销。Topayforthepersonnel’sexpensesoftheemployeesofPartyA阳光协议Anti-CorruptionAgreemrntDrivenbyperformancePPMReleasedDataPage2/4DocumentNO:Version:V013.3、邀请甲方业务人员和/或其亲属参加任何宴请和/或娱乐消费活动。ToinvitetheemployeesofPartyAand/orhis/herrelativestoanyfeteactivityand/oranyentertainmentactivities.3.4、向甲方业务人员提供交通工具、通讯工具、家电和高档办公用品等物品；向甲方业务人员私人拥有的车辆提供免费的装饰、维修、保养的等服务。ToprovidetheemployeesofPartyAwithanytransportation,communicationtools,appliances,high-grateofficesuppliesandetc.Andtoprovideafreedecoration,repairing,maintenanceandotherservicestoprivatelyownedvehiclesoftheemployeesofPartyA.3.5、提供甲方业务人员和/或其亲属在乙方投资、参股、从乙方获取红利、红股及其他各种形式的报酬的任何机会。ToprovidetheemployeesofPartyAand/orhis/herrelativeswithopportunitiestomakeinvestmentorparticipateinvestmentinPartyB,oranyotheropportunitieswhichmightenabletheemployeesofPartyAtogetanybonuses,sharesandotherformsofcompensationfromPartyB.3.6、为甲方业务人员免费建造、装饰、维修其私人住宅，也不得提供其他变相资助。Toprovidefreeconstruction,decoration,repairingservicesforprivatehomesoffortheemployeesofPartyAandtoprovideanyothercovertfundingfortheemployeesofPartyA3.7、为甲方业务人员提供其配偶、子女及其他亲属经商办企业的便利和优惠条件，及就业和出国等提供方便。Toprovideconvenientandpreferentialtermstothespouses,childrenandotherrelativesoftheemployeesofPartyAtoestablishand/oroperateabusinessenterprise,aswellasanyconveniencefortheirjobsandgoaboard.3.8、洽谈业务、签订经济合同为借口，邀请甲方业务人员外出旅游或进入营业性高档娱乐场所。ToinvitetheemployeesofPartyAtotravelorenjoyacommercialhigh-endentertainment,underanexcuseofnegotiatingabusinesseconomiccontract.3.9、对甲方的让利以回扣、酬金、奖励等名目让利给甲方业务人员.TopaytheemployeesofPartyAwithanydiscountwhichshouldhavebeenpaidtoPartyAbyawayofdiscount,commissionandrewardandetc.3.10、向甲方业务人员及、或其亲属提供其他有形或无形的利益。TOprovideothertangibleorintangiblebenefitstotheemployeesofPartyAand/orhis/herrelatives.3.11、乙方及其业务人员向甲方业务人员提供价值等值于200人民币以下的赠品和其他物品时，如果是自愿提供且不存在影响甲方工作人员在履行职责时的判断和行动的可能性，则可以不被视为对第3条规定的违反。阳光协议Anti-CorruptionAgreemrntDrivenbyperformancePPMReleasedDataPage3/4DocumentNO:Version:V01Theprovisionsofpromotionalmaterialandotheritemswithavalueoflessthan200RMBbyPartyBanditsemployeesofPartyA,ifmadevoluntarilyandthereisnoreasonablelikehoodofinfluencingtheemployees‘judgmentoractionsinperformingtheirduties,willnotberegardasaviolationofArticle3.4、对于违反以上2-3条规定的甲方业务人员，甲方将解除其劳动合同，对触犯法律的，则追究其法律责任。IftheemployeesofPartyAviolatetheprovisionsofArticle2to3above,PartyAwillterminatehis/herlaborcontract,and,incaseofbreachoflawbytheemployeesofPartyA,willtakeanylegalactiontowardsthisviolation.5、对于乙方业务人员违反以上2-3条规定的，甲方不视其为个人违约行为，而视为乙方严重违约行为，甲方有权无条件解除与乙方签订的任何合同，并追究乙方违约责任；若乙方行为触犯法律的，甲方将追究其法律责任。IftheemployeesofPartyBviolateanyprovisionsofArticle2to3above,PartyAdosenotregarditaspersonaldefaultbehavior,butregardsitasPartyB’smaterialdefaultbehavior,andshallbeentitledtoterminateanysignedcontactwithPartyBwithoutanyconditionandanyliabilityandshallbeentitledtorequirePartyBtobearthefollowingliabilitiesforbreachofcontract;iftheactivitiesoftheemployeesofPartBisinbreachoflaws,PartyAwilltakeanylegalactiontowardsthisviolation;5.1、对于违约涉及某个项目或单个合同的，甲方可扣除乙方项目金额或合同金额的5%作为违约金，违约金的上限最多不超过人民币3万元。Foradefaultinvolvingonlyasingleprojectoranindividualcontract,PartyAcandeduct5%oftheprojectamountorthecontractvaluewithPartyBasapenaltyandtheupperlimitisRMB30,000.5.2、对于违约涉及多个项目或多个合同的，甲方可按照乙方年度采购金额的5%扣除违约金，违约金的上限最多不超过人民币10万元。Fordefaultinvolvingmultipleprojectsorseveralcontracts,PartyAcandeduct5%oftheannualpurchasingamountwithPartyBasapenaltyandtheupperlimitisRMB100,000.6、甲方提供以下联系方式供乙方举报甲方人员的违规行为。PartyAprovidesthefollowingcontactinformationforPartyBtoreportviolationsoftheemployeesofPartyA.人力资源中心电话：[phone]邮箱：[e-mail]审计部电话：[phone]邮箱：[e-mail]总审计部电话：[phone]邮箱：[e-mail]7、甲乙双方要确保所有相关人员知晓本协议内容。Bot
