IIRRRREEVVOOCCAABBLLEEMMAASSTTEERRFFEEEEPPRROOTTEECCTTIIOONNAAGGRREEEEMMEENNTT((IIMMFFPPAA))&&NNCCNNDDAAPPaaggee11ooff99INTERNATIONALCHAMBEROFCOMMERCE(I.C.C400/500/600)(NCNDA)IRREVOCABLEMASTERFEEPROTECTIONAGREEMENT(IMFPA)FillincorrectinformationareabelowCONTRACTCODE:SELLER’STRANSACTIONCODE:SELLER’SCODE:BUYER’SCODE:PRODUCT:D2PRODUCTORIGIN:RussianCONTRACTQUANTITY:5MMTx12-CIFCONTRACTPERIOD:12monthsPAYMENTTERM:RDLC–SUPPORTEDBYBG–Plattminus10%+$10SELLER’SNAME:SELLER’SSIDEREPRESENTATIVEBUYER’SNAME:BUYER’SSIDEREPRESENTATIVECONTRACTRELEASEDDATE:NON-CIRCUMVENTION,NON-DISCLOSURE&WORKINGAGREEMENT(NCNDA)IRREVOCABLEMASTERFEEPROTECTIONAGREEMENT(IMFPA)WHEREAStheundersignedwishtoenterintothisAgreementtodefinecertainparametersofthefuturelegalobligations,areboundbyadutyofConfidentialitywithrespecttotheirsourcesandcontacts.ThisdutyisinaccordancewiththeInternationalChamberofCommerce.WHEREAStheundersigneddesiretoenteraworkingbusinessrelationshiptothemutualandcommonbenefitofthepartieshereto,includingtheiraffiliates,subsidiaries,stockholders,partners,co-ventures,tradingpartners,andotherassociatedorganizations(hereinafterreferredtoas“Affiliates”).NOWTHEREFOREinconsiderationofthemutualpromises,assertionsandcovenantshereinandothergoodandvaluableconsiderations,thereceiptsofwhichisacknowledgedhereby,thepartiesherebyagreeasfollows:1.TERMSANDCONDITIONSA.Thepartieswillnotinanymannersolicit,noracceptanybusinessinanymannerfromsourcesortheiraffiliates,whichsourcesweremadeavailablethroughthisagreement,withouttheexpresspermissionofthepartywhomadeavailablethesourceand,B.Thepartieswillmaintaincompleteconfidentialityregardingeachotherbusinesssourcesand/ortheirAffiliatesandwilldisclosesuchbusinesssourcesonlytothenamedpartiespursuanttotheexpresswrittenpermissionofthispartywhomadeavailablethesource,and,C.Thattheywillnotinanyofthetransactionsthepartiesaredesirousofenteringintoanddo,tothebestoftheirabilitiesWetheundersignedherewithreferredasthe,underpenaltyofperjurydoherebyirrevocablyconfirmandirrevocablyaccepttopayallintermediariesandfeeholdersatthesametimeandinamannerasthesellerisbeingpaidforeachandeverytransactionofthiscontractuptothecompletionofthecontractplusrolloversandextensionsandinaccordancewiththebankdetailstobespecifiedinthehardcopiesofthiscontract.We,theBUYER,irrevocablyconfirmthatwewillorderanddirectourbanktoendorseautomaticpaymentorderstothebeneficiariesnamedbelow;furthermore,We,theBUYER,confirmthatallpayordersshallautomaticallytransferfundsasdirectedintoeachbeneficiariesdesignatedbankaccountwithin1(one)dayafterthedateofclosingandcompletionofeachandeveryshipmentoftheproductduringthecontracttermplusany/orextensionsandrolloverofthespecifiedcontract.Forthepurposeofclarity,weconfirmthattheclosingandcompletionofeachandeveryshipmentshallbedeemedtotakeplacewhentheletterofcreditissuedbythebuyerhasbeendrawndownatthecountersoftheissuingbank.We,BUYER,agreestoprovideallbeneficiarieswithwrittenevidenceofthepayorderslodgedwithourbanktogetherwithacknowledgementsoftheiracceptance.Furthermore,ourbankshallbeinstructedtoprovidedulysignedandstampedacknowledgementofthisinstructionassetoutintheannex.Formingpartofthisagreement.ItisunderstoodthatforthepurposesofthisMasterFeeProtectionAgreement,ourbankshallbethesamebankandthisIMFPAactsasanintegralpartofit.IIRRRREEVVOOCCAABBLLEEMMAASSTTEERRFFEEEEPPRROOTTEECCTTIIOONNAAGGRREEEEMMEENNTT((IIMMFFPPAA))&&NNCCNNDDAAPPaaggee22ooff99assuretheotherthatthetransactioncodesestablishedwillnotbeaffected.D.Thattheywillnotdisclosenames,addresses,e-mailaddress,telephoneandtele-faxortelexnumberstoanycontactsbyeitherpartytothirdpartiesandthattheyeachrecognizesuchcontractsastheexclusivepropertyoftherespectivepartiesandtheywillnotenterintoanydirectnegotiationsortransactionswithsuchcontractsrevealedbytheotherpartyandE.Thattheyfurtherundertakenottoenterintobusinesstransactionwithbanks,investors,sourcesoffundsorotherbodies,thenamesofwhichhavebeenprovidedbyoneoftheF.Partiestothisagreement,unlesswrittenpermissionhasbeenobtainedfromtheotherparty(ies)todoso.Forthesaleofthisagreement,itdoesnotmatterwhetherinformationobtainedfromanaturaloralegalperson.Thepartiesalsoundertakenottomakeuseofathirdpartytocircumventthisclause.G.ThatintheeventofcircumventionofthisAgreementbyeitherparty,directlyorindirectly,thecircumventedpartyshallbeentitledtoalegalmonetarypenaltyequaltothemaximumserviceitshouldrealizefromsuchatransactionplusanyandallexpenses,includingbutnotlimitedtoalllegalcostsandexpensesincurredtorecoverthelostrevenue.H.Allconsiderations,benefits,bonuses,participationfeesand/orcommissionsreceivedasaresultofthecontributionsofthepartiesintheAgreement,relatingtoanyandalltransactionswillbeallocatedasmutuallyagreed.I.ThisAgreementisvalidforanyandalltransactionbetweenthepartieshereinandshallbegovernedbytheenforceablelawinAllCommonwealthCountry’s,EuropeanUnionCountry’s,USACourts,orunderSwissLawinZurich,intheeventofdispute,thearbitrationlawsofstateswillapply.J.Thesigningpartieshereby
