1CONTRACTONRETAININGLEGALCOUNSELPartyA:Address:Telephone:Fax:PartyB:Address:Telephone:Fax:PartyAwouldliketoretainPartyBasitslegalcounsel,accordingtoLawonLegalCounselofthePeople'sRepublicofChinaThetwopartiesthroughconsultationherebyagreeupon,andshallbeboundby,thefollowingterms:ArticleⅠPartyAwilldesignate【】,asthelawyeremployedbyB,toworkasA'slegalcounsel.【】willprovidelegalassistanceandprotectA'sinterestsvestedbylaw.ArticleⅡPartyB’sscopeofresponsibilityⅰ.AnswerquestionsonlegalissuesfromClientandgiveopinionsoranyadviceonsuchissues;ⅱ.Upontheclient’srequest,PartyBshallparticipateincommercialnegotiations,inwhichClientisaparty,andbeconcernedwithdrafting,modification,reviewingandexaminationofthelegaldocumentssuchas2contractsandagreementsorpreparinglegaldocumentsthatisneededinthenegotiations;ⅲ.Provideeconomicandlegalinformationpertaintothebusinessoperationoftheclient;ⅳ.Representtheclientinthelitigationofcriminal,civil,economicandadministrativecases;offerstrategiclegaladviceinlitigationandarbitrationasalegaladvisor,preventingornegatinglegalrisk；ⅴ.Helptosetupandorganizefilesoflegaldocumentsandalarmanylegalrisk;ⅵ.Renderlegalconsultancyforbusinessoperationandmanagementofclient;ⅶ.Participateinimportanteconomicactivitiesofclient,offeringallfollowupservicesifnecessary;ⅷ.Providelegaldocumentssuchaslegalopinion,lawyer’sadvice,lawyer’stestimonyandlawyer’sletteretc;ⅸ.Credibilityinvestigationuponrequest:investigationontheentityqualification,businessregistration,legalstatus,trueidentity,background,statusquoofbusinessoperationandmanagementandassetsstatusofthecooperationpartnersandclientsofclient;ⅹ．UponClient’srequest,PartyBshouldresearch,gatherandexplainanyrelatedlaw,rules,andregulations,andprovidepracticaloperationalguidelinesfortheclients;xi.PartyBmaysign,sendanddeliverlegaldocumentswiththeauthorityoftheclients;xii.Otherservicesafternegotiationandagreementbythetwoparties.ArticleⅢPartyA’sObligations3ⅰ.PartyAshallprovideconveniencetolegalcounselsappointedbyPartyBandspeciallyappointapersontokeepregularcontactwiththecounselsofPartyB;ⅱ.PartyAshallofferchancestothecounselsappointedbyPartyBforattendingclient’sbusinessmeetingsthatareconcernedinorderthatPartyBcanrenderbetterlegalservices;ⅲ.PartyAshouldcomprehensively,objectivelyprovideinformation,materialsand/ordocumentsregardingthelegalaffairtoPartyBwithinareasonabletime;ⅳ.PartyAhastheresponsibilitytomakeindependentjudgmentsanddecisions.PartyBshallnotberesponsibleforanylossincurredbyPartyAthatisnotcausedbythenegligentadviceofPartyB.ArticleⅣPartyB’sObligationsⅰ.ThePartyBacceptstheauthorizationofthePartyAandassignslawyer【】astheattorneytodealwithPartyA’slegalaffairs;ⅱ.TheattorneyassignedbyPartyBshouldtakefullresponsibilitytoPartyA’slegalaffairstipulatedinArticleⅡ;ⅲ.PartyBattorneyshouldmakethebesteffortstomaintainPartyA’sbenefitbymakingjudgmentbasedonthelaw;ⅳ.PartyBattorneymustcompletePartyA’slegalaffairspromptlyafterobtainingthematerialsprovidedbyPartyA;4ⅴ.TheattorneyactingforthePartyBshallnotdealwithanotherpartyinatransactionoradispute,withouttheagreementofPartyB,iftheotherparty’sinterestconflictswithPartyB;ⅵ.TheattorneyactingforPartyBhasanobligationofnotdisclosinganytradesecretstoathirdparty,unlessagreedbyPartyBorsanctionedbylaw;ⅶ.PartyBshallkeeparecordofPartyA’sservices;therecordmusthaveacompletelogofPartyA’sservices,alongwiththeoriginalevidences,legaldocumentsoranybelongingswhichshouldbekeptproperly.ArticleⅤretainingfeeandworkexpenseⅰ.Theretainingfeeis【】yuan;Methodsofpayment：【】.ⅱ.PartyAshallbearthecostincurredbytheappointedlawyerofPartyBduringthecourseofbusiness.ThecostthatshallbebornebyPartyAisincludedinthelist,thelistisnotexhaustiveandthecostthatshallbeboreisnotrestrictedbythelist.Thelistconsistsof:Thecommissionofsurvey,certificationfee,translationfee,outstationexpenses(food,travelandaccommodation).PartyBshalldisbursetheexpensesuponagreeingwithPartyA.Methodsofpaymentaccepted:【】.5ArticleⅥTerminationofthecontractⅰ.Contractmaybeterminatedbymutualagreementafterconsultation;ⅱ.Ifthecontractisterminatedbeforeconsultation:a.IfPartyB’sappointedlawyerisreplacedarbitrarilywithouttheagreementofPartyA,PartyAmayterminatethecontractif,bytheresultofthereplacement,PartyAsufferssignificantlossordropinqualityofwork;b.IfPartyAsuffersalossbecauseofPartyB’sdelayandderelictionofduty,PartyAmayterminatethecontract;c.IfPartyAsuffersanimportantlossindocumentthatiscausedbyPartyB’snegligenceinsecurityobligationanddisadvantageouslegalopinion,PartyAmayterminatethecontract;d.IfPartyAhasnotpaidtheagreedfeetoPartyBinthestipulatedtimeandafterPartyBhasservedanoticetoPartyAregardingthismatter,PartyBmayterminatethecontractifPartyAstilldoesnotpaywithinthetimegiveninthenotice.ArticleⅦLiabilitiesforBreachofContractⅰ.ThePartiesshallstrictlyabidebythisContractandshallnotunilaterallyterminatethisContractbeforetheexpiringdateofthisContract;otherwisethedefaultingpartyshallpaythenon-defaultingpartyapenaltywhichis6equaltotheproportionofretainingfeefortheremainingtermofthisContract;ⅱ.PartyAshallbeliableforanydamagecausedbyPartyA’sfa
