（AdoptedbytheFourthExecutiveMeetingoftheStateCouncilonMay13，1988，promulgatedbyDecreeNo.1oftheStateCouncilofthePeople'sRepublicofChinaonJune3，1988，andeffectiveasofJuly1，1988）颁布日期：19880603实施日期：19880701颁布单位：国务院ChapterIGeneralProvisionsArticle1InaccordancewithrelevantprovisionsoftheGeneralPrinciplesoftheCivilLawofthePeople'sRepublicofChina，thepresentRegulationsareformulatedwithaviewtoestablishingasystemforcontrollingtheregistrationofenterprisesaslegalpersons，confirmingtheirstatusassuch，safeguardingtheirlegitimaterightsandinterests，stampingoutillegalbusinessoperations，andpreservingsocialandeconomicorder.Article2AnyofthefollowingenterpriseswhicharequalifiedaslegalpersonsshallregisterassuchinaccordancewiththerelevantprovisionsofthepresentRegulations：（1）enterprisesownedbythewholepeople；（2）enterprisesundercollectiveownership；（3）jointlyoperatedenterprises；（4）Chinese-foreignequityjointventures，Chinese-foreigncontractualjointventuresandforeign-capitalenterprisesestablishedwithintheterritoryofthePeople'sRepublicofChina；（5）privatelyoperatedenterprises；（6）otherenterprisesrequiredbythelawtoregisteraslegalpersons.Article3ThoseenterprisesapplyingforregistrationaslegalpersonsshallbegivenBusinessLicensesforEnterprisesasLegalPersonsandthestatusoflegalpersonswhentheirapplicationsforregistrationhavebeenexaminedandapprovedbytheauthoritiesinchargeoftheregistrationofenterprisesaslegalpersonsandtheirlegitimaterightsandinterestsshallbeprotectedbylawsoftheState.Thoseenterprises，whicharerequiredbylawtoregisteraslegalpersonsbutwhichhavenotgonethroughtheproceduresofexaminationandapprovalregistrationbytheauthoritiesinchargeoftheregistrationofenterprisesaslegalpersons，shallnotbeallowedtoengageinbusinessoperations.ChapterIIRegistrationAuthoritiesArticle4Theauthoritiesinchargeoftheregistrationofenterprisesaslegalpersons（hereinafterreferredtoastheregistrationauthorities）aretheStateAdministrationforIndustryandCommerceandadministrativedepartmentsforindustryandcommerceatvariouslevels.Registrationauthoritiesatvariouslevelsshallperformtheirfunctionsaccordingtolawundertheleadershipofhigherregistrationauthoritiesandbefreefromunlawfulinterference.Article5Theregistrationofnationalcorporations，enterprisegroupsandcorporationshandlingimport-exportbusinesssetupwiththeapprovaloftheStateCouncilordepartmentsauthorizedbytheStateCouncilshallbeexaminedandapprovedbytheStateAdministrationforIndustryandCommerce.TheregistrationofChinese-foreignequityjointventures，Chinese-foreigncontractualjointventuresandforeign-capitalenterprisesshallbeexaminedandapprovedbytheStateAdministrationforIndustryandCommerceorbylocaladministrativedepartmentsforindustryandcommerceauthorizedbytheStateAdministrationforIndustryandCommerce.Theregistrationofson（orbranch）companiesofnationalcorporations，enterprises，enterprisegroupsorcompanieshandlingimport-exporttradeestablishedwiththeapprovalofthepeople'sgovernmentsofprovinces，autonomousregionsormunicipalitiesdirectlyundertheCentralGovernmentordepartmentsauthorizedbythemshallbeexaminedandapprovedbytheadministrativedepartmentsforindustryandcommerceoftheprovinces，autonomousregionsandmunicipalitiesdirectlyundertheCentralGovernment.Theregistrationofotherenterprisesshallbeexaminedandapprovedbytheadministrativedepartmentsforindustryandcommerceofthecitiesofcounties（districts）wheretheenterprisesarelocated.Article6Registrationauthoritiesatvariouslevelsshallinstituteafileoftheregistrationofenterprisesaslegalpersonsandasystemfortabulatingstatisticsrelatingtosuchregistration，andcollectbasicinformationabouttheregistrationofenterprisesaslegalpersonssoastoservethedevelopmentofaplannedcommodityeconomy.Registrationauthoritiesshalloffer，inaplannedmannerandaccordingtotheneedsofsociety，theserviceofprovidingthepublicwithdataabouttheregistrationofenterprisesaslegalpersons.ChapterIIIConditionsforRegistrationandEntitiestoApplyforRegistrationArticle7Entitiesapplyingforregistrationasenterprisesaslegalpersonsmustsatisfythefollowingconditions，i.e.having：（1）name，organizationandarticlesofassociation；（2）fixedsitesforbusinessoperationsandessentialfacilities；（3）fundsandemployeesinconformitywithStateregulationsandinlinewiththeirscaleofproduction，operationorservice；（4）abilitytobearcivilliabilitiesindependently；（5）ascopeofbusinessinconformitywiththeprovisionsoftherelevantlaws，regulationsandpoliciesoftheState.Article8Theapplicationofanenterpriseforregistrationasalegalpersonshallbefiledbythepersonresponsibleforestablishingtheenterprise.Theregistrationasalegalpersonofajointlyoperatedenterprisewhichbearscivilliabilitiesindependentlyshallbeappliedforbythepersonresponsibleforinitiatingthesaidenterprise.ChapterIVItemsofRegistrationArticle9Themajoritemstoberegisteredforanenterpriseasalegalpersonare：name，residence，siteforbusinessoperation，legalrepresentative，economicnature，scopeofbusiness，modeofoperation，registeredcapital，numberofemployees，durationofoperationandsubdivisions.Article10Anenterpriseasalegalpersonshalluseonlyonename.Thenametobeusedbytheenterpriseasalegalpersoninitsapplicationfor
