1MEMORANDUMOFASSOCIATION（英文公司章程）COMPANIESACTS,1963to2012APUBLICCOMPANYLIMITEDBYSHARESMEMORANDUMOFASSOCIATION（公司章程）**ENTERTAINMENTPUBLICLIMITEDCOMPANY**SolicitorsFitzwiltonHouseWiltonPlaceDublin2COMPANIESACTS,1963to2012APUBLICCOMPANYLIMITEDBYSHARESMEMORANDUMOFASSOCIATIONOF**ENTERTAINMENTPUBLICLIMITEDCOMPANY1.ThenameoftheCompanyis**EntertainmentPublicLimitedCompany.22.TheCompanyistobeapubliclimitedcompany.3.TheobjectsforwhichtheCompanyisestablishedare:-(a)Tocarryonthebusinessofaholdingcompany,owning,holdingandmanagingassetsofanykind,movableorimmovable,includingshares,stock,bondsanddebenturesandothertypesofinvestmentsinotherpartnershipsandentities.(b)Toappointandactthroughanyagents,administrators,managers,contractorsordelegatesinanypartoftheworldinconnectionwiththeundertakingandbusinessoftheCompanyonsuchtermsandsubjecttosuchconditionsastheDirectorsoftheCompanythinkfit.(c)Toacquireshares,stocks,debentures,debenturestock,bonds,obligationsorsecuritieseitherbyoriginalsubscription,tender,purchase,exchangeorotherwise,andtosubscribeforthesameeitherconditionallyorotherwise,toguaranteeorunderwritethesubscriptionthereof,andtoexerciseandenforceallrightsandpowersconferredbyorincidenttotheownershipthereof.3(d)Topurchaseorotherwiseacquireandundertakealloranypartofthebusiness,propertyandliabilitiesofanycompany,society,partnershiporperson,carryingonanybusinesswhichtheCompanyisauthorisedtocarryon,orofacharactersimilarorauxiliaryorancillarythereto,orconnectedtherewith,orpossessedofanypropertysuitablefor,anyofthepurposesoftheCompanyandtoconductorcarryon,orliquidateandwindup,anysuchbusiness.(e)ToborroworraiseorsecurethepaymentofmoneyinsuchmannerastheCompanyshallthinkfitandforsuchpurposesoranyotherpurposestoissuedebenturesordebenturestock(perpetualorotherwise),chargeduponalloranyofthepropertyandrightsoftheCompany,bothpresentandfuture,includingitsuncalledcapital,orwithoutanysuchsecurity,andtopurchase,redeemorpayoffanysuchsecurities.(f)Toadvanceandlendmoneyandprovideorgrantcreditandfinancialaccommodationtoanyperson,bodyofpersonsorbodycorporateonsuchtermsanduponsuchsecurityasmaybethoughtproperbytheDirectorsoftheCompany,orwithouttakinganysecuritythereforandtoactasagentsforthecollection,receipt4orpaymentofmoneyandgenerallytoactasagentsandbrokersforandrenderservicestoanycompanyandtoundertakeandperformsub-contracts.(g)Toengageincurrencyandinterestratetransactionsandanyotherfinancialorothertransactionsofwhatevernature,includinganytransactionforthepurposeof,orcapableofbeingforthepurposesof,avoiding,reducing,minimising,hedgingagainstorotherwisemanagingtheriskofanyloss,cost,expenseorliabilityarising,orwhichmay2arise,directlyorindirectly,fromachangeorchangesinanyinterestrateorcurrencyexchangerateorinthepriceorvalueofanyproperty,asset,commodity,indexorliabilityorfromanyotherriskorfactoraffectingtheCompany'sundertakingandbusiness,includingbutnotlimitedto,dealings,whetherinvolvingpurchases,salesorotherwiseinanycurrency,spotandforwardexchangeratecontracts,forwardrateagreements,caps,floorsandcollars,futures,options,swapsandanyothercurrencyinterestrateandotherhedgingarrangementsandsuchotherinstrumentsasaresimilarto,orderivativesof,anyoftheforegoing.5(h)Topurchaseorbyanyothermeansacquireanyfreehold,leaseholdorotherpropertyforanyestateorinterestwhatever,andanyrights,privilegesoreasementoverorinrespectofanyproperty,andanyrealorpersonalpropertyorrightswhatsoever.(i)ToinvestanddealwiththemoneysoftheCompanynotimmediatelyrequiredforusebytheCompanyandtohold,sellordealwithsuchinvestmentsandtocarryonthebusinessofaninvestmentcompanyandtoopenandmaintainbankaccounts(whetherornotbearinginterest),insuchmannerasfromtimetotimemaybedeterminedbytheDirectorsoftheCompany.(j)ToissueandallotsecuritiesoftheCompanyforcashorinpaymentorpartpaymentforanyrealorpersonalpropertypurchasedorotherwiseacquiredbytheCompanyoranyservicesrenderedtotheCompanyorassecurityforanyobligationoramount(eveniflessthanthenominalamountofsuchsecurities)orforanyotherpurpose.(k)TopurchaseandmaintaininsuranceforthebenefitofanypersonwhoisanofficeroremployeeorformerofficeroremployeeoftheCompanyorofasubsidiaryoftheCompanyorinwhichthe6Companyhasaninterestwhetherdirectorindirectorwhoisorwastrusteeofanyretirementbenefitsschemeoranyothertrustinwhichanysuchofficeroremployeeorformerofficeroremployeeisorhasbeeninterested,indemnifyingsuchpersonagainstliabilityfornegligence,default,breachofdutyorbreachoftrustoranyotherliabilitieswhichmaylawfullybeinsuredagainst.(l)Toestablishandmaintain,andtocontributeto,anyschemeforencouragingorfacilitatingtheholdingofshares,debentures,notes,bondsorothersecuritiesintheCompanybyorforthebenefitofsuchpersonsasmayforthetimebeingbepermittedbylaw.(m)Topurchaseandmaintaininsuranceinrespectofthepaymentofinterestand/orcapitalonanynotes,bondsordebenturesissuedbytheCompanyforthebenefitofsuchpersonsasmayforthetimebeingholdanysuchnotes,bondsordebentures.(n)Toguaranteeandotherwisesupportthepaymentofanydebtsortheperformanceofanycontractorobligationofanyperson,bodyofpersons,bodycorporateorundert
