1聘请常年法律顾问合同EmploymentofLong-termLegalCounselingAgreement本合同书双方当事人为：BothpartiesinvolvedinthisAgreementareasfollows:甲方：地址：法定代表人：乙方：地址：法定代表人：兹本合同之甲方同意聘请乙方作为常年法律顾问，并乙方同意接受甲方聘请提供常年法律顾问服务，双方经过协商之后，同意协议如下：ThisAgreementisherebytocertifythatPartyAagreestoassignPartyBasitslong-termlawconsultant,andPartyBiswillingtoaccepttheconsignmentandprovidelong-termlegalcounselingservice.Afterfriendlynegotiation,thepartiesagreedtothefollowingtermsandconditionsontheconsigning.第一条：Article1意向及总则Intentionandgeneralprinciple甲方同意聘请乙方作为常年法律顾问，乙方同意接受甲方聘请提供常年法律顾问服务。PartyAagreestoassignPartyBasitslong-termlawconsultant,andPartyBis2willingtoaccepttheconsignmentandprovidelong-termlegalcounselingservice.第二条：Article2顾问律师Consultinglawyers乙方指派以黄海栩律师为主体的顾问组担任甲方之按照第一条所确定常年法律顾问。同时，因应甲方的法律事务，乙方得以安排相应的专业律师为甲方提供法律服务，维护甲方合法权益，甲方接受乙方指派之律师。ThePartyBassignLawyerHaixiangHuangasleadingroleintheconsultantgrouptoprovidelong-termcounselingserviceforPartyAasArticle1mentioned.Meanwhile,shouldPartyArequest,PartyBshallarrangecorrespondingprofessionallawyertoprovidelegalcounselingserviceonlegalaffairsofPartyA,protectlegalrightsofPartyA,andPartyAshallbewillingtoacceptthelawyersdesignatedbyPartyB.第三条：Article3聘期Employmentperiods双方同意聘期为一年，自2017年6月21日始至2019年6月20日止。BothpartiesagreethattheconsignmentperiodistwoyearsfromJune21,2017toJune20,2019.Theagreementwillterminateafterexpiration.第四条：Article4乙方职责ResponsibilityofPartyB1：为甲方的日常业务提供法律咨询及法律依据，具体包括：PartyBshallprovidePartyAwithlegalcounselingandlegalrationaleforitscurrentundertaking,specificallyincluding:A、为甲方起草、审查、修改各类法律文书；Draft,reviewandamendanykindoflegaldocuments.B、根据甲方的经济、商务谈判，为甲方完善各类常用格式合同；ImproveandperfectanykindofcommonstandardformofcontractonthebasisofPartyA’seconomicandcommercialnegotiation.C、为甲方事务出具法律意见书、律师函、律师声明等文件；3ProvidePartyAwithlegaladvisorypaper,lawyer’sletterandcounselingstatementsandotherdocumentsforPartyA’saffairs.D、为甲方的经营管理决策提供法律论证；ProvidePartyAwithlegalargumentforPartyA’smanagerialdecision-making.E、为甲方进行必要的法律辅导；ProvidePartyAwithnecessarylegaltutoring.F、协助甲方处理劳资关系。AssistPartyAwithLaborRelations.2：根据甲方的另外授权委托代理甲方参加各类纠纷的协商、调解、诉讼、仲裁；AccordingtoPartyA’sadditionalauthorizationdelegation,PartyBshallparticipateinnegotiation,mediation,litigationandarbitrationofallkindsofdisputes.3：根据甲方的另外授权委托对甲方重大商务行为或者项目提供法律服务。AccordingtoPartyA’sadditionalauthorizationdelegation,PartyBshallprovidelegalservicestoPartyA’smajorbusinessactivitiesorprojects.第五条：Article5甲方责任ResponsibilityofPartyA1、甲方应当如实向乙方提供有关文件、资料以及反映其他情况，甲方必须确保所提供文件、资料、信息的真实性，如因甲方故意或过失向乙方提供虚假文件、资料，或故意隐瞒有关事实，而导致乙方无法作出正确的口头或者书面法律意见，由此所造成的损失，均由甲方承担。PartyAshallprovidePartyBwithrelevantauthenticfiles,documentsandreflectothersituationsaccurately.PartyAshallensurethatallfiles,documentsandinformationareinaccordancewiththefact.IfPartyAhasintentionallyornegligentlyprovidedfalsedocuments,information,orintentionallyconcealedthefactstoPartyB,whichcausesPartyBunabletomakecorrectoralorwrittenlegaladvice,PartyAshallbearthecorrespondingeconomiclossbyitself.42、为乙方开展工作提供必要的条件与协助。ProvidePartyBwithnecessaryconditionsandassistanceforPartyBdoingitsjob.3、如期如数支付法律顾问费用及应由甲方承担的法律事务开支。Shallmakepaymentoflegaladviserfeeasscheduledandinexactamount,andbearthelegalexpensesincurredbyPartyA.第六条：Article6法律顾问费用Legalconsultantfees1、甲乙双方同意，就本次甲方聘请乙方作为常年法律顾问，甲方应当向乙方支付的顾问费用为每年人民币壹万肆仟元(RMB14,000)。InthisAgreement,PartyAagreestoassignPartyBasitslong-termlawconsultant,bothpartiesagreethatPartyAshallpayRMB14,000toPartyBfortheconsultantfeeeveryyear.2、前述年度费用自本合同书签署之时给付。TheaforementionedannualfeeshallbepaidfromthetimeofsigningofthisAgreement.3、如乙方应甲方的要求指派律师参与诉讼、仲裁或者重大商务行为、项目提供法律服务时，乙方按照律师协会有关规定另行优惠收费。IfPartyBisrequiredtoassignalawyertoparticipateinlitigation,arbitrationormajorbusinessconductandprojectandprovidelegalservices,PartyBshallchargeextrafeesaccordingtotherelevantpreferentialprovisionsofthebarassociation.4、发律师函、调查取证等涉及行政机关收费、快递费用，由甲方承担。PartyAshallbearthefeesonsendinglawyer’sletter,investigatingandcollectingevidenceandanyotherpaymentsrelatedtoadministrationfeesandpostalfees,etc.5、甲方每笔单项业务费用，由双方根据实际情况另行协商。TheindividualbusinessexpensesofPartyAshallbenegotiatedseparatelybythetwopartiesaccordingtotheactualsituation.第七条：有关乙方失职责任5Article7NegligenceliabilityofPartyB乙方应对其所出具的书面法律意见的正确性负责，如因乙方出具的书面法律意见缺乏正确性而导致甲方决策失误，乙方对由此所造成的甲方损失，应当承担赔偿责任。PartyBshallberesponsiblefortheaccuracyofthewrittenlegaladvicethatitprovides.PartyBshallbeliableforanylosscausedbyPartyBduetothelackofcorrectnessinPartyA'swrittenlegalopinion.乙方律师在担任法律顾问期间，如未能勤勉尽责、严密谨慎地忠实履行职责的，甲方有权提前终止本合同。PartyBshallhavetherighttoterminatethiscontractinadvanceifhefailstoperformhisdutieswithduediligence,strictandprudentfulfillmentofhisdutiesduringhistermofofficeaslegaladviser.第八条：Article8乙方工作地点及方式PartyB’sworklocationandmodeofwork乙方律师的办公地点在乙方法定地址办公。PartyB'sofficeislocatedatthelegaladdressofPartyB.第九条：Article9保密责任Confidentialityobligations双方同意，在本次项目进行过程中，除非权利方同意，任何一方不得将因为履行本合同所获得的关于对方的任何信息、资料、数据或者其他商业秘密，以及甲方从乙方获得的且乙方已经作出声明限制使用的任何专业意见（无论书面的或者口头的）对无关人员泄露。Intheprocessofthisproject,bothpartiesreachanagreementthat,withouttheconsentfromeitherparty,neitherpartyshalldisclo
