Page|1技术开发（委托）合同TechnologyDevelopmentContractContractNo.:20191125aDate:Nov25,2019委托方（甲方）EntrustingParty(PartyA):受托方（乙方）EntrustedParty(PartyB)：鉴于：WHEREAS:本合同签约各方就本合同书中所描述项目的研究开发、成果权属、收益分配、风险责任以及与之相关的技术和法律问题经过平等协商，在真实、充分地表达各自意愿的基础上，根据《中华人民共和国合同法》之规定，达成如下协议，由签约各方共同恪守。ThePartiesheretohavecarriedoutmutualconsultationonanequalbasiswithrespecttotheresearchanddevelopment,deliverables’ownership,profitdistribution,riskliabilitiesandanyrelatedtechnicalandlegalissuesconcerningtheprojectcontemplatedherein,thePartieshaveenteredintothisContractonthebasisofgoodfaith,pursuanttotheContractLawofthePeople’sRepublicofChina,andagreetobeboundhereby:第一条合同性质Article1ContractType:本合同属于：1、委托开发合同□;2、合作开发合同☑ThisContractis:1.AuthorizedDevelopmentContract□;2.JointDevelopmentContract☑第二条签约时间和地点Article2DateandPlaceofExecution本合同由上述签约方于2019年11月25日在深圳签订。ThisContractismadeandenteredintoasofNov25,2019byandbetweentheforegoingPartiesinShenzhen.第三条项目名称V1玩具Article3ProjectNameV1toyPage|2第四条技术内容Article4TechnologyDescription4.1甲方提供以下研发信息给乙方：背景技术、开发目的、技术方案、有益效果、实施例子、相关专利参考。PartyAprovidesPartyBwiththeinformationofthebackgroundtechnology,purposeoftheinvention,technicalscheme,beneficialeffects,andreferencesofrelatedpatents.4.2乙方在一个月内完成样板的制作。PartyBshallcompletemakingtheprototypeswithinonemonth.第五条研究开发计划Article5ResearchandDevelopmentPlan5.1第一阶段Phaseone(1).启动阶段：材料选定、设计文件的获得、工艺文件的分析、计算机系统的建立、3D打印耗材的购买、验证机械结构和整体方案设计思路的初步沟通；Initializationphase:selectthematerials,obtainthedesigndocuments,analysetheprocessfiles,establishthecomputersystem,purchasethe3Dprintingfilaments,verifythemechanismandprimarilycommunicatethedesignthoughtforthegeneralsolution;(2).设计阶段：原理设计、电脑仿真、版图设计；Designphase:principledesign,computersimulation,layoutdesign;(3).测试阶段：初测及继续测试。Testphase:primarytestandconsecutivetest.5.2第二阶段Phasetwo根据第一阶段测试结果对方案进行修改，同时配合总体设计进行修改。Alterthesolutionaccordingtothefirstphaseresults,andstartthesecondrun.5.3双方确定，乙方应在合同方案的关键样板验证合格后，根据甲方的请求，为甲方指定的人员提供技术指导和培训，或提供与完成方案相关的技术服务。Withthebothparties’confirmationandontherequestofPartyA,PartyBshallprovidetechnicalguidanceandtrainingtothepersonneldesignatedbyPartyAorprovidetechnicalguidanceandtrainingtothepersonneldesignatedbyPartyA,orprovidethetechnicalservicerelatedinthefulfilmentsolutionafterthekeyprototypesofthesolutionarequalifiedbytheverification.Page|35.4双方确定，在本合同有效期内，甲方指定ABC为甲方项目联系人，乙方指定EFG为乙方项目联系人，一方变更项目联系人的，应当及时以书面形式通知另一方。未及时通知并影响本合同履行或造成损失的，应承担相应的责任。Withtheconfirmationofthebothparties,withinthevalidityofthecontract,PartyAshalldesignateABCasPartyA’sprojectcontactperson.PartyBshallappointEFGasPartyB’sprojectcontactperson.Ifanychangeofthecontactpersonoccurs,onepartyshallinformtheotherpartybasedonwrittennoticeinduetime.Ifonepartyfailstopromptlyinformtheotherparty,itshallbeheldresponsibleforanyinfluenceordamagecausedbytheuntimelynotificationduringtheperformanceofthecontract.第六条转委托Article6Transfer开发方/合作双方可以将部分开发工作转委托给第三方。TheContractor/CooperationPartiesmaytransferpartofthedevelopmentworktoathirdparty.第七条权利保障Article7Warranty签约方保证本合同涉及的全部技术内容具有自主性和真实性，并不因本合同的履行而侵犯他人的合法权益。ThePartieswarrantthatallthetechnologiesunderthisContractareproprietaryandauthentic,andwillnotinfringeuponothers’legitimaterightsandinterestsduetotheperformanceofthisContract.第八条费用及支付方式Article8ExpensesandPaymentMethod8.1本合同费用总额为USD5000.00。其中：1）技术开发经费为USD3000.00；（2）采购相关材料等费用为USD800.00元；（3）相关技术服务费为USD1200.00。8.1ThetotalexpensesunderthisContractshallbeUSD5000.00,including:(1)technicaldevelopmentexpenses:USD3000.00;(2)expensesforthepurchaseofrelevantmaterials:USD800.00;and(3)relevanttechnicalservicefees:USD1200.00.8.2甲方应在合同签订的七天内一次性支付费用给乙方.TheexpensespayablebythePartyAunderthedevelopmentcontractshallbepaidinonelumpsumwithinsevendaysaftersigningthecontract.Page|4第九条违约责任Article9LiabilityforBreach如果一方不能按照本协议执行而给另一方造成了损失，受害方有权利要求对方给予相应的赔偿。Ifanypartyisunabletoperformthisagreementandcausedthelossoftheotherparty,thevictimhastherighttoaskforthecorrespondingcompensation.第十条合同条例和争议Article10DisputeSettlementMethod如因本合同履行发生争议，双方应当协商解决，协商不成时，任何一方均可向深圳市龙岗区人民法院起诉。IncaseofanydisputeinconnectiontoorarisingfromtheexecutionofthisAgreement,bothpartiesheretoshallsettlethecasethroughconsultation.Incasenosettlementcanbereached,eitherpartymayappealtoShenzhenLonggangPeople’sCourt.第十一条未尽事项Article11FurtherMatter本协议中的未尽事宜，双方将友好协商解决并签署补充协议或其它书面文件。Bothpartiesexpecttosignadditionalsupplementarycontractsonfutureissuesrelatingtothiscontract.第十二条本合同一式两份，甲、乙双方各持一份，具有同等法律效力。Article12INWITNESSTHEREOF,thiscontractismadeoutintwooriginals,eachpartyholdingone.Bothcopiesareequallyvalid.甲方：PartyA:盖章：Seal:日期：Date:乙方：PartyB:盖章：Seal:日期：Date:
